The purpose of the code of business conduct
This Code of Business Conduct aims to help young companies and young people improve their ethical standards. It summarizes the youth system and many laws that young people follow. However, by expounding the moral values we enjoy as young people, this standard goes beyond the minimum requirements of the law. This Code is not a contract, nor is it a comprehensive manual guide covering every situation that young people around the world may encounter. It is just a guide to show basic views, emphasize major issues and explain the source of youth policies, thus helping you make decisions that make you and the youth system proud. As young people, each of us has the responsibility to ensure that our behavior conforms to this code of business conduct and the laws applicable to our work. If you have any questions about illegal or unethical behavior, you should consult the management department or the ethics hotline. Please remember: failure to comply with this code and the law will lead to corresponding disciplinary action, up to dismissal. Every young person should read through this code of business conduct, but there is no code to guarantee moral behavior except ourselves.
Other duties of the manager
The manager of the youth training system should guide his words and deeds according to our moral standards. If you are a manager, you have the responsibility to promote open and honest two-way communication. The manager must be an activist and an example of respecting and caring for every colleague. You should also pay close attention to the signs of immoral or illegal behavior that has happened. If you are worried about unethical or illegal activities, you should take appropriate and consistent actions and notify your manager, legal department or ethics hotline. We respect the dignity of every young person.
We will always treat each other with respect and fairness. As we said, don't do to others what you don't want others to do to you. We will respect the differences of different individuals around the world. Employment decisions should be based on business reasons, such as qualifications, talents and achievements, and comply with national and local labor laws and regulations.
Verbal, physical or visual insults, harassment or offenses are unacceptable. Examples include verbal disrespect and unwelcome sexual proximity based on racial or ethnic characteristics. We encourage you to speak out when your colleagues' behavior makes you or others feel uncomfortable. Report harassment in time. Safety and Health All young people have the responsibility to abide by safety and health rules and practices in order to maintain a safe working environment. You are responsible for immediately reporting accidents, injuries and unsafe equipment, habits or conditions to the supervisor or other authorized personnel. The youth system is committed to maintaining a safe working environment. In order to ensure the safety of all employees, each of us must go to work without any conditions that may hinder us from carrying out our work activities safely and effectively. Threats, violence or physical intimidation are strictly prohibited. Green system exists to satisfy customers. Product Quality and Safety In order to maintain Qingdao's precious reputation, it is very important to abide by our quality procedures and safety regulations. When we send products or provide services that do not meet the green system standards, we damage our good reputation.
Sales and Marketing We rely on honesty and integrity to build long-term relationships with our customers. All our marketing and advertising should be accurate and true. Deliberately misleading information, omitting important facts or making wrong judgments about the goods sold by competitors are absolutely unacceptable.
We can only do business legally and ethically. Bribery or kickbacks are not acceptable. Guidelines for customer gifts, travel and entertainment can be found in the conflict of interest section of this Code.
Customer information protects sensitive, confidential or confidential customer information just like our own information. Only those who need to know can get confidential information.
When government customers deal with the government, we must pay special attention to abide by all legal and contractual obligations. In order to protect the public interests, governments all over the world have formulated specific and diverse laws and regulations on government procurement. These laws usually prohibit or severely restrict the provision of gifts, entertainment and travel to government officials. These regulations also often apply to the employment of on-the-job or recently retired officials and their families, as well as any other behavior that may be considered to improperly affect objective decision-making. Many other laws strictly stipulate the accounting and bookkeeping methods for performing government contracts and subcontracts.
These laws also apply to youth systems and their employees all over the world. When companies choose suppliers or subcontractors to fulfill their obligations, we also have the responsibility to convey these specific government requirements to them. If you deal with government officials and government contracts, it is your responsibility to understand and abide by applicable laws and regulations. Establishing good relations with other companies provides a competitive advantage for the youth system. Do business with other companies We don't do business with companies and individuals that may damage the reputation of the youth system. For example, we will avoid doing business with companies that intentionally and repeatedly violate the law. These laws include local regulations on environment, employment, safety and anti-corruption. All transactions with third parties must comply with the laws and policies of the youth system. We do not resort to any third party to carry out any behavior prohibited by any law or green business code of conduct.
The commission or remuneration paid by agents and consultants to distributors, distributors, agents, intermediaries or consultants is consistent with the value of the products or services actually provided. No commission or remuneration that is reasonably considered as a bribe shall be paid.
Subcontractors Subcontractors play an extremely important role in the performance of many of our contracts. In some cases, subcontractors are closer to our customers. Therefore, it is very important for subcontractors to always act in accordance with our business code of conduct to ensure the maintenance and enhancement of the company's reputation.
Joint ventures and alliances will strive to form alliances with companies that agree with our code of ethics. We will also try our best to make the standards of our joint venture consistent with our own standards.
The purchase decision can only proceed from the best interests of the youth system. Suppliers win green business based on the applicability, price, delivery and quality of their products or services. The purchase agreement shall be in written form, and clearly stipulate the services or products provided, the basis for obtaining the price and the applicable rates or remuneration. The price amount must be commensurate with the service or product provided. All business records and communications should be clear, true and accurate. Business records and communications are often made public through lawsuits, government investigations and the media. Exaggeration, colored language, speculation, legal conclusions, derogatory comments or comments on relevant individuals and companies should be avoided. The above applies to all kinds of letters, including emails and informal notes or memos. All kinds of records should be kept and destroyed according to the record keeping policy of Blue System.
Responsibility to competitors: We maintain integrity while actively competing. Green systems and employees must abide by the anti-monopoly and anti-unfair competition laws of the countries where they engage in business activities. These laws are complex and vary from country to country. Generally speaking, these laws involve: reaching agreements with competitors that harm customers, including fixing prices and allocating customers or contracts. Agreements that unduly restrict customers' ability to sell products, including setting the price of products or services for resale, or selling products on the premise of purchasing other products and services made in China.
Monopoly attempts, including pricing products below cost in order to eliminate competition. If you doubt whether your actions violate the competition law, you can consult the legal department. Media requests should be submitted to local public relations organizations or corporate public relations departments to ensure that these requests are handled professionally and uniformly. Unfortunately, many well-meaning interviewees' statements were misinterpreted by reporters. Let experts handle these communications.
Young people should cooperate with reasonable requests for information from government agencies and managers, and consult the legal department before answering any non-routine requests. All information provided must be true and accurate. We should not change or destroy documents or records because of investigation or other legal requirements.
Requests from financial analysts and shareholders should be submitted to the Investor Relations Department.
As a responsible citizen, it is our duty to obey the law. Young people all over the world must abide by all applicable laws and regulations in the countries where we do business. Neither the pressure from superiors nor the requirements of business conditions can be an excuse for breaking the law. If you have any questions about the legality of this behavior, you have the responsibility to check with the management, legal department or ethics hotline.
Unless the youth political activities are approved by the Government Relations Office, young people are not allowed to make any political contributions in the name of the youth system, or use the name, funds, equipment or services of the youth system to support political parties, proposals, members or candidates, including making donations of any value. In addition, besides sales activities, lobbying activities or contacting the government on behalf of the youth system need to be coordinated with the company's government relations office. Green system abides by the anti-corruption laws of the countries where it operates, including China's anti-corruption laws applicable to its global operations. Young people may not directly or indirectly bribe government officials, including employees of state-owned enterprises. These requirements apply to young employees and agents who do business anywhere, such as third-party sales representatives. If you are authorized to hire agents, you should make sure that they have a good reputation and ask them to agree in writing to the standards of the green system in this regard.
When importing and exporting products, services, information or technology across national boundaries, Qingdao will abide by the applicable laws, regulations and restrictions of China and other countries. In addition, when you travel on international business, you will be restricted by the laws concerning the entry and exit articles you carry. Young people have the responsibility to know the laws related to them, and when in doubt, ask the corresponding import and export manager.
Conflicts of interest We will make business decisions in the best interests of the youth system. Serving on the board of directors of other companies or similar organizations or government agencies requires the prior approval of local management. Advocate serving on the board of directors of non-profit or public organizations to help the community without prior approval.
Family members and close personal relationships. You can't use your personal influence to let companies with interests in your family or friends engage in business activities. Young people should not let their investments affect or may affect their independent judgment on behalf of the youth system. This influence may occur in many ways, but if you invest in competitors, suppliers, customers or distributors, and your decision may have a commercial impact on foreign parties, it is most likely to lead to conflicts of interest. If you are in doubt about how to handle an investment, you should disclose it to the management department.
If you know that you are interested in purchasing or otherwise acquiring certain property and materials, and the news has not been made public, you may not directly or indirectly purchase or acquire such property or materials. Gifts are not always in kind, they can be services, benefits or items with other values.
Gifts for young employees
Young people are not allowed to accept kickbacks, excessively generous gifts or cash gifts. We can accept items of negligible value, such as small promotional items with the name of another company. We don't accept anything that may weaken the judgment of the youth training system. In rare cases, refusing a gift may be unrealistic or harmful, so this situation should be discussed with local management.
A gift from the Qing dynasty
Some business occasions need gifts. Green gifts must be legal, reasonable and approved by local management. The youth system never pays bribes. We know that the custom of giving gifts is different in different cultures. Our regional gift policy and guidelines stipulate this. See if there are guidelines in your area. If the law or the policy of the recipient's organization prohibits it, we will not give any gifts. For example, members of many government agencies around the world are forbidden to accept gifts. If in doubt, check it first.
Hospitality We believe that hospitality should include representatives of both parties in social activities.
Entertain young people
We can accept commercially reasonable hospitality that promotes the interests of the company. For example, it is acceptable to accompany business partners to participate in cultural and sports activities or have a working meal. Excessive or frequent hospitality may affect your independent judgment on behalf of the youth system. If the invitation seems inappropriate, you should refuse the invitation or pay the actual cost of entertainment yourself. If possible, discuss with local management in advance the hospitality that may be inappropriate.
Youth hospitality
We can provide reasonable business entertainment. If you are worried about the appropriateness of providing entertainment, please discuss it with your management in advance.
The law may prohibit entertaining government officials. In this case, the approval of local management should be obtained.
Travel accepts travel expenses. Young employees can accept travel expenses and accommodation provided by young suppliers or third parties, but they must travel for commercial purposes and obtain the approval of their superiors in advance. All accepted trips must be accurately recorded in the employee's travel expense record.
Unless prohibited by law or the policies of the recipient organization, the Youth System can provide customers, agents or suppliers with travel expenses and accommodation for visiting the facilities or product installation of the Youth System. However, the visit must be for commercial purposes, such as on-site equipment inspection, contract negotiation or training.
All travel of government officials sponsored or paid by the Youth System must be approved in advance by the general manager of the department and the Ethics Office.

The report takes action to prevent suspicion as part of youth culture. If you observe possible unethical or illegal behavior, we encourage you to report it. It is unforgivable to retaliate against employees who truthfully report suspected illegal or unethical behavior. Deliberate misrepresentation is also unacceptable.
