Article 1 The name of this Chamber of Commerce is Anhui Chamber of Commerce in Jiangsu Province (English name: Anhui Chamber of Commerce in Jiangsu Province).

Article 2 This Chamber of Commerce is a non-profit social organization jointly initiated and established by Anhui citizens of enterprises in the Soviet Union. The Articles of Association are formulated in accordance with the requirements for the approval and registration of social organizations.

Article 3 The purpose of this Chamber of Commerce is to "promote Huizhou merchants, build a harmonious business, serve Jiangsu and Anhui, and benefit the society", that is, to uphold the spirit of Huizhou merchants, unite all enterprises in Jiangsu and Anhui, establish a career in good faith, enjoy resources, participate in the economic construction of Jiangsu and Anhui provinces, do a good job in the docking between Jiangsu and Anhui, and make contributions to the creation of a harmonious society.

Article 4 The Anhui Chamber of Commerce in Jiangsu Province accepts the leadership of the Development and Reform Commission of Jiangsu Province and the supervision and management of the Civil Affairs Department of Jiangsu Province.

Article 8 A member applying to join a chamber of commerce must meet the following conditions:

(2) Supporting the articles of association of this Chamber of Commerce;

(3) voluntarily applying to join the Chamber of Commerce, implementing the resolutions of the Chamber of Commerce and paying the membership fees on time;

(4) Actively participate in various activities of this Chamber of Commerce.

Article 9 Membership procedures

(1) An enterprise shall submit a written application to this Chamber of Commerce;

(two) after the qualification examination of the Secretariat of this Chamber of Commerce, it shall be reported to the Council or the Standing Council for discussion and approval;

(3) The membership card shall be issued by the Secretariat of the Chamber of Commerce.

Article 10 Members shall enjoy the following rights:

(a) The right to vote, to be elected and to vote;

(2) Participating in relevant meetings and activities organized by this Chamber of Commerce;

(3) Give priority to all services provided by this Chamber of Commerce;

(four) have the right to criticize and make suggestions on the work of this Chamber of Commerce;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Implementing the resolutions of this Chamber of Commerce;

(two) to safeguard the legitimate rights and interests and reputation of the Chamber of Commerce;

(three) to complete the work assigned by the Chamber of Commerce;

(four) to pay membership fees in accordance with the provisions;

(5) To report the situation to this Chamber of Commerce and provide relevant information.

Article 12 A member who withdraws from the meeting shall submit a written application, return his membership card and terminate his membership. The membership card is subject to the annual review system, valid for one year. If a member fails to participate in activities for one year or fails to pay membership fees for two years, it will be deemed as automatic withdrawal, and it will be publicized on the website and newspaper of the Chamber of Commerce.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council. Article 14 The general meeting of members is the highest authority of the Chamber of Commerce, and its main duties are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors and supervisors;

(3) Reviewing the work reports and financial reports of the board of directors and the board of supervisors;

(four) to decide on major changes and termination of the Chamber of Commerce;

(5) Deciding on other major matters.

Article 15 A general meeting of members shall be valid only if more than two thirds of the members are present, and its resolution shall be valid only if more than two thirds of the members present agree.

Article 16 The general meeting of members shall be held once a year. Due to special circumstances, it is necessary to advance or postpone or postpone the general election, which shall be voted by the Standing Council, reported to the Development and Reform Commission of Jiangsu Province for review and approved by the Civil Affairs Department of Jiangsu Province. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general assembly, leading the Chamber of Commerce to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly. Article 18 The main duties of the Council are:

(nine) to lead the work of various institutions of this Chamber of Commerce;

(ten) to formulate internal management system;

(eleven) accept the opinions of the chairman of the board of supervisors on the disciplinary issues of the Chamber of Commerce, put forward solutions and accept their supervision;

(12) Proposing candidates for the next Council;

(thirteen) to lead the work of various institutions of the Chamber of Commerce;

(fourteen) to decide other important matters.

Article 19 The meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present at the meeting.

Article 20 The Council shall convene a meeting once a year, and it may also be convened by means of communication under special circumstances.

Article 21 The Chamber of Commerce shall set up a standing council, which shall be elected by the council, and shall exercise the functions and powers in items 1, 3, 5, 6, 8 and 9 of Article 18 when the council is not in session, and shall be responsible to the council.

Article 22 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the directors present vote.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Article 24 The founding president, president, executive vice president, vice president and secretary general of this Chamber of Commerce must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) Having great influence in the business field of this Chamber of Commerce;

(3) The president, executive vice-president, vice-president and secretary-general are at least 70 years old, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 The legal representative of this Association shall be the first president, and the term of office of the president shall be four years.

Article 26 The first president of this Association shall exercise the following functions and powers:

(a) to preside over the overall work of the Chamber of Commerce, and be responsible for the management of people, finances and materials of the Chamber of Commerce;

(2) Convening and presiding over the office meetings of the Council, the Standing Council and the President;

(three) to check the implementation of the resolutions of the members' congress and the Council;

(4) Signing important documents on behalf of the Chamber of Commerce;

(five) to study, discuss and deploy major work matters of the Chamber of Commerce;

(six) to check the implementation of the work plan.

Article 27 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Article 28 The Board of Supervisors

The Association has a board of supervisors, which is generally composed of five members, elected by the general meeting of members and responsible for it. Its main responsibilities are:

(1) Electing the chairman of the board of supervisors;

(2) Attending the corresponding office meetings of the Council, the Standing Council and the President;

(3) To supervise the activities of the Chamber of Commerce and its leading members in accordance with relevant national laws and regulations;

(four) to supervise the activities of the Chamber of Commerce and its leading members in accordance with the approved articles of association, business scope and internal management system;

(five) to supervise the behavior of members of the Chamber of Commerce who violate discipline and damage the reputation of the Chamber of Commerce;

(six) to supervise the financial situation of the Chamber of Commerce;

(seven) put forward opinions on the violation of discipline and law of the Chamber of Commerce, submit them to the Council and supervise the implementation.

Article 29 Consultants

The Chamber of Commerce employs a number of consultants, in principle, held by the old leaders and veteran comrades of the party, government and army, hired by the president and approved by the general meeting or congress. Their main duties are:

(a) to participate in major activities of the Chamber of Commerce;

(two) put forward suggestions around the work of the chamber of commerce center;

(3) Helping the Chamber of Commerce to solve problems;

(four) led by the consultant convener to coordinate and organize the annual activities. Article 30 The sources of funds of the Chamber of Commerce are:

(1) Annual membership fees paid by members;

(two) donations provided by enterprises and individuals to the Chamber of Commerce;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 The funds of this Chamber of Commerce shall be subject to membership fees in accordance with relevant state regulations.

Article 32 The funds of this Chamber of Commerce must be within the business scope and career development scope stipulated in the articles of association, and shall not be distributed among members.

Article 33 A chamber of commerce shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 This Chamber of Commerce is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Chamber of Commerce must implement the financial management stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions. And publish relevant information to the public in an appropriate way. The membership fee expenditure is mainly as follows:

(1) Office expenses (including office supplies purchase expenses, printing expenses, books and newspapers expenses, post and telecommunications expenses, telephone expenses, journal of the Chamber of Commerce, presentation design, printing expenses, etc.). );

(2) Travel expenses;

(three) office rental fees, utilities;

(six) the expenses of various activities organized by the Chamber of Commerce to serve members;

(seven) other normal expenses related to the Chamber of Commerce.

Article 36 Before changing its legal representative, the Chamber of Commerce must accept the financial audit organized by the Civil Affairs Department of Jiangsu Province and the Development and Reform Commission of Jiangsu Province.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Chamber of Commerce.

Article 38 The wages, insurance and welfare benefits of the staff of this Chamber of Commerce shall be implemented with reference to the provisions of relevant state institutions. Article 39 The amendments to the articles of association of this Chamber of Commerce shall be submitted to the general meeting (or representative meeting) for deliberation after being voted by the board of directors.

Article 40 The revised articles of association of this Chamber of Commerce shall come into effect within 15 days after being adopted by the general meeting (or congress), approved by the Development and Reform Commission of Jiangsu Province and approved by the Civil Affairs Department of Jiangsu Province. Article 41 If this Chamber of Commerce is terminated, dissolved by itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall put forward a proposal for termination.

Article 42 The termination of this Chamber of Commerce shall be approved by the general meeting of members (or the general meeting of members) and reported to the Development and Reform Commission of Jiangsu Province for approval.

Article 43 Before the termination of this Chamber of Commerce, a liquidation organization shall be established under the guidance of the Development and Reform Commission of Jiangsu Province and relevant departments to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 The Chamber of Commerce shall terminate after going through the cancellation procedures with the Civil Affairs Department of Jiangsu Province.

Article 45 Under the supervision of the Development and Reform Commission of Jiangsu Province and the Civil Affairs Department of Jiangsu Province, the remaining property after the termination of this Chamber of Commerce shall be used for the development of undertakings related to the purpose of this Chamber of Commerce in accordance with relevant state regulations. Article 46 The Articles of Association was adopted by the first general meeting of the first session of Anhui Chamber of Commerce in Jiangsu Province on 2011.

Article 47 The right to interpret the Articles of Association belongs to the Secretariat of this Chamber of Commerce.

Article 48 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Department of Jiangsu Province.
