Chapter I General Principles

Article 1 The full name of this Association is "Guangdong Household Textile Industry Association", and the English name is "China Guangdong Household Textile Association", abbreviated as "CGHTA".

Article 2 This Association is an industrial and non-profit social organization voluntarily formed by enterprises and institutions engaged in the production, design, management and construction of household textiles in Guangdong Province.

Article 3 The purpose of this Association is to strengthen exchanges and cooperation among member units, promote the business development of each member unit and improve the overall level of China's household textile industry on the basis of observing the national constitution, laws, regulations and national policies and social ethics.

Article 4 This Association accepts the business guidance, supervision and management of the Guangdong Provincial Civil Affairs Department and relevant functional departments of the Guangdong Provincial People's Government.

Article 5 The activity area of this Association is Guangdong Province.

Article 6 The domicile of the Association is No.202 and No.203, Building 5, No.33 Jinyuan Street, Chancheng District, Foshan City, Guangdong Province.

Chapter II Scope of Business

Article 7 The main business scope of this Association is as follows:

1. Organize members to study and implement relevant national guidelines, policies and regulations, and guide member units to develop healthily along the road of building Socialism with Chinese characteristics.

2. Investigate, analyze and study the development of China household textile industry, determine the basic strategy and development direction of the industry development, and promote the development of each member unit.

3. Protect the intellectual property rights of member units, maintain normal market order and oppose abnormal competition.

4. Carry out technical exchanges and economic cooperation among member units, develop products and markets, and maintain and develop the leading position of Guangdong's home textile industry in the country.

Five. Collect the economic, technical and market information of textile decoration at home and abroad, establish internal home textile information publications, and guide the technical progress and market consumption of member units.

Organize member units to participate in domestic and foreign economic exchanges and cooperation and professional exhibitions, hold trade fairs related to this industry, and assist member enterprises to explore domestic and foreign markets.

Chapter III Members

Article 8 All enterprises and institutions engaged in design, construction, production and management education related to the household textile industry in Guangdong Province that meet the requirements of Article 9 of the Articles of Association may apply for membership and become members of the association after examination and approval.

Article 9 A member applying to join this Association must meet the following requirements:

1. Support the articles of association of this association;

2. Willingness to join the association;

3. Have a certain influence in the business field of the Association.

Four. Should hold business license and other relevant documents.

Article 10 The membership procedure is:

1. Submit membership application;

Two. The Council discussed and adopted the draft;

Three. Payment of membership dues;

4. The membership card shall be issued by the board of directors or an institution authorized by the board of directors.

Article 11 Members shall enjoy the following rights:

1. Attend the congress of members, participate in the activities of the association and accept the services provided by the association;

2. The right to vote, to be elected and to vote;

3. Give priority to the services of the Association;

4. The right to propose, suggest and supervise the work of the association;

Article 12 Members shall perform the following obligations:

Thirteenth members pay membership fees:

1. The president and vice-president units pay an annual membership fee of 5,000 yuan;

2. The annual membership fee paid by the executive director unit is 3,000 yuan;

3. The director unit pays the annual membership fee of 2,000 yuan;

Article 14 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.

Fifteenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 16 This trade association is composed of members. The members' congress is the highest authority of the trade association and exercises its functions and powers in accordance with national laws and regulations and the articles of association of the trade association.

Article 17 The general meeting of members shall exercise the following functions and powers:

1. Decide the business scope and work functions of the Association within the scope stipulated by laws and regulations;

2. Elect or recall the president, vice president, secretary general, directors and supervisors; (The election was held by secret ballot)

3. Review the annual work report, annual financial budget and final accounts of the board of directors and the board of supervisors;

Four. To consider the recommendation of the Council on delisting members;

5. To make resolutions on the alteration, dissolution and liquidation of the Association;

7. To formulate or amend the articles of association and election methods of the organization;

Eighteenth members' congress is held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim member congress may be held.

Nineteenth members' congress must be attended by more than two-thirds of the members' representatives; Its resolution must be adopted by more than half of all members' representatives.

The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.

Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress.

Article 21 The functions and powers of the Council are:

1. Prepare and convene a general meeting of members;

2. Implement the resolutions of the general meeting and report to the general meeting;

3. Decide on the specific work and business of the Association;

4. To formulate the annual financial budget, final accounts, alteration, dissolution and liquidation plan of the Association;

5. To formulate plans for increasing or decreasing the registered capital of the Association;

6. Decide on the establishment of the internal institutions of the Association and lead the internal institutions of the Association to carry out their work;

7. Decide on the membership of the new applicant and the punishment for the member, and put forward suggestions for the removal of the member;

8. Decide on the main persons in charge of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;

9. Formulate the internal management system of the Association;

Other matters stipulated in the Articles of Association.

Article 22 The Council shall meet at least once every six months (under special circumstances, it may also be convened by means of communication). The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.

The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. 1/3 or more directors may propose to convene a board meeting.

Twenty-third according to the needs of the development of the association, the trade association can elect a standing director from among the directors and set up a standing Council, which is responsible to the Council. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association. The Permanent Council shall meet at least once every three months; Special circumstances can also be held by means of communication. A resolution made by the Standing Council must be passed by more than half of the standing directors.

The Standing Council shall make minutes of the decisions on the matters discussed.

Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:

1. The secretariat of this trade association shall put forward a specific plan for setting up branches;

Two. Submit the specific plan to the president's office meeting for discussion and adoption;

Three. Submit the adopted concrete plan to the Council for consideration and approval.

Four. Report to the social organization registration authority for examination and approval.

Article 25 The Association has 65,438+0 supervisors, who are elected by the general meeting of members. The term of office of the supervisor is the same as that of the board of directors, and may be re-elected upon expiration.

The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.

Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

1. Adhere to the Party's line, principles and policies and abide by national laws and regulations;

2. It has great influence in this industry;

3. The maximum working age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;

4. Good health, able to stick to normal work;

5. No criminal punishment;

6. Have full capacity for civil conduct.

Article 27 The Secretary-General of this Association adopts the appointment system.

Article 28 The Association shall have a president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.

Article 29 The term of office of the President and Secretary-General of this Association shall be four years, and the term of office shall not exceed two terms. In principle, the vice president of the association shall not be re-elected for more than two terms. If it is necessary to be re-elected for more than two terms due to the work of the association, it must be voted by more than two-thirds of the representatives attending the member congress.

Article 30 The President of this Association shall exercise the following functions and powers:

1. Convene and preside over meetings of the Council and the Standing Council;

2. Check the implementation of the resolutions of the General Assembly, the Council and the Standing Council;

Three. Sign relevant important documents on behalf of the Association;

Article 31 The vice-president and the secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:

1. Preside over the daily work of the office and organize the implementation of the annual work plan;

2. Organize the formulation and implementation of annual work plans, budgets and decisions;

Three. Coordinate the work of branches, representative offices and entities;

4. Nominate the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submit them to the Council or the Standing Council for decision;

5. Nominate and employ full-time staff of offices, representative offices and entities, and report to the President for approval;

6. Handle other daily affairs;

The Secretary-General attends meetings of the Council and the Standing Council.

Article 32 A supervisor shall exercise the following functions and powers:

I. Report the annual work to the members' congress.

2. To supervise the election and recall of member congresses and councils; Supervise the Council to implement the resolutions of the member congresses.

3. Check the financial and accounting information of the Association, and report the situation to the registration authority and the competent tax and accounting departments.

4. Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board.

When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the members' congress or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the members' congress and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Article 33 The sources of funds of this Association are:

I. membership fees;

Two. Donation;

Three. Government funding;

Income from activities or services provided within the approved business scope;

Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.

Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 35 the funds of this association must be used for the business scope and career development as stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

Article 36 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and conduct a review at the members' congress; If a crime is constituted, criminal responsibility shall be investigated according to law.

Article 37 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.

The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Article 38 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 40 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.

Article 41 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.

Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.

Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.

Chapter VI Procedures for Amending the Articles of Association

Forty-third amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 44 The revised articles of association of this Association shall come into effect after being approved by the registration authority within 30 days after being adopted by the members' congress.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 45 This Association shall be terminated under any of the following circumstances, and the Council or the Standing Council shall propose a cancellation agreement:

1. Realize the purpose stipulated in the Articles of Association;

2. The General Assembly decided to dissolve;

3. Division or merger of the association;

4. Unable to continue working according to the purpose stipulated in the articles of association;

Article 46. The motion to terminate this association must be voted by the members' congress and reported to the association registration authority for examination and approval.

Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall go through the cancellation procedures with the registration authority within 15 days after the liquidation.

Article 48 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Rights

Article 50 The Articles of Association was adopted by the shareholders' meeting on September 22, 2006.

Article 51 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
