Article 2 Nature of the Association: Guangdong Engineering Cost Association (hereinafter referred to as the Association) is a provincial-level industrial social group with enterprise legal person qualification, which is composed of engineering cost management institutions, engineering cost consulting units, engineering cost software development units and units related to the engineering cost industry, and belongs to non-profit social groups.

(1) To study the theory, principles and policies of project cost in Guangdong Province, put forward policy suggestions for the reform and development of project cost in Guangdong Province to the government, speed up the reform and development of project cost management system in Guangdong Province, accept the entrustment of government departments to carry out special research on project cost, and promote the application and popularization of modern management technology in the project cost industry;
(two) to safeguard the legitimate rights and interests of members, coordinate the relationship between members and the industry inside and outside, reflect the opinions and suggestions of members to government departments, create a good social environment for members, and consolidate and strengthen the role of bridges and ties between the government and enterprises;

Article 9 A member applying to join this Association must meet the following requirements:

Article 10 Membership procedures

Article 11 Members shall enjoy the following rights
(a) to attend the members' congress, participate in the activities of the association and accept the services provided by the association;

(four) the right to put forward suggestions, opinions and supervision on the work of this association;
(five) voluntary membership, free withdrawal;

Article 12 Members shall perform the following obligations
(1) Abide by the articles of association;
(2) Implementing the resolutions of this Association;
(3) Paying membership fees according to regulations;
(four) to safeguard the legitimate rights and interests of associations and industries;
(five) to complete the work assigned by the association;
(six) timely report the situation to the association and provide relevant information;
(seven) put forward reasonable suggestions for the development of this association.
Article 13 the criteria for members to pay membership dues
(1) The annual membership fee paid by the president's unit is 20,000 yuan;
(2) The vice-president unit pays the annual membership fee of 10000 yuan;
(three) the annual membership fee paid by the executive director unit is 5000 yuan; ;
(four) the annual membership fee paid by the governing unit is 2000 yuan;

Article 14 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.
Fifteenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this trade association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting. Article 16 The Association consists of members. The members' congress is the highest authority of the association and exercises its functions and powers in accordance with national laws, regulations and the articles of association of trade associations.
Article 17 The general meeting of members shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the business scope stipulated by laws and regulations;
(two) to elect or recall the president, vice president, secretary general, directors and supervisors;
(3) To review the annual work reports and annual financial budget and final accounts plans of the board of directors and the board of supervisors;
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of the association;
(six) to change or cancel the inappropriate decisions of the Council;
(seven) to formulate or modify the articles of association and election methods.
(8) Deciding to terminate.
(9) Deciding on other major matters.
Article 18 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be approved by the Council and reported to the Guangdong Provincial Department of Civil Affairs for approval. However, the extension of the term of office shall not exceed one year. The general meeting of members is held every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim member congress may be held.
Nineteenth members' congress must be attended by more than two-thirds of the members' representatives; The resolution shall take effect only if it is passed by more than half of the members' representatives. The general meeting of members shall make minutes of the decisions on the matters discussed and make an announcement to the members.
Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the members' congress is not in session, it shall perform its duties according to the resolutions of the members' congress and the articles of association of the association and be responsible to the members' congress. The number of directors is one-third of the number of representatives of members.
Article 21 The functions and powers of the Council are:
(1) Preparing for and convening the members' congress;
(two) to implement the resolutions of the general meeting of members and report to the general meeting of members;
(three) to decide on the specific work and business of the association;
(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
(five) to formulate plans for increasing or decreasing the registered capital of the Association;
(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;
(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member.

Article 22 The Council shall meet once every six months; Under special circumstances, an exchange meeting can also be held. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 23 The Association shall establish a standing council, which shall be responsible to the council, and the number of standing directors shall be one third of the number of directors. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association. The Standing Council meets every three months; Special circumstances can also be held by means of communication. Resolutions made by the Standing Council shall take effect only with the approval of more than half of the executive directors.
The Standing Council shall make minutes of the decisions on the matters discussed.
Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:
(a) the secretariat of the association put forward a specific plan for setting up branches;
(two) submit the specific plan to the president's office meeting for discussion and adoption;
(3) Submitting the adopted specific plan to the Council for deliberation and approval;
(four) reported to the Guangdong Provincial Department of Civil Affairs for approval.
Article 25 The Association shall have a board of supervisors, which shall be elected by the members' congress. The term of office of the board of supervisors is the same as that of the board of directors, and may be re-elected upon expiration.
The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of the Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the field of engineering cost;
(3) The maximum working age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 27 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.
Article 28 The Association shall have a president and several vice-presidents. The president is the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.
Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is four years. Re-election shall not exceed two terms.
Article 30 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over meetings of the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of the Association;
(4) Handling and deciding other necessary matters.
Article 31 The vice-president and the secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan; ;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions; ;
(3) Coordinating the work of branches, representative offices and entities;
(4) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) Handling other daily affairs.
The Secretary-General attends meetings of the Council and the Permanent Council.
Article 32 The Board of Supervisors shall exercise the following functions and powers:
(a) to report the annual work to the members' congress.
(two) to supervise the election and recall of members' congresses and councils; Supervise the Council to implement the resolutions of the member congresses.
(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments.
(4) Supervisors have the right to raise questions and suggestions to the Board of Directors as participants without voting rights.
(5) Supervising the compliance of the Council with laws and articles of association. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the members' congress or relevant government departments when necessary.
Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the members' congress and earnestly perform their duties.
Thirty-third according to the needs of the work, the association has a number of honorary presidents and consultants. When it was established, it was nominated by the president and voted by the members' congress. Article 34 Sources of funds of the Association
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;

Article 35 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 36 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 37 If the president, vice-president, directors, supervisors, secretary-general and staff of the association privately divide, occupy or misappropriate the property of the association, they shall be returned and reviewed by the members' congress of the association; If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 38 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data.
This Association accepts the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.
Article 39 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or donation, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Article 41 This Association must accept the financial audit organized by the Civil Affairs Department of Guangdong Province when making the annual report, changing the term of office, changing the legal representative and liquidation.
Article 42 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the Civil Affairs Department of Guangdong Province before the end of March each year.
The Association has established a reporting system for major activities: the Association holds large-scale academic reports, seminars and exhibitions, holds foreign exchanges, contacts with overseas non-governmental organizations, conducts industry appraisal and commendation activities, and accepts donations from overseas and society. , and report to the relevant functional departments of the Guangdong Provincial People's Government and the Guangdong Provincial Civil Affairs Department before the event, and go through the relevant procedures. Article 43 The full-time staff of the Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions. Forty-fourth amendments to the articles of association of this association must be approved by the Council and submitted to the members' congress for deliberation.
Article 45 The revised articles of association of this Association shall come into effect after being voted by the members' congress and reported to the Guangdong Provincial Civil Affairs Department for approval within 30 days. Article 46 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
(a) to complete the purpose stipulated in the articles of association;
(2) The general meeting of members decides to dissolve;
(3) Division or merger of the association;
(four) unable to continue to work in accordance with the purpose of the articles of association.
Article 47 The motion to terminate this association must be voted by the members' congress and submitted to the Guangdong Provincial Civil Affairs Department for examination and approval.
Forty-eighth before the termination of the association, a liquidation organization must be established under the guidance of the Civil Affairs Department of Guangdong Province and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out. The Association shall go through the formalities of cancellation of registration with the Civil Affairs Department of Guangdong Province within 15 days from the date of liquidation.
Article 50 The Association shall be terminated after the cancellation of registration by the Guangdong Provincial Civil Affairs Department.
Article 51 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the Guangdong Provincial Civil Affairs Department and in accordance with relevant state regulations. Article 52 The Articles of Association was adopted by the first general meeting of members on April, 2006 10.
Article 53 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 54 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Department of Guangdong Province.
