Articles of Association of Guangdong Property Management Industry Association
Article 1 The name of this Association is "Guangdong Property Management Industry Association", and the English name is Guangdong Property Management Industry Association, abbreviated as GPMII.
Article 2 This Association is an industrial, province-wide and non-profit social organization voluntarily formed by units engaged in property management in Guangdong Province.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and policies, strive to promote the reform and development of property management in Guangdong Province, and accelerate the marketization process of property management. Publicize property management laws and regulations, and provide enterprises with industry development trends and information. Carry out investigation and study, reflect the wishes and requirements of enterprises and put forward opinions and suggestions on the development of the industry, serve the government's decision-making, and play a bridge role between the government, enterprises and owners. Pay attention to industry self-discipline, abide by social ethics, establish a good business style, protect the legitimate rights and interests of employees, safeguard the legitimate rights and interests of the industry, and strive to maintain a harmonious society in Guangdong Province.
Article 4 This Association accepts the supervision and management of Guangdong Provincial Civil Affairs Department and the professional guidance of Guangdong Provincial Construction Department.
Article 5 The activity area of this Association is the whole territory of Guangdong Province.
Article 6 The domicile of this Association is Yuexiu District, Guangzhou City, Guangdong Province.
Chapter II Scope of Business
Article 7 The business scope of this Association is:
(a) to publicize and implement the laws, regulations and relevant provisions of property management, formulate professional ethics standards and guidelines for the property management industry, reflect the wishes and requirements of the industry to the competent government departments, and play a bridge role between the government, enterprises and owners.
(two) to assist government departments to formulate and implement the industry development plan, promote the reform of industry management, carry out investigation and study, and put forward opinions and suggestions on the new situation and new problems in the industry development, so as to serve the government's decision-making.
(three) to provide enterprises with the reform and development trend and information of the property management industry, and edit the periodical "Property Management".
(four) to organize foreign exchanges and inspection activities, and to develop friendly exchanges with people and organizations at home and abroad, as well as Hong Kong, Macao and Taiwan. Organize business training and related academic exchanges, carry out property management quality evaluation activities, and improve the overall quality of the industry.
(five) to provide property management business consulting services for member units and other relevant units, and guide property management enterprises to establish a modern enterprise system.
(six) organize member units to make a commitment to the society to ensure that they engage in property management business in accordance with the provisions of laws and regulations, safeguard the legitimate rights and interests of owners, and provide good property management services for owners.
(seven) to accept the relevant work entrusted by the competent government departments.
Chapter III Members
Article 8 The members of this Association are enterprises and related organizations in this industry, and this Association has only unit members.
Unit members shall be represented by the legal person of the unit to participate in the activities of the association, and may also be entrusted by the unit in writing to participate in the activities of the association. Each member unit can only send one representative to participate in our activities.
Article 9 A unit member applying to join this Association must meet the following conditions:
(a) support the articles of association;
(2) Having the will to join this Association;
(three) should hold a business license and other relevant documents.
Article 10 The procedures for members to apply for membership are:
(1) Submit an application form for membership;
(2) adopted by the Council;
(3) go through the membership procedures.
Article 11 Members shall enjoy the following rights:
(1) Attending the general meeting of members and participating in the activities of the Association;
(2) Having the right to vote, to be elected and to vote;
(3) Obtaining preferential treatment and preferential services from the Association;
(four) the right to put forward suggestions, opinions and supervision on the work of this association;
(5) Freedom to join and quit voluntarily.
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association;
(two) to implement the resolutions of this Council;
(three) to safeguard the legitimate rights and interests of the association;
(four) to complete the work assigned by the association;
(5) Paying membership dues on time;
(6) Report the situation to this Council and provide relevant information.
Thirteenth members pay membership fees:
(1) The unit where the president works pays the membership fee of 30,000 yuan every year;
(2) The vice-president of this unit pays the annual membership fee of 20,000 yuan;
(3) The standing director unit shall pay an annual membership fee of 10,000 yuan;
(4) The director unit pays an annual membership fee of 3,000 yuan;
(five) member units pay a membership fee of one thousand yuan every year.
Article 14 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. Members 1 year who fail to pay their membership fees or participate in the activities of the association are deemed to have withdrawn automatically.
Fifteenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this trade association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 16 The Association consists of members. The general meeting of members is the highest authority of the association, exercising its functions and powers in accordance with national laws, regulations and the articles of association of trade associations.
Article 17 The general meeting of members shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the scope of laws and regulations;
(two) to elect or recall the president, vice president, directors and supervisors;
(3) To review the annual work reports and annual financial budget and final accounts plans of the board of directors and the board of supervisors;
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of this Association;
(six) to change or cancel the inappropriate decisions of the Council;
(seven) to formulate or amend the articles of association and election methods of the organization;
(8) Deciding to terminate.
(9) Deciding on other major matters.
Article 18 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim general meeting may be held.
Nineteenth members of the general assembly must be attended by more than two thirds of the members; Its resolution shall be adopted by more than half of all members.
The general meeting of members shall make minutes of the decisions on the matters discussed and make an announcement to the members.
Article 20 The Association shall have a Council. The board of directors is the permanent body of the general assembly, and performs its duties in accordance with the resolutions of the general assembly and the provisions of the Articles of Association when the general assembly is not in session. The number of directors is one third of the number of members.
Article 21 The functions and powers of the Council are:
(1) Preparing for convening a general meeting of members;
(two) to implement the resolutions of the general assembly and report to the general assembly;
(three) to decide on the specific work and business of the association;
(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
(five) to formulate plans for increasing or decreasing the registered capital of the Association;
(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;
(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member;
(8) To appoint or dismiss the Secretary-General and decide on the principal responsible persons of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, and decide on their remuneration;
(nine) to formulate the internal management system of the association;
(ten) other matters stipulated in the articles of association.
Article 22 The Council shall meet at least once a year. Under special circumstances, it can also be convened by communication. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 23 The Association shall establish a standing council, which shall be responsible to the council. The Standing Council consists of President, Vice President and Executive Director. The number of executive directors is one third of the number of directors. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the functions and powers of items 1, 2, 4, 5, 6, 7, 8 and 9 of Article 21. The Permanent Council shall meet at least once every six months; Special circumstances can also be held by means of communication. A resolution made by the Standing Council must be passed by more than half of the standing directors.
The Standing Council shall make minutes of the decisions on the matters discussed.
Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:
(a) the secretariat of the association put forward a specific plan for setting up branches;
(two) submit the specific plan to the president's office meeting for discussion and adoption;
(3) Submitting the adopted specific plan to the Council for deliberation and approval;
(four) reported to the social organization registration authority for examination and approval.
Article 25 The Company shall set up a board of supervisors, which is composed of 1 chairman and 2 supervisors. The board of supervisors is elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and may be re-elected upon expiration.
The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not received criminal punishment;
(6) Having full capacity for civil conduct.
Article 27 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General. The Board of Directors of this Association has the right to appoint the Secretary-General.
Article 28 The Association shall have a president for each session, who is the legal representative of the Association and may not concurrently serve as the legal representative of other social organizations.
The Association shall have an honorary president, who shall be appointed by the Council of the Association as the leader of the competent department of industry and business.
Article 29 The term of office of the President and Vice President of the Association shall be four years, and the term of office shall not exceed two terms.
Article 30 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the meeting of the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the general assembly and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of this Council.
Article 31 The vice-president and the secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) Coordinating the work of branches, representative offices and entities;
(4) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) Handling other daily affairs.
Honorary President and Secretary-General attend meetings of the Council and the Standing Council as nonvoting delegates.
Article 32 The Board of Supervisors shall exercise the following functions and powers:
(a) Report on its annual work to the General Assembly;
(two) to supervise the election and recall of the general assembly and the Council; Supervise the Council to implement the resolutions of the general assembly.
(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments;
(4) Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board;
(5) Supervising the compliance of the Council with laws and articles of association. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the general meeting or relevant government departments when necessary.
Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the general meeting of members, and earnestly perform their duties.
Chapter V Principles of Asset Management and Use
Article 33 The sources of funds of this Association are:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Donors, sponsors or units, members and directors have the right to inquire about the use and management of donated property and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 35 the funds of this association must be used for the business scope and career development as stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 36 If the president, vice-president, directors, supervisors, secretary-general and staff of the Association privately divide, occupy or misappropriate the property of the Association, they shall be returned and reviewed by the general meeting of members; If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 37 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.
The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.
Article 38 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 40 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.
Article 41 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.
Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.
Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 43 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the general meeting of members for deliberation.
Article 44 The revised articles of association of this Association shall come into effect after being approved by the registration authority within 30 days after being adopted by the general meeting of members.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 45 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
(a) to complete the purpose stipulated in the articles of association;
(2) The general meeting of members decides to dissolve;
(3) Division or merger of the association;
(4) Failing to continue working according to the purpose stipulated in the articles of association,
Article 46. The motion to terminate the association must be voted by the general meeting of members and reported to the registration authority of the association for approval.
Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of the relevant organs and units for the registration and management of associations, to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within/0/5 days from the date of liquidation, go through the formalities of cancellation of registration with the registration authority.
Article 48 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 49 The remaining assets after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 50 The Articles of Association was adopted by the shareholders' meeting on February 28, 2006.
Article 51 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
