Chapter I General Provisions
Article 1 In order to standardize the contract verification of trading projects, according to the People's Republic of China (PRC) Contract Law, People's Republic of China (PRC) Bidding Law, People's Republic of China (PRC) Procurement Law, People's Republic of China (PRC) Bidding Law Implementation Regulations, Interim Measures for the Administration of the Transfer of State-owned Property Rights of Enterprises, Operating Rules for the Trading of State-owned Property Rights of Enterprises and other laws and regulations,
Article 2 The term "contract verification" as mentioned in these Measures refers to activities such as content review, answering questions and registration management. Legally signed contracts for all items traded in the trading center.
Article 3 Contract verification shall be conducted in strict accordance with the provisions of laws and regulations, according to the contents of tender announcement, tender documents, tender documents and bid-winning notice, in accordance with the law, efficiently and fairly.
Article 4 Contract verification shall examine whether the substantive contents of the contract, such as the parties, subject matter, price, quality, performance period and performance method, are consistent with the tender documents and the bid-winning notice.
Article 5 The General Department shall designate a special person to be responsible for the contract verification.
Chapter II Verification of Construction Project Contracts
Article 6 The following materials of the winning bidder shall be examined in the contract verification of construction projects:
(a) the original and photocopy of the bid-winning notice;
(2) All construction contracts signed (original and copy);
(3) Various guarantees required by the tender documents;
(4) Original or photocopy of the company's local tax registration certificate;
(5) If a foreign Jian 'an enterprise wins the bid, it shall examine the business license, capital verification report and other supporting documents of its subsidiaries registered in our city;
(six) other documents that need to be audited.
Article 7 The audit contents of construction contract verification include:
(a) whether the contract is consistent with the template stipulated in the tender documents, and whether the seal is in compliance with the law;
(two) whether the contents of the tenderer, the winning bidder, the construction period, the cost and the project manager are consistent with the bid-winning notice;
(3) Whether the contract price, payment, advance payment, progress payment, construction delay, breach of contract clauses, claims, disputes, warranty and other substantive contents are consistent with the bidding documents;
(four) whether the payment of various guarantees is correct;
(five) whether the subsidiary is established according to law and whether the contract signed by the subsidiary is correct;
(six) whether the stamp duty has been paid;
(seven) other contents that need to be audited.
Chapter III Contract Verification of Government Procurement Projects
Article 8 When conducting contract verification for government procurement projects, the following materials of the winning bidder shall be examined:
(a) the original and photocopy of the bid-winning (transaction) notice;
(2) All signed contracts (originals and copies);
(3) Performance bond receipt or performance guarantee;
(four) other materials that need to be audited.
Article 9 The audit contents of government procurement contract authentication include:
(a) the person in charge of the project to review and confirm whether the technical terms and other substantive contents meet the requirements of the tender documents;
(two) whether the contract is consistent with the template stipulated in the tender documents;
(three) whether the parties to the contract are consistent with the client and the winning bidder of the bid-winning notice, and whether the seal is in compliance with the law;
(4) Whether the terms such as payment method, delivery date, warranty period, performance bond and dispute settlement are consistent with the bidding documents;
(5) Whether the stamp duty has been paid;
(six) whether the performance bond or performance guarantee is paid correctly;
(seven) other contents that need to be audited.
Chapter IV Contract Verification of Property Rights Transaction Projects
Tenth for property rights transaction project contract verification, the following materials shall be audited:
(a) the original and photocopy of the bid-winning (transaction) notice;
(2) Announcement on the transfer (lease) of property rights;
(3) All contracts signed (originals and copies);
(four) other materials that need to be audited.
Eleventh property rights transaction project contract verification shall include:
(1) Names and domiciles of both parties to the property right transaction;
(two) the basic situation of the transfer object;
(3) the mode of property right transfer;
(four) whether the employees of the transfer target enterprise continue to be employed and how to deal with them;
(5) Disposal of creditor's rights and debts of the target enterprise;
(6) Transfer price, payment method and payment term;
(7) Delivery of property rights;
(eight) the conditions for the entry into force of the contract, the dispute settlement method, the liability for breach of contract, the conditions for the modification and dissolution of the contract, etc. ;
(nine) whether the stamp duty has been paid;
(ten) other contents that need to be audited.
Article 12 The transferee shall pay off the transaction price of property rights in accordance with the contract (pay the down payment by installments, and provide legal and effective guarantee for the rest). After both parties pay the transaction service fee, the General Department shall issue the property right transaction certificate within 3 working days.
Thirteenth property rights transactions involve subject qualification examination, anti-monopoly examination, etc. After the transaction is approved by the relevant government departments, the General Department shall issue the Certificate of Property Right Transaction.
Article 14 The property right transaction certificate shall specify the project number, signing date, starting and ending date of listing, full name of transferor, full name of transferee, full name of transfer target, transaction method, evaluation result of transfer target, transfer price, payment method of transaction price, audit conclusion of property right transaction institution, etc.
Fifteenth "property transaction certificate" should be printed in a unified format, not handwritten or altered.
Chapter V Supplementary Provisions
Article 16 If the winning bidder needs to set up a subsidiary but does not set up a subsidiary, or is exempted from paying the performance bond, and applies for contract verification, it shall be handled according to the Notice on Printing and Distributing (Revised Edition).
Seventeenth through authentication, to fill in the contract approval form, affix the seal of contract authentication on the contract, and report the contract to Hefei bidding supervision bureau for the record.
