Articles of Association of Guangxi Construction Supervision Association
Chapter I General Provisions
Article 1 The name of this group is Guangxi Construction Supervision Association (hereinafter referred to as the Association).
Article 2 This Association is an industrial non-profit social organization composed of various supervision enterprises (businesses) and supervision engineers engaged in engineering construction consulting and supervision according to law in Guangxi.
Article 3 The purpose of this Association is to implement the Party's line, principles and policies, abide by the Constitution, laws, regulations and national policies, observe social morality, take economic construction as the center, safeguard the supervision market order, safeguard the legitimate rights and interests of its members, promote the self-improvement, self-improvement and self-development of supervision enterprises, communicate the links between the government and its members, reflect the demands and opinions of members to relevant government departments in time, and provide services for the decision-making of construction units and government departments.
Article 4 This Association accepts the leadership of Guangxi Construction Department and the supervision and management of Guangxi Civil Affairs Department.
Article 5 The meeting place of this Association is located at No.49 Chaoyang Road, Nanning. In the compound of Guangxi Construction Engineering Group.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(a) to study and discuss the theory, principles, policies and working methods of construction supervision;
(two) to assist the competent government departments to vigorously promote the institutionalization, standardization and standardization of supervision;
(three) to publicize and implement the relevant laws, regulations, normative documents and technical standards. Promote scientific and technological progress;
(four) organize the exchange and promotion of advanced experience in construction supervision, assist the competent government departments, and hold training courses, seminars and special lectures on technology, economy, project management and construction supervision;
(five) to safeguard the legitimate rights and interests of members and reflect the opinions and suggestions of members and industry personnel to the relevant government departments;
(six) to provide technical information and consulting services for members;
(seven) to organize the selection and recognition of units and individuals that have made outstanding contributions in the construction supervision work;
(eight) to assist members to do a good job in ISO900 1 quality system certification;
(nine) to undertake the tasks assigned by the government and undertake the work required by member units and other associations;
(ten) to establish and develop contacts with the same industry organizations, and carry out exchanges and cooperation activities related to supervision business.
Chapter III Members
Article 7 Members of this Association are divided into unit members, individual members and honorary members.
Article 8 A member applying to join this Association must meet the following conditions:
(1) Any supervision enterprise approved by the Ministry of Construction and the construction administrative department of the autonomous region to establish and obtain a business license, any supervision enterprise (enterprise) or consulting agency that conducts engineering supervision business in Guangxi, abides by laws and regulations, maintains professional ethics, performs contractual obligations, protects the legitimate interests of customers and social interests, has a good social reputation, supports the articles of association of the Association, and is willing to join the Association, can apply to join the Association and become a formal unit of the Association after approval.
(2) Individuals who have been engaged in professional supervision or consulting for more than three years, have good political quality and outstanding professional and technical level, hold the national supervision engineer certificate or consulting qualification certificate, support the articles of association of this Association, and are willing to join this Association may apply to join this Association and become a formal individual member of this Association after approval.
(three) supervision, management personnel or related experts and scholars who have made outstanding contributions in the construction (supervision) work; And any relevant colleges, associations, organizations and consulting institutions that care about, support, love the construction (supervision) cause and support the articles of association of this association may apply voluntarily and become honorary members after approval. Honorary members have no right to vote, have no right to vote and be elected, and honorary members do not pay fees.
Article 9 Membership Procedures: Eligible units or individuals shall submit a written application to join the Association, and only after being approved and registered by the Council can they become full members. The office authorized by the Council will issue a membership card and a copy of the articles of association.
Article 10 Members shall enjoy the following rights:
(a) have the right to participate in various activities organized by the association.
(2) Have the right to vote and stand for election.
(3) To have the right to vote on the proposals of the members' congresses.
(4) Give priority to various services provided by the Association.
(five) have the right to criticize, suggest and supervise the work of the association.
(6) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations
(1) Abide by the articles of association and implement the resolutions of the Association.
(two) to accept the work entrusted by the association and provide the relevant information needed by the association.
(three) to safeguard the legitimate rights and interests of the association.
(4) membership fees paid according to regulations. And pay in the first quarter of each year.
Article 12 A member who voluntarily withdraws from the meeting shall submit a written application, which shall be discussed and approved by the board of directors, withdraw his membership card and terminate his membership. If a member fails to pay the membership fee or participate in the activities of the association for more than one year without justifiable reasons, it will be deemed as automatic withdrawal and the association will remove him.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The members' congress of this Association is the highest authority of this Association. Members' congresses are composed of representatives elected by members for a term of five years.
The main functions of the members' congress are:
1, formulate or modify the Articles of Association.
2. Elect or recall directors and elect the Council.
3. To hear and consider the work report of the Council.
4, discuss the issues of the congress, and make a resolution.
5. Decide on the working principles and tasks of the Association.
6. Decide on major changes or termination of the Association.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be approved by the board of directors and reported to the Guangxi Construction Department and the Guangxi Civil Affairs Department for approval, but the extension of the general election shall not exceed one year.
Article 17 The Council is composed of directors elected by member representatives and is the executive body of the general meeting of members. Leading the association to carry out daily work during the intersessional period and be responsible to the member congress. The term of office of the Council is five years.
Article 18 The main functions and powers of the Council are:
(a) responsible for the implementation of the resolutions adopted by the members' congress, and responsible for drafting the work report submitted to the members' congress.
(2) Organize the election of 1 principal and several vice-principals. And in the selection of vice president, the president nominated and decided to have 1 executive vice president. According to the nomination of the president, it is decided to have 1 secretary-general. If the president, vice president and executive president are unable to complete their term of office for some reason, the Council shall elect a successor president from among the vice presidents and a successor executive director from among the directors. The term of office of the new personnel will end at the end of the next Congress.
(three) to prepare for the convening of the members' congress.
(four) to report the work and financial situation to the members' congress.
(5) Deciding to absorb or recall members.
(6) Deciding to set up offices or entities, manage internal offices, and determine relevant responsible persons.

(eight) to lead the institutions of the Association to carry out their work and manage the property of the Association.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 The Association shall establish a standing council. The Standing Council is the permanent body of the Association, elected by the Council, and exercises the functions and powers of items 1 3, 5, 6, 7, 8 and 9 of Article 18 when the Council is not in session. The standing Council is responsible to the Council and reports on its work (the number of standing directors shall not exceed 1/3 of the number of directors).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months.
Article 24 The legal representative of this Association is the president, and does not concurrently serve as the legal representative of other organizations. The President, Vice-President and Secretary-General of this Association must meet the following requirements:
(a) adhere to the party's line, principles and policies and good political quality.
(2) It has great influence in the business field of the Association.
(3) The highest post-holding age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time.
(4) Being healthy and able to work normally.
(5) Having not been subjected to criminal punishment of deprivation of political rights.
(6) Having full capacity for civil conduct.
Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council, submitted to the Guangxi Construction Department for review and approved by the Guangxi Civil Affairs Department before taking up their posts.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the member congress, reported to the Guangxi Construction Department for review, and approved by the Guangxi Civil Affairs Department before taking office.
Article 27 The president of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other societies.
Article 28 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Standing Council.
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council. (3) Signing relevant important documents on behalf of the Association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan.
(2) Nominating candidates for Deputy Secretary-General.
(three) to decide on the employment of full-time staff of organs and units.
(4) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 The assets of the Association are * * * property, and the assets of the Association shall be managed in accordance with the relevant provisions of the state and the articles of association of the Association. Source of funds:
(1) Annual membership fee paid by members.
(2) Funding from interested parties and funding from groups or individuals.
(3) Income from activities or services carried out by the Association within the approved and registered business scope and income from the establishment of economic entities.
(4) interest.
(5) Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Thirty-third strict implementation of national accounting laws and regulations, establish and improve the accounting system, and ensure that accounting information is legal, true, accurate and complete.
70% of the economic income earned by the association is used to develop undertakings that meet the purpose of the association; Thirty percent is used for the daily management of the association.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. Accounting personnel must go through the handover procedures with the recipient before transferring their jobs or leaving their posts.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Thirty-sixth before the association changes its legal representative, it must accept the financial audit organized by Guangxi Civil Affairs Department and Guangxi Construction Department.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 39 Any amendment to the articles of association of this Association must be approved by the Council and submitted to the general meeting for deliberation.
Article 40 The revised articles of association of the Association shall come into effect within 15 days after being approved by the Guangxi Construction Department and the Guangxi Civil Affairs Department.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If the Association completes its purpose or is dissolved by itself due to division or merger or needs to be revoked, the Council shall propose a termination agreement.
Article 42 The termination agreement of the Association shall be approved by the members' congress and reported to the Guangxi Construction Department for approval.
Forty-third before the termination of this association, under the guidance of Guangxi Construction Department and relevant competent departments, we must determine the candidates for the aftermath, set up a liquidation organization, clean up the creditor's rights and debts, and do a good job in the aftermath together with relevant departments. During the liquidation period, no activities other than liquidation shall be carried out.
Article 44 This Association shall be terminated after the cancellation of registration by the Civil Affairs Department of the autonomous region.
Article 45 The remaining assets after liquidation of this Association shall be disposed of in accordance with relevant state regulations under the supervision of Guangxi Construction Department and Guangxi Civil Affairs Department, and used for the development of undertakings related to the purpose of this Association.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the general meeting of members on June 30, 2004.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into effect as of the date of approval by Guangxi Civil Affairs Department.
