Articles of Association of Wuhan Property Management Association
Article 1 The name of the Association is Wuhan Property Management Association, which is translated into English as Wuhan Property Management Association. Article 2 This Association is a non-profit trade organization composed of Wuhan property management enterprises, property management related units and related professionals. It acts as a bridge between the government and property management enterprises, helps the government to strengthen industry management, conveys the government's policy intentions, reflects the wishes and requirements of property management enterprises, and promotes the revitalization and development of the property management industry. Article 3 The purpose of this Association is to cultivate and develop Wuhan's property management market in accordance with the spirit of reform and opening up, promote exchanges with the same industry at home and abroad, serve enterprises and management institutions in the industry, safeguard the legitimate rights and interests of property management enterprises, and make positive contributions to promoting social and economic development and meeting the people's growing material and cultural needs. Article 4 This Association is a social organization with legal personality registered in Wuhan Civil Affairs Bureau. The competent department of business is Wuhan Real Estate Administration, and the Association accepts the business guidance, supervision and management of Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau. Article 5 The meeting place of this Association is located in Wuhan, Hubei Province.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
1, under the leadership of government departments in charge of industry, publicize industry policies and regulations, organize experience exchange, formulate rules and regulations, and promote the construction of spiritual civilization. 2. Assist government departments in charge of industry, formulate industry management standards, implement relevant government policies, coordinate problems in implementation, promote horizontal economic association and technological progress of enterprises, cultivate large property management enterprise groups, and improve the overall quality and social and economic benefits of the whole industry. 3 understand and master the basic situation of property management enterprises, carry out property management research, discuss and solve new situations and new problems in the industry.
4. Provide services for the management and development of member units, and collect and sort out publications or materials reflecting research results and industry-related information; Organize and participate in seminars at home and abroad, promote technical and academic exchanges, hold professional training and provide consulting services. 5. To undertake matters entrusted by government departments, social organizations or members.
6, safeguard the legitimate rights and interests of members, according to the need to carry out other activities conducive to the development of the industry.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members. Article 8 A member who applies to join this Association must meet the following conditions: 1, supporting the articles of association; 2. Voluntary application to join the association; 3. Have a certain influence in the business field of the association; 4, the unit members should be engaged in property management enterprises and related units; 5. Individual members should be experts, scholars and social celebrities who are enthusiastic about property management and have certain practical experience. Article 9 The procedures for joining the club are as follows:
1. Submit membership application;
2. The District Council will sign opinions;
3, the president's office meeting examined and approved;
4, by the secretariat for membership procedures.
Article 10 Members shall enjoy the following rights:
1, the association's right to vote, to be elected and to vote;
2. Participate in the activities of the Association;
3. Priority in obtaining the services of the Association;
4. Have the right to criticize, suggest and supervise the work of the Association;
Joining is voluntary and quitting is free. Article 11 Members shall perform the following obligations: 1. Abide by the articles of association and implement the resolutions of the association; 2. Safeguard the legitimate rights and interests of the Association; 3. Actively participate in the activities organized by the Association and strive to complete the work entrusted by the Association; 4. Pay membership dues on time according to regulations; 5, concerned about the work of the association, timely report to the association, provide relevant academic papers, investigation reports, research results and other information. Article 12 When a member withdraws from the meeting, he shall report in writing to the branch meeting and the Municipal Association respectively, and go through the withdrawal formalities at the Secretariat of the Municipal Association. If a member fails to perform the obligations of the association without reason or fails to pay the membership fee for one year, it will be regarded as automatically withdrawing from the association. Article 13 A member who seriously violates the Articles of Association may be expelled from the membership with the approval of more than two thirds of the directors of the Council.
Chapter IV Creation and Removal of Organizational Structure and Responsible Person
Article 14 The highest authority of Wuhan Property Management Association is the general meeting of members. The functions and powers of the General Assembly are: 1. To formulate and amend the Articles of Association; 2. Election and removal of directors; 3. To hear and consider the work report and financial report of the Council; 4. Decide on the working principles and tasks of the Association; 5. To listen to and consider the financial budget and settlement of the Association; 6. Decided to terminate; 7. Decide on other major issues. Article 15 The general meeting of members shall be held once a year. A general meeting of members must be attended by more than two thirds of the members. The decision of the meeting is valid only when more than half of the members present vote. Article 16 The general meeting of members shall be held every three years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be approved by the board of directors and reported to Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau for the record. But the extension (transition period) shall not exceed one year at the longest. Article 17 The Council of the Association is the executive body of the general assembly, which is democratically elected by the general assembly, leads the Association to carry out its daily work during the intersessional period and is responsible to the general assembly. Article 18 Duties of the Council: 1. To implement the resolutions of the general meeting of members; 2. To elect and recall the president, vice-president and secretary-general; 3. Prepare for the general meeting of members; 4. Report the work to the shareholders' meeting; 5. Formulate and submit the annual financial budget and financial report; 6. Decide on the absorption or recall of members; 7. Decide to set up offices, branches and entities; 8. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions; 9. To lead the work of various institutions of the Association; 10, formulate internal management system; 1 1. Decide other important matters. Article 19 The board of directors shall be valid only if more than two thirds of the directors or authorized representatives are present, and the resolutions of the board of directors shall be valid only if the directors or authorized representatives present at the meeting vote and obtain more than two thirds of the total votes. Article 20 The Council shall meet at least once a year. Under special circumstances, it can also be convened by communication. Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 6, 7, 9 and 10 when the Council is not in session, and is responsible to the Council. Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting. Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.
Article 24 The Association shall set up a president's office meeting.
1. The president's office meeting consists of the president, the vice president and the secretary-general, and can also be extended to the deputy secretary-general or the person designated by the president to attend;
2. The President's Office exercises its functions and powers when the Standing Council is not in session, and is responsible to the Standing Council.
Article 25 The Association shall set up a secretariat consisting of 1 secretary-general and several deputy secretaries-general, and the secretariat shall be the permanent office of the Association.
Article 26 The president, vice-president and secretary-general of this Association must meet the following conditions: 1. Adhere to the party's line, principles and policies and have good political quality; 2. It has great influence in the business field of the association; 3. The maximum age of the president, vice-president and secretary-general shall not exceed 70 years old; 4, good health, can adhere to normal work; 5. No criminal punishment of deprivation of political rights; 6. Have full capacity for civil conduct. Article 27 The president, vice-president and secretary-general of the Association shall be approved by the Council and reported to Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau for approval before taking up their posts. Article 28 The term of office of the President, Vice-President and Secretary-General of this Association is three years, and the term of office of the President, Vice-President and Secretary-General shall not exceed two terms at the longest. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members of the general assembly and reported to Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau for the record before taking office. Article 29 The president of the Association shall be the legal representative of the Association, and the legal representative of the Association shall not concurrently serve as the legal representative of other organizations. Article 30 The President of the Association shall exercise the following functions and powers: 1. Convene and preside over the office meetings of the Council, the Standing Council and the President; 2, check the implementation of the resolutions of the General Assembly, the Council, the Standing Council and the President's Office; 3. Sign relevant important documents on behalf of the Association. Article 31 The Secretary-General of this Association shall exercise the following functions and powers:
1, presiding over the daily work of the office and organizing the implementation of the annual work plan; 2. Coordinate the work of branches and entities; 3. Nominate the Deputy Secretary-General and the principals of offices and units, and report to the Council or the Standing Council for decision; 4. Decide on the employment of full-time staff in offices and entities; 5. Handle other daily affairs.
Article 32 The Association has established several branches, which are grass-roots organizations and do not have independent legal personality. Set up branches in different regions, and all affairs are managed by the municipal association.

Chapter V Principles of Asset Management and Use
Article 35 The source of funds of the Association: 1, membership fee; 2. Donation; 3. government funding; 4. Income from activities or services provided within the approved business scope; 5. interest; 6. Other lawful income. Article 36 The Association collects membership fees in accordance with relevant state regulations.
Article 37 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Article 38 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data. Article 39 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. Where the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of the financial auditing organ and publish relevant information to the society in an appropriate way. Article 41 Before an association changes its term of office or changes its legal representative, it must be audited by a professional auditing institution.
Article 42 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. Article 43 The wages, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the state.
Chapter VI Procedures for Amending the Articles of Association
Forty-fourth amendments to the articles of association of this association must be approved by the Council and reported to the general meeting for consideration. Article 45 The revised articles of association of this Association shall come into effect after being adopted by the general meeting of members and reported to Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau for approval.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 46 If an association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion. Article 47 The motion to terminate this association must be voted by the general meeting of members and reported to Wuhan Real Estate Administration and Wuhan Civil Affairs Bureau. Forty-eighth before the termination of this association, a liquidation organization shall be established under the guidance of a professional audit institution to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 49 The Association shall be terminated after the cancellation of registration by Wuhan Civil Affairs Bureau.
Article 50 Under the supervision of Wuhan Real Estate Administration Bureau and Wuhan Civil Affairs Bureau, the remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 51 The Articles of Association was adopted by the shareholders' meeting on July 9, 2006.
Article 52 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 53 The Articles of Association shall come into force as of the date of approval by Wuhan Civil Affairs Bureau.
