Chapter I General Principles

Article 1 The name of this Association is "china property management institute", referred to as "Chinese Material Association" for short. English name: China Property Management Institute (CPMI for short).

Article 2 This Association is a national industrial non-profit social organization voluntarily composed of professionals and units engaged in property management, termite control, house safety appraisal and property maintenance fund management.

Article 3 The purpose of this Association is to adhere to and implement Scientific Outlook on Development under the guidance of Deng Xiaoping Theory and Theory of Three Represents, abide by the Constitution, laws, regulations and national policies, and abide by social ethics; Under the condition of China's socialist market economy, we should unite and organize members, adhere to the principle of "two-way service" for government decision-making and for the reform and development of industries and enterprises, actively assist the government in strengthening industry management, convey and implement national laws, regulations, principles and policies, timely reflect the wishes and requirements of the majority of member enterprises, and play a bridge role between the government and enterprises.

Article 4 This Association accepts the professional guidance, supervision and management of the Ministry of Housing and Urban-Rural Development and the Ministry of Civil Affairs.

Article 5 The domicile of this Association is located in Beijing.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(a) in-depth investigation and study of the industry, actively reflect the demands of the industry and members to the government departments, and put forward opinions and suggestions on the development and legislation of the industry;

(two) actively participate in the study and formulation of relevant laws and regulations, macro-control and industrial policies, participate in the formulation and revision of industry standards and industry development plans, industry access conditions, improve industry management and promote industry development;

(3) Focus on standardizing the market order, improve various self-discipline management systems, formulate and organize the implementation of professional ethics in the industry, vigorously promote the construction of industry integrity, establish and improve the self-discipline management and restraint mechanism in the industry, standardize member behavior, coordinate member relations, and maintain a fair and competitive market order;

(four) according to the authorization of industry statistics, grasp the development trends of domestic and foreign industries, and collect and publish industry information;

(five) in accordance with the relevant provisions of the state to establish newspapers and websites, to carry out legal, policy, technology, management, market and other consulting services;

(six) to organize training in talents, technology, management, laws and regulations, etc., to help member enterprises improve their quality, enhance their innovation ability and improve their management;

(seven) to participate in industry qualification certification, new technology and new product identification and promotion, accident identification and other related work;

(eight) commissioned by the government, according to the needs of market and industry development, to undertake or hold trade fairs and exhibitions, to create conditions for enterprises to explore the market;

(nine) to establish a talent pool of industry experts and organize experts and scholars to participate in the preliminary research and demonstration of government decision-making. Organize academic exchanges, collect and sort out the latest scientific and technological trends and achievements in the industry, promote technological progress in the industry, and promote the transformation of scientific and technological achievements into productive forces;

(ten) the construction of foreign exchange service platform, carry out economic and technological exchanges and cooperation at home and abroad, contact relevant international organizations, guide, standardize and supervise the foreign exchange activities of member enterprises;

(eleven) other work entrusted by government departments.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

(a) unit members: with independent civil legal personality; Engaged in property management, termite control, housing safety appraisal, property maintenance fund management and related enterprises and institutions, local social organizations and related industry organizations.

(2) Individual members: professional managers, experts and scholars, social celebrities or heads of relevant institutions who are enthusiastic about the cause of the Bank and have certain practical experience and have certain influence and popularity in the industry.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(three) have achieved certain results and have a certain impact in the industry.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(two) discussed and approved by the president's office meeting;

(3) The Secretariat shall go through the membership procedures and issue a membership certificate.

Article 10 Members shall enjoy the following rights:

(a) the right to vote, to be elected and to vote.

(two) to participate in the activities of this association;

(three) the priority of obtaining the service of this association;

(four) have the right to suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(a) to implement the resolutions of this Council;

(two) to safeguard the legitimate rights and interests of this association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide academic papers, investigation reports, research results and other relevant materials;

(six) actively participate in the activities organized by this association.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.

If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.

Thirteenth members who seriously violate the articles of association of the Association shall be removed from the membership by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 Members' congresses are held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors and reported to the Ministry of Housing and Urban-Rural Development and the Ministry of Civil Affairs for approval. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

Board members (except individual members) shall implement the unit board system. When a director is unable to perform his duties during his term of office or needs to be replaced for other reasons, the unit to which he belongs shall recommend another director after obtaining the consent of the Association Secretariat.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) To decide on the establishment or termination of offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once every two years; Under special circumstances, an exchange meeting can also be held.

Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once a year; In case of special circumstances, communication can also be held.

Article 24 The Association shall have 1 President, several vice-presidents and 1 Secretary-General, and the procedures for its creation, appointment and removal shall be implemented in accordance with the relevant provisions of the competent business department, the association registration authority and the articles of association.

Article 25 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(two) the association has a great influence in the business field;

(3) The maximum working age of the president and vice-president shall not exceed 70 years old, and the maximum working age of the secretary-general and deputy secretary-general shall not exceed 65 years old, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 26 The president, vice-president and secretary-general of this Association shall be approved by the Council, submitted to the Ministry of Housing and Urban-Rural Development for review and approved by the Ministry of Civil Affairs before taking up their posts.

Article 27 The term of office of the President, Vice-President and Secretary-General of this Association is four years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members' representatives at the member congress, reported to the Ministry of Construction for review, and approved by the Ministry of Civil Affairs before taking office.

Article 28 The legal representative of this Association is the president. If the president is unable to serve for any reason, he may authorize the vice president or the secretary general to serve.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 29 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Standing Council;

(two) to check the implementation of the resolutions of the members' congress and the Standing Council;

(3) Signing relevant important documents on behalf of the Association.

Article 30 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Article 31 The secretariat is the office of the Council. The Secretariat is chaired by the Secretary-General. The secretariat may set up several working departments according to the actual work needs. The working department is proposed by the president's meeting and established after the approval of the Council or the Standing Council.

Article 32 In order to adapt to and promote the development of business work, the Association may establish several professional branches.

(1) A professional branch is an integral part of the Association and does not have legal personality, and its legal liability shall be borne by the Association. According to the regulations, no regional branches or other branches will be established;

(two) the main task of the professional branch is to carry out activities, put forward suggestions and promote the work around the purpose, business scope and work plan of the association and in view of the problems existing in this major;

(3) Each branch shall develop its members and carry out activities within the scope stipulated in the articles of association. The development members of each branch are full members of the association, and the membership cards are uniformly issued by the association.

(four) the establishment of professional branches, proposed by the president's office meeting, reviewed and approved by the Council or the Standing Council, and reported to the higher authorities for approval. The branch shall be elected by the plenary meeting of the professional committee to elect a director, deputy director and several standing committee members, who shall be responsible for handling the daily work of the professional branch;

(five) the professional branch shall formulate working rules according to the articles of association and implement them after being approved by the Council or the Standing Council of the Association. The personnel arrangement, annual work plan and major activities of the deputy director of the professional branch shall be reported to the Council of the Association or the Standing Council for approval in advance, and the secretariat of the Association shall be responsible for coordination.

(six) the financial affairs of each branch shall be brought into the unified management of the association, collect membership fees and subsidies according to the authorization of the association, use unified bills, and establish separate accounts to represent the financial accounts. Each branch shall submit the fund income and expenditure plan, financial budget and final accounts and financial audit report to the secretariat of the Association on an annual basis.

Chapter V Principles of Asset Management and Use

Article 33 The sources of funds of this Association are:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 34 The membership fee standards and collection methods of this Association shall be implemented after being approved by the members' congress.

Article 35 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 36 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 37 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. Accounting personnel must go through the formalities with the recipient when they transfer their jobs or leave their posts.

Article 38 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.

Article 39 Before the association changes its legal representative, it must accept the financial audit organized by the Ministry of Civil Affairs and the Ministry of Construction.

Article 40 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 41 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Forty-second amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 43 The revised articles of association of this Association shall come into effect within 15 days after being approved by the Ministry of Construction and the Ministry of Civil Affairs.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 44 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 45 The motion to terminate this Association must be voted by the members' congress and submitted to the Ministry of Construction for approval.

Forty-sixth before the termination of this association, a liquidation organization shall be established under the guidance of the Ministry of Housing and Urban-Rural Development and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 47 This Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.

Article 48 The remaining property after the termination of this Association shall be used to carry out matters related to the purpose of this Association under the supervision of the Ministry of Housing and Urban-Rural Development and the Ministry of Civil Affairs in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 49 The Articles of Association was adopted by the members' congress on June 26, 20 10.

Article 50 The right to interpret these Articles of Association belongs to the Council of this Association.

Article 51 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
