Articles of Association of Shenzhen Property Management Association
Article 1 Shenzhen Property Management Association (hereinafter referred to as Shenzhen Property Management Association) is an industrial social organization legally established by Shenzhen property service enterprises and other enterprises and institutions related to property service activities, and is a social organization legal person. All legitimate rights and interests of this Association are protected by national laws.
Article 2 This Association is supervised and managed by Shenzhen Municipal Administration of Non-governmental Organizations, and implements the laws, regulations and policies of the state, provinces and municipalities on the management of associations; Accept the professional guidance and supervision of Shenzhen Housing and Construction Bureau on property management.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies, to observe social morality and fashion, to standardize the business behavior of the industry, to safeguard the legitimate rights and interests of property service enterprises, and to promote the healthy development of the industry.
Article 4 The basic tasks of this Association: 1. Under the guidance of the competent government departments, implement the laws, regulations and relevant policies of the industry, reflect the suggestions and requirements of the industry to the government, and play a bridge role between the government and enterprises; 2. Formulate and implement industry self-discipline norms, promote property service enterprises to operate in good faith according to law, strengthen self-discipline supervision of property service enterprises and property service employees, establish integrity files and integrity risk early warning announcement system, handle complaints and mediate internal disputes in the industry; 3. Grasp the basic situation of industry development, collect and sort out domestic and foreign property management information, carry out industry surveys and academic research, organize and participate in domestic and foreign seminars, and provide property management consulting services for the industry and society; 4, the organization of property management industry practitioners business training, improve the professional quality of employees; Strengthen contacts with counterparts at home and abroad, Hong Kong, Macao and Taiwan, and promote horizontal cooperation and exchanges in the industry; 5. Assist the competent government department or accept the entrustment of the competent department to do a good job in the corresponding industry management; 6 to carry out paid service business activities related to the industry and set up paid service economic entities.
Chapter II Members
The association shall implement the system of "industry must belong to the association" according to law. Enterprises that have obtained property management qualification certificates and property service enterprises in different places that have signed property service contracts in Shenzhen shall join the association according to law; Other enterprises and institutions related to property management activities can join the association upon application, recognizing the articles of association, paying membership fees on time, participating in the activities of the association and completing the tasks assigned by the association; Employees who have obtained the qualification of national registered property manager and are employed in Shenzhen shall become members of the working committee of property managers of the Association in accordance with relevant regulations.
Article 6 A member must go through the following procedures: 1. Fill in the membership registration form; 2. Other relevant enterprises and institutions that need to apply for membership shall be examined and approved by the Standing Council of this Association after being audited by the Secretariat and confirmed by the president's office meeting; 3. Issue member confirmation letter, membership certificate and member plaque.
Article 7 Members of this Association shall enjoy the following rights: 1, the right to vote, the right to be elected and the right to supervise; 2. Have the right to suggest and criticize the work of this association; 3. Participate in relevant activities organized by the Association; 4. Obtain relevant information provided by the Association, enjoy the information provided by the Association, and participate in relevant activities organized by the Association; 5. Other enterprises and institutions related to property service activities are free to join and quit the club voluntarily. Article 8 Members of this Association have the following obligations: 1. Abide by the articles of association of this association; 2. Abide by the resolutions of this Council and complete the work entrusted by this Council; 3. Actively participate in the activities organized by the Association; 4. Truthfully provide the relevant information and materials required by this Association; 5. Safeguard the legitimate rights and interests of this Association; 6. Pay the dues on time.
Article 9 Members of other enterprises and institutions related to realty service activities shall notify this Association and return their membership cards and plaques; If you don't pay the fee for one year, it will be regarded as automatic withdrawal. If you quit automatically, you must return your membership card and plaque, and the association will announce it regularly. For those who violate the articles of association and do not listen to the advice, their membership may be revoked by more than two-thirds of the votes of the Standing Council.
Chapter III Organizational Structure
Article 10 The members' congress is the highest authority of this Association. Members' Congress is held once a year. When necessary, it may be held in advance or postponed after discussion and decision by the Council. Member representatives are elected by members, and the specific election measures shall be formulated separately by the Standing Council. A general meeting of members must be attended by more than two thirds of the members' representatives, and the decisions made at the meeting must be approved by more than half of the members' representatives attending the general meeting. Amendments to the Articles of Association shall take effect only with the consent of more than two thirds of the members' representatives attending the general meeting. The members' congress consists of members' representatives, and the term of office is four years.
Article 11 The duties of the member congress are: 1. To formulate and amend the Articles of Association; 2. To consider and adopt the report on the work of the Council; 3. To examine and approve the financial budget and final accounts of the Association; 4. Dismiss directors and elect a new council; 5. Decide on other important matters of the Association.
Article 12 The Council of this Association is elected by the general meeting of members, and exercises the functions and powers of the general meeting when the general meeting is not in session. The Council is elected for a term of four years. The Council shall elect a president, several vice-presidents (executive vice-presidents are allowed), one secretary-general, one deputy secretary-general (except full-time deputy secretary-general employed by the Secretariat) and several executive directors to form a standing Council and preside over the work of the Council. The members of the Council and the Standing Council are composed of the heads of the elected governing units. The Council and the Standing Council shall be convened and presided over by the President's Office. The association will set up a secretariat to handle affairs and coordinate work for the association permanently. The Secretary-General presides over the daily work of the Secretariat. The vice-president (except the executive vice-president), deputy secretary-general (except the full-time deputy secretary-general hired by the secretariat), executive director, director and supervisor of the association are held by member units, taking into account the professional knowledge, qualifications and influence of the person in charge of the unit in property management and the contribution to the property management industry.
Article 13 A meeting of the board of directors shall be valid only if more than two thirds of the directors or authorized representatives are present. The resolution of the board of directors shall be valid only if it is approved by two-thirds of the directors or representatives present at the meeting. The Standing Council shall meet at least once every six months. Under special circumstances, it can also be held in the form of communication. The basic duties of the Council are: 1, implementing the resolutions of the members' congress; 2. Report to the members' congress; 3. Formulate and submit the annual financial budget; 4. Elect and recall the president, vice president (executive vice president may be established), secretary-general and other Council members; 5. Deputy Secretaries-General nominated by the Secretary-General (except full-time Deputy Secretaries-General employed by the Secretariat); 6, through the professional committee director and deputy director. 7. Decide on other important matters. The basic duties of the Standing Council are: 1. To formulate work plans and organize and lead the work and activities of the Council; 2. Decide on the absorption or recall of members; 3. Prepare for convening a member representative meeting; 4. Add vice presidents, deputy secretaries-general (except full-time deputy secretaries-general employed by the Secretariat) and directors;
Article 14 If more than 20% of the directors make a written request, the president's office meeting shall convene the board of directors according to the stated reasons.
Article 15 The Council may employ honorary presidents, senior consultants and consultants.
Article 16 The Association consists of development research committee, professional technical committee, comprehensive coordination committee, exchange training committee, self-discipline supervision committee and property manager working committee, among which the professional technical committee consists of mechanical and electrical equipment professional committee and termite control professional committee. According to the needs of the development of the association, other committees may also be established. As the working body of the Council, each committee reports its work to the Council and implements the resolutions of the Council. The chairman and deputy directors of the Committee shall be nominated by the president's office meeting and decided by the Council; The members of the Committee shall be decided by the president's office meeting. The members of the Committee rotate every two years according to the specific circumstances. Authorized by the association, the chairman of the Committee may represent the association at national meetings.
Article 17 The office meeting of the president of the Association consists of the president, the vice-president and the secretary-general, and the deputy secretary-general is present, or the president designates relevant personnel to attend. The president's office meeting shall be convened and presided over by the president, or may be entrusted by the president to preside over by the vice president, and shall be held regularly or irregularly as required. The president's office meeting may temporarily decide to convene the meeting of the Council and the Standing Council as needed. The main duties of the president's office meeting are: to inspect, supervise and handle decisions on major issues and temporary important issues related to the implementation of resolutions when the Council and the Standing Council are not in session.
Article 18 The meeting of the Committee shall be convened and presided over by the chairman of the Committee, and the secretariat shall designate a special person to coordinate the work and attend the meeting as a non-voting participant. The Chairman and the Secretary-General may attend meetings of the Committee. Each Committee meeting is responsible for studying and discussing issues related to this major, and the decisions formed at the meeting are reported to the President's Office for approval.
Article 19 The president, vice-president and secretary-general of this Association must meet the following conditions: 1. Adhere to the party's line, principles and policies and have good political quality; 2. It has great influence in the business field of the association; 3. The maximum working age of the president, vice president and secretary general shall not exceed 70 years old; 4, good health, can adhere to normal work; 5. No criminal punishment of deprivation of political rights; 6. Have full capacity for civil conduct.
Article 20 The term of office of the President, Vice-President and Secretary-General of this Association is four years. The President, Vice President and Secretary General may be re-elected.
Article 21 The president of the Association shall exercise the following functions and powers: 1. Convene and preside over meetings of the Council and the Standing Council; 2, check the implementation of the resolutions of the members' congress, the Council (or the Standing Council), the president's office; 3. Sign relevant important documents on behalf of the Association.
Article 22 The Secretary-General shall exercise the following functions and powers: preside over the daily work of the office and organize the implementation of the annual work plan; 2. Coordinate the work of various departments; 3. Nominate candidates for Deputy Secretary-General and submit them to the Council for adoption; 4. According to the work needs, nominate and appoint full-time Deputy Secretary-General and principals of branches, and report to the President's Office for decision; 5. To decide on the employment of staff of the Secretariat and agencies; 6. Handle other daily affairs.
Article 23 The Association shall set up a board of supervisors. The Board of Supervisors is a permanent supervisory body when the members' congress is not in session, and is responsible to the members' congress. Supervisors are elected by the members' congress from the representatives of member units who dare to adhere to principles, handle affairs fairly, are enthusiastic about the property management industry and have no bad records. The term of office of the supervisor shall be four years, and the longest term shall not exceed two terms. The president, vice president, secretary-general, deputy secretary-general, executive director and director may not serve as supervisors at the same time. The board of supervisors shall perform the following duties: 1. The Council, the Standing Council and the President's Office shall supervise the implementation of the resolutions and decisions of the members' congresses and abide by the articles of association and various rules and regulations; 2. Supervise the performance of the president, vice president, secretary-general, deputy secretary-general, executive director and directors, and organize the outgoing audit of the president, executive vice president and secretary-general; 3. Check and supervise the legality and rationality of the income and expenditure of membership dues or other expenses; 4. Propose to convene an interim member congress; 5. The Board of Supervisors may send people to attend the meeting of the Council, the Standing Council and the President's office as nonvoting delegates and put forward supervision opinions to the Council; 6. Other duties as stipulated in the articles of association or entrusted by the general meeting of members.
Chapter IV Economic Expenses
Article 24 The source of funds of the Association: 1, membership fee; 2. Donations and subsidies from groups and individuals; 3. Income from business technical consultation, various paid services and business activities carried out by the Association; 4. Other lawful income.
Article 25 The expenses of this Association include activities, meetings, travel, publication of books and periodicals, compilation of materials, purchase of books and periodicals, purchase of equipment, domestic and foreign exchanges, all kinds of labor services, staff salaries and benefits, daily office and other items.
Chapter V Supplementary Provisions
Twenty-sixth members who have made outstanding contributions and outstanding research achievements shall be awarded honorary certificates and reward systems, and the specific measures shall be formulated separately.
Article 27 The Association shall terminate its activities and cancel its registration according to law.
Article 28 The Articles of Association shall come into effect after being approved by the shareholders' meeting on June 28, 2008. These Articles of Association shall be implemented simultaneously.

Article 30 The right to interpret the Articles of Association belongs to the Council of the Association.
