Hong kong company cancellation process

First of all, the documents to be prepared include: company documents, bank documents, accounting documents, tax documents, etc. Among them, the documents that must be destroyed also include seals, share certificates and sales certificates.

Secondly, according to the requirements of Hong Kong institutions, companies in operation or in application cannot be cancelled. If the company accounts are handled properly, it usually takes only a few months to complete the cancellation. However, if the company encounters financial problems or litigation disputes, the cancellation process will be longer.

Then, the cost of canceling a Hong Kong company varies from case to case.

There are two ways to cancel a Hong Kong company:

1. A company that voluntarily cancels can cancel under normal circumstances, and then provide the company's registration certificate, business registration certificate and original articles of association. And the following three documents need to be signed:

(1) Sign the Notice of No Objection to Cancellation of Company Registration (original government).

(2) Sign the "Notice of Termination of Business"

(3) Sign the cancellation document.

Conditions for issuing a notice of no objection:

The Commissioner of Inland Revenue will issue a notice of no objection under the following circumstances:

The company has never started business or has closed down;

The company will not start/reopen;

The company has no unpaid taxes, including profits tax, property tax, stamp duty, business registration fee and fines and legal fees related to these taxes;

The company has no outstanding obligations under the Inland Revenue Ordinance, including failing to return the tax return issued by the Inland Revenue Department, and notifying the Commissioner of Inland Revenue in writing that the company will be taxed in any year of assessment, but has not received the tax return for the relevant year;

The company has not responded to any inquiries issued by the Inland Revenue Department;

There are no unresolved objections or appeals in the company's tax assessment.

If the company does not meet any of the above conditions, it will not be issued with a notice of no objection.

To sum up: although the cancellation of Hong Kong companies will involve some complicated processes and expenses, it is not difficult if it is handled properly.

Article 188

After the liquidation of the company, the liquidation group shall prepare a liquidation report, submit it to the shareholders' meeting, the shareholders' meeting or the people's court for confirmation, and submit it to the company registration authority to apply for cancellation of company registration and announce the termination of the company.

Article 43 of the Regulations on the Administration of Company Registration

When applying for cancellation of registration, the company shall submit the following documents:

(1) An application for cancellation of registration signed by the person in charge of the liquidation group of the company;

(2) Bankruptcy ruling and dissolution judgment of the people's court, resolutions or decisions made by the company in accordance with the Company Law, documents ordered by the administrative organ to close down or the company is revoked;

(3) liquidation reports confirmed by the shareholders' meeting, shareholders' meeting, shareholders of a one-person limited liability company, the board of directors of a foreign-invested company or the people's court or the company examination and approval authority for the record;

(4) Business license of enterprise legal person.
