Articles of Association of Guangdong Mould Industry Association

The association plays the role of a bridge and link between mold enterprises and the government, reflects the wishes and requirements of enterprises, and assists government departments in managing the mold industry in the province. The main functions of the association include:

It is the same as the provisions in Item 1 to Item 9 of Article 7 in Chapter 2 of the Association's Articles of Association.

Chapter I General Principles

Article 1 Name of the Association: Guangdong Mould Industry Association (hereinafter referred to as Guangdong Mould Association); English name: Guangdong Die &;; Mould Industry Association (GDMA).

Article 2 This Association is an industrial, non-profit social organization voluntarily formed by the mould industry in the whole province and enterprises, scientific research institutions, universities and social organizations related to the mould industry.

Article 3 Purpose of this Association: Abide by the national constitution, laws, policies and regulations, and abide by social morality; Serve the member units wholeheartedly, and safeguard the legitimate rights and interests and common economic interests of the industry and members; Communicate the relationship among members, government and society, make use of all positive factors, accelerate the technological progress of mold industry, promote the standardization, specialization and commercialization of mold production, enhance the economic benefits and social public interests of mold industry, improve the social status of mold industry in our province, and promote the development of mold industry in our province.

Article 4 This Association is a social organization approved and registered by the Guangdong Provincial Department of Civil Affairs. It is qualified as a legal person, and its legitimate rights and interests are protected by state laws. Accept the supervision and management of Guangdong Provincial Civil Affairs Department and the guidance of relevant functional departments of Guangdong Provincial People's Government.

Article 5 The activity area of this Association is Guangdong Province.

Article 6 The meeting place of this Association is located in Guangzhou, Guangdong Province.

Chapter II Scope of Business

Article 7 This Association will serve as a bridge and link between mold enterprises and the government, reflect the wishes and requirements of enterprises, and assist government departments in implementing management of the mold industry in the province. Business scope of the Association:

(a) to conduct in-depth investigation and study on the mold industry, analyze the existing problems, inform the relevant government departments of the information, and put forward economic and technical policy suggestions for revitalizing the mold industry;

(two) to assist the relevant government departments to formulate and review the development plan of the mold industry and major technological transformation, technology introduction and scientific research projects;

(three) to promote the new technology, new technology, new structure, new materials and new equipment of mold design and manufacture, to carry out mold technical exchanges and hold exhibitions;

(four) to carry out technical consultation and technical services, organize technical cooperation and technical research, and help enterprises solve key problems in production;

(five) to cooperate with the relevant departments to publicize and implement the national mold standards and promote the standardization, specialization and commercial production of molds;

(six) to establish contacts with domestic and foreign mold industries and groups, and organize foreign economic, technological and trade exchanges and cooperation;

(seven) to provide technical and economic information at home and abroad to member units and edit publications;

(eight) to strengthen the training work, cooperate with the relevant departments to train technical personnel and management personnel, and organize the relevant personnel of the Association to go abroad for inspection and training;

(nine) to undertake other business related to molds authorized and entrusted by the relevant departments.

Chapter III Members

Article 8 All mold enterprises that have obtained industrial and commercial business licenses in this province, as well as mold-related enterprises, scientific research institutions, universities and social organizations that recognize the articles of association of this Association, are willing to fulfill their membership obligations and meet the relevant conditions, can apply to join this Association, and can become unit members with the approval of this Association.

Article 9 A member applying to join this Association must meet the following requirements:

(a) support the articles of association;

(2) Having the will to join this Association;

(3) It has a certain influence in this industry;

(4) Holding an industrial and commercial business license and other relevant certificates.

Article 10 Membership procedures:

(1) submitting an application for membership;

(two) discussed and approved by the Council of the association or the office meeting;

(3) The membership card shall be issued by the Council or an organization authorized by the Council.

Article 11 Members shall enjoy the following rights:

(a) The right to vote, to be elected and to vote;

(two) give priority to participate in various activities organized by the association;

(3) Giving priority to information, publications and services issued by the Association;

(four) enjoy the preferential policies given by the government to the mold industry;

(five) to plan, suggest, criticize and supervise the work of this association;

(6) Freedom to join and quit voluntarily.

Article 12 Members shall perform the following obligations:

(1) Abide by the articles of association;

(two) to implement the resolutions of this Council;

(3) Paying membership fees according to regulations;

(four) to safeguard the legitimate rights of associations and industries;

(five) to complete the work entrusted by the association, and actively participate in and support the exhibitions and various exchange activities organized by the association;

(six) to provide scientific research, production technology, management and other services required by the association, and to reflect relevant issues in a timely manner;

Thirteenth members pay membership fees:

(a) member units pay a membership fee of 2000 yuan per year;

(2) The annual membership fee paid by the governing unit is 3,000 yuan;

(3) The annual membership fee paid by the executive director unit is 4,000 yuan;

(four) the vice president of the unit to pay an annual membership fee of 8000 yuan:

(5) The annual membership fee paid by the president's unit is 12000 yuan.

Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for two years, it will be regarded as automatic withdrawal, and his membership card will be recovered by the secretariat of the association.

Fifteenth members who do not abide by the articles of association shall be criticized and educated by the association; If there is a serious violation of the articles of association, it will be removed from the membership by the vote of the members' congress, and its membership card will be withdrawn by the secretariat of the association and announced in the industry.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 16 this association is composed of members, and members form a general meeting. The members' congress is the highest authority of the association and exercises its functions and powers in accordance with national laws and regulations and the articles of association of the association.

Article 17 The general meeting of members shall exercise the following functions and powers:

(1) To decide on the business scope and work functions of the Association;

(two) to elect and recall the president, vice president, directors and supervisors;

(3) To review the annual work reports and financial budget and final accounts plans of the board of directors and the board of supervisors;

(four) to consider the recommendations of the Council on the recall of members;

(five) to make resolutions on the alteration, dissolution and liquidation of this Association;

(six) to change or cancel the inappropriate decisions of the Council;

(seven) to formulate or amend the articles of association and election methods of the organization;

(8) Deciding to terminate.

(9) Deciding on other major matters.

Article 18 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the term of office shall not be extended for more than one year.

Members' congresses are held at least once every two years. When the Council deems it necessary or more than one-fifth of the members propose, it may convene an interim member congress.

Nineteenth members' congress can only be held when more than two-thirds of the members' representatives are present, and its resolution can only take effect if it is passed by more than half of all the representatives.

The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.

Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress.

Article 21 The functions and powers of the Council are:

(a) to prepare and convene the @@ @ Member Congress;

(two) to implement the resolutions of the members' congress;

(three) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;

(four) to decide on the specific work and business of the association;

(five) to formulate plans for increasing or decreasing the registered capital of the Association;

(six) to decide on the absorption and punishment of member units, and suggest that member units withdraw from the market;

(seven) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;

(8) To appoint or dismiss the Secretary-General; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association and the principal person in charge of the office;

(9) Electing and dismissing executive directors;

(ten) to formulate the internal management system of the association;

(eleven) to decide other matters stipulated in the articles of association.

Article 22 The Council shall convene a meeting at least once every six months, and it may be convened by means of communication under special circumstances.

Article 23 The board of directors shall be convened only when more than half of the directors are present, and its resolutions shall take effect only if they are approved by more than two thirds of all the directors. The board of directors shall form a summary of the resolutions of the meeting and make an announcement to all directors.

Article 24 The Association shall establish a standing council. The Standing Council consists of President, Vice President and Executive Director. The Executive Director is elected by the Council.

When the Council is not in session, the Council authorizes the Standing Council to exercise the functions and powers in Items (1), (2), (3), (5), (6), (7) and (9) of the Articles of Association.

The Standing Council shall hold a meeting at least once every three months, and it may be held in the form of communication under special circumstances. The resolution made by the Standing Council shall be approved by more than half of the standing directors before it takes effect.

Article 25 Rules and procedures for the establishment of branches and representative offices of this Association:

(a) by the secretariat to formulate specific plans;

(two) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submitting the adopted specific plan to the Council for deliberation and approval;

(four) reported to the registration authority for approval.

Article 26 The Association shall have one supervisor, who shall be elected by the general meeting of members. The term of office of the supervisor is the same as that of the board of directors. The president, vice-president, secretary-general and directors shall not concurrently serve as supervisors.

Article 27 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;

(two) enthusiastic support for the work of this association, take the lead in participating in various activities of this association, which has great influence in this industry;

(3) The maximum working age of the president and vice president shall not exceed 70 years old;

(4) Being in good health and able to stick to normal work;

(5) Having not received criminal punishment;

(6) Having full capacity for civil conduct.

Article 28 The term of office of the President and Vice-President of the Association is the same as that of the members' congress; The president shall not be re-elected for more than two terms.

Article 29 The Secretary-General of the Association shall be full-time and shall adopt the appointment system. The Secretary-General and the President shall not be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.

Article 30 The Association shall have one president and several vice presidents. The chairman is the legal representative of the association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 31 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over meetings of the general assembly, the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);

(three) regularly check and listen to the work reports of the secretariat, branches and representative offices;

(4) Signing relevant important documents on behalf of the Association.

Article 32 The vice-president of this Association shall work under the leadership of the president and exercise the following functions and powers:

(a) Assisting the Chairman in his work or acting as the Chairman's agent as designated by the Chairman;

(two) the division of labor is responsible for the management of the branches and representative offices of the association;

(three) to supervise the implementation of the resolutions of the members' congress and the Council (Standing Council);

(four) on behalf of the association or lead a delegation to participate in major activities of domestic and foreign counterparts and related industries.

Article 33 The Secretary-General of the Association shall work under the leadership of the President, be responsible to the Council and exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Organizing the preparation and implementation of the annual financial budget and final accounts;

(3) Organizing and coordinating the work of branches, representative offices and entities;

(4) Nominating deputy secretaries-general and heads of branches, representative offices and entities;

(5) Nominating and employing full-time staff of offices, branches, representative offices and entities, and reporting to the Council for approval;

(6) Handling other daily affairs;

(7) Signing relevant major documents on behalf of the Association.

The Secretary-General attends the meetings of the Council (Standing Council) as a representative without voting rights.

Article 34 A supervisor shall exercise the following functions and powers:

(a) to report the annual work to the members' congress;

(two) to supervise the election and recall of members' congresses and councils; Supervise the Council to implement the resolutions of the member congresses;

(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments;

(four) to attend the meeting of the Council and have the right to put forward questions and suggestions to the Council;

(5) Supervising the compliance of the Council with laws and articles of association. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the members' congress or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the articles of association of the association, accept the leadership of the members' congress, and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Thirty-fifth sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 36 The Association accepts donations in accordance with national laws and regulations and does not apportion them in any form or in disguised form. Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, units, members and supervisors.

Article 37 The funds of this Association shall be used for the business scope and career development as stipulated in the articles of association. No unit or individual may occupy, privately divide or misappropriate the following funds:

(a) the industry activities organized by the association and the activities organized by domestic and foreign counterparts;

(two) technical materials, publications, books, documents, printing, website establishment and maintenance, postal communication fees, office equipment purchase fees, etc. ;

(3) incentive fees for enterprises and individuals who have made outstanding contributions to the Association;

(4) Allowances and incentive fees for the staff and special personnel of the Association;

(5) Other necessary expenses.

Article 38 This Association implements a unified national financial management system, conducts accounting according to law, and establishes an internal accounting supervision system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

This Association accepts the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.

Article 39 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accounting for accounting, accounting supervision. When accounting personnel transfer their jobs or leave their posts, they must go through liquidation handover procedures with the recipients.

Article 40 The assets of this Association shall be managed in accordance with the financial management system stipulated by the state, and shall be subject to the supervision of the members' congress and the financial department. If the assets come from state grants or social donations or subsidies, they must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.

Article 41 The annual report of the Association, the change or replacement of its legal representative and liquidation must be subject to the financial audit organized by the registration and management organ of the association.

Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.

Article 43 An association shall, in accordance with the Regulations of Guangdong Province on Trade Associations, submit the activity report of the previous year and the activity arrangement of this year to the association registration authority before the end of March each year.

Establish a reporting system for major events. For example, holding large-scale academic reports, seminars and exhibitions, holding foreign exchanges, communicating with overseas non-governmental organizations, conducting industry appraisal and commendation activities, and accepting donations from overseas and society. Before the event, report to the relevant government departments and registration authorities and go through the relevant procedures.

Chapter VI Procedures for Amending the Articles of Association

Forty-fourth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 45 The revised articles of association of this Association shall come into effect within 30 days after being adopted by the members' congress and approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 46 In any of the following circumstances, this Association shall be terminated, and the Council (or the Standing Council) shall propose a revocation motion:

(a) to complete the purpose stipulated in the articles of association;

(2) The general meeting of members decides to dissolve;

(3) Division or merger of the association;

(four) unable to continue to carry out activities in accordance with the purposes stipulated in the articles of association.

Article 47 The motion to terminate the association shall be voted by the members' congress and submitted to the registration authority of the association for approval.

Forty-eighth before the termination of this association, a liquidation organization must be established under the guidance of the association registration authority and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall cancel the registration with the association registration authority within 05 days from the date of liquidation.

Article 49 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 50 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 51 The Articles of Association was adopted at the first general meeting of the sixth session on June 9, 20 10.

Article 52 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 53 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
