chapter one
Article 1 The name of this Chamber of Commerce is: Beijing Shaanxi Enterprise Chamber of Commerce.
Article 2 This Chamber of Commerce is established voluntarily by enterprises and institutions in Beijing and Shaanxi, and it is a non-profit social organization legal person registered with the approval of Beijing Civil Affairs Bureau, the administrative organ for registration of social organizations in Beijing.
Article 3 The purpose of this Chamber of Commerce is "honesty, cooperation, dedication and development", that is, abiding by discipline and law and abiding by honesty; Give full play to the role of bridges and ties, and promote exchanges and cooperation among members of the Chamber of Commerce and between members of the Chamber of Commerce and all sectors of society; Actively enjoy the resources of the Chamber of Commerce with all walks of life at home and abroad, and seek a win-win situation; Provide all-round services for members of the Chamber of Commerce, make contributions to the economic development and social progress of the capital and Shaanxi, and establish a good reputation and image of "Qin Merchants".
Article 4 The Chamber of Commerce shall accept the guidance, supervision and management of the Beijing Office of the People's Government of Shaanxi Province and the Beijing Civil Affairs Bureau, the registration and management organ of social organizations.
Article 5 The address of this Chamber of Commerce is: No.7 Baiyunguan Street, Xicheng District, Beijing.
Chapter II Functions
Article 6 The scope of functions of the Chamber of Commerce:
(a) timely convey national and industrial policy information to members, introduce the political and economic trends of Beijing and Shaanxi, and serve the economic development of Shaanxi and the prosperity of the capital;
(two) to assist the local government to do a good job in the management of member enterprises, so that their business activities can be gradually brought into standardized management, operate according to law, pay taxes according to regulations, compete in an orderly manner, and improve the self-discipline awareness of members;
(3) Contact and communicate with local governments and relevant departments, reflect the opinions, wishes, suggestions and requirements of members, actively offer suggestions and suggestions for the government to guide the development of enterprises, and assist the government to carry out legislative work in related fields;
(four) organize members to carry out various forms of study, study, friendship and exchange activities, strengthen exchanges and cooperation among members of the Chamber of Commerce and between members of the Chamber of Commerce and all sectors of society, and promote each other and develop together;
(5) Actively publicize and report the trends of the Chamber of Commerce, outstanding member enterprises and valuable information to the members of the Chamber of Commerce through the media forms such as the website and journal of the Chamber of Commerce, so as to promote the information exchange between the Chamber of Commerce and all sectors of society;
(6) Providing services such as business consultation, market information, scientific and technological knowledge, legal aid, talent information, etc. for the member enterprises of this Chamber of Commerce in accordance with relevant state regulations, protecting the legitimate business activities of members, safeguarding the legitimate rights and interests of members, caring about the development of member enterprises, and solving problems for members;
(seven) actively recommend member enterprises to join the people's congresses at all levels, CPPCC, youth federations, federations of industry and commerce and other organizations, and establish a good corporate social citizen image for member enterprises;
(eight) organize members to carry out lecture training and seminars, strengthen exchanges, enhance nostalgia and friendship, promote complementary advantages and achieve coordinated development;
(9) Encourage members to participate in social welfare undertakings, take the initiative to assume social responsibilities, practice the concept of public welfare, and create a good social welfare image of "Qin Shang".
Chapter III Members
Article 7 Members of this Chamber of Commerce are group members.
Article 8 A legal person or person in charge of a Beijing-Shaanxi enterprise who recognizes the articles of association of the Chamber of Commerce, participates in the activities of the Chamber of Commerce, implements the resolutions of the Chamber of Commerce, pays the membership fees on time, and fulfills the obligations of membership may apply to join the Chamber of Commerce according to procedures.
Article 9 A member applying to join this Chamber of Commerce must meet the following requirements:
(a) voluntarily apply to join the Chamber of Commerce and fulfill the obligations of membership of the Chamber of Commerce;
(two) to recognize and support the articles of association of this Chamber of Commerce;
(3) Enterprises established in Beijing with legal personality, law-abiding operation, good market operation, high credibility and certain influence, as well as branches or offices of Shaanxi enterprises in Beijing, etc.
Article 10 Membership procedures:
(1) The applicant submits an application for membership and documents and materials that can prove his qualifications;
(two) the secretariat to verify the qualifications, put forward preliminary opinions;
(3) The Secretariat shall report to the Council or the Standing Council for deliberation; If it fails, the application materials will be returned, and if it passes, the membership card will be issued and registered.
Article 11 Members shall enjoy the following rights:
(a) The right to vote, to be elected and to vote of the Chamber of Commerce;
(two) in accordance with the provisions of the activities organized by the Chamber of Commerce;
(3) Obtaining relevant services from the Chamber of Commerce in accordance with regulations;
(four) the right to make suggestions on the work of the Chamber of Commerce;
(five) have the right to criticize and supervise the work of the Chamber of Commerce;
(6) Other rights stipulated in the articles of association of this Chamber of Commerce;
(7) voluntary membership and free withdrawal.
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association of the Chamber of Commerce;
(two) to implement the resolutions of the Chamber of Commerce;
(three) to safeguard the legitimate rights and interests and reputation of the Chamber of Commerce;
(4) Pay the membership dues in full and on time;
(5) Other obligations stipulated in the articles of association of this Chamber of Commerce.
Article 13 A member shall submit a written application to terminate his membership. Failure to pay the membership fee within one year shall be deemed as automatic withdrawal.
Article 14 If a member is in any of the following circumstances, he/she shall be removed from the list after being voted by the board of directors:
(1) Violating the articles of association and seriously infringing upon the legitimate rights and interests of this Chamber of Commerce;
(two) in violation of the provisions of the articles of association, seriously infringe upon the personal rights, property rights, personality rights, reputation rights and other legitimate rights and interests of other members of the Chamber of Commerce;
(3) Being subject to criminal punishment;
(4) Being deprived of political rights;
(five) other serious violations of the law, should be removed from the list.
Chapter IV Organizational Structure
Article 15 The highest authority of this Chamber of Commerce is the general meeting of members.
Article 16 The main duties of the general meeting of members are:
(1) To formulate and revise the articles of association of this Chamber of Commerce;
(2) Electing and dismissing directors and supervisors;
(3) Deliberating and passing the work reports and financial reports of the board of directors and the board of supervisors;
(4) Deliberating and passing major changes and termination.
Article 17 A general meeting of members can only be held when more than two thirds of the members are present, and its resolution can only take effect when it is approved by more than two thirds of the members present.
Article 18. Members' congresses are held every three years. If it is necessary to advance or postpone the general election due to special circumstances, it must be approved by the Council, reported to the Beijing Office of the Shaanxi Provincial People's Government in charge of business for review, and approved by the Beijing Municipal Social Organization Registration Administration. However, the term of office shall not be extended for more than one year.
Article 19 The Association shall establish a council. The Council is the executive body of the General Assembly and is responsible to it. The directors are elected by the General Assembly and may be re-elected.
Article 20 The main duties of the Council are:
(a) Implementing the resolutions of the General Assembly;
(two) to elect and recall the president, executive vice president and vice president;
(3) Preparing for convening a general meeting of members;
(four) to report the work and financial situation to the general assembly;
(5) Examining and approving the establishment of offices, branches, representative offices and entities;
(six) to formulate internal management system;
(seven) to decide on the appointment of the Secretary-General, the Deputy Secretary-General and the principal responsible persons of various institutions, and to decide on the appointment of honorary posts;
(eight) to lead the work of various institutions of the Chamber of Commerce;
(9) Deliberating and adopting the Measures for the Administration of Collection of Membership Fees and the Measures for the Administration of Branches, and submitting them to the shareholders' meeting for voting;
(10) Examining and adopting the internal management system;
(eleven) to discuss and decide other authorized matters;
(twelve) to accept the opinions of the board of supervisors on the violation of discipline of the Chamber of Commerce, put forward solutions and accept their supervision and implementation;
Article 21 The Council shall meet at least once a year; The meeting of the board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present to vote.
Article 22 The Group shall establish a standing council. The Standing Council shall be elected by the Council, and shall exercise the functions and powers in Items (1), (3), (5), (6), (7), (8) and (9) of Article 20 when the Council is not in session, and shall be responsible to the Council.
Article 23 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 24 The Standing Council shall meet at least once every six months.
Article 25 The term of office of the president and executive vice president of this Chamber of Commerce is three years. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the general meeting of members, reported to the Beijing office of the competent department of Shaanxi Provincial People's Government for examination and approval, and approved by the Beijing social organization registration and management authority before taking office.
Article 26 The legal representative of this Chamber of Commerce shall be the president, and the legal representative of this Chamber of Commerce shall not concurrently serve as the legal representative of other organizations. The term of office of the president shall not exceed two terms.
Article 27 The president, executive vice president, vice president and secretary general of this Chamber of Commerce shall meet the following conditions:
(1) Abiding by laws and the articles of association of this Chamber of Commerce and having good moral quality;
(2) The maximum working age of the president and vice-president is no more than 70 years old, and the secretary-general is full-time;
(3) It has great influence in the industry it is engaged in;
(four) enthusiastic about the work of the Chamber of Commerce, willing to contribute to the Chamber of Commerce, with prestige and cohesion among members;
(5) Having full capacity for civil conduct;
(6) Having not been subjected to criminal punishment of deprivation of political rights.
Article 28 The president of the Chamber of Commerce shall perform the following duties:
(1) Convene and preside over the executive board, review the strategic plan and annual work plan of the Chamber of Commerce, and make every effort for the development of the Chamber of Commerce;
(2) Check the implementation of the executive board and the resolutions of the board;
(3) Signing relevant important documents on behalf of the Chamber of Commerce;
(four) to pay membership fees and actively raise funds for the Chamber of Commerce;
(five) actively coordinate the relationship between the Chamber of Commerce and its member enterprises and the government and all walks of life, integrate social resources, and provide high-quality and efficient services for members;
(6) Other duties entrusted by the articles of association of the Chamber of Commerce and the Council.
Article 29 The Association shall have an honorary president and several advisers.
Article 30 The executive vice president shall assist the president to carry out the work of the chamber of commerce, and may also perform part of the duties of the president according to the specific authorization of the president; The executive vice president should actively fulfill his obligations such as paying membership dues, raising funds for the Chamber of Commerce, and abiding by the articles of association.
Article 31 The vice president shall assist the president and the executive vice president to carry out the work of the Chamber of Commerce, pay membership fees and actively raise funds. Attend meetings, actively participate in, undertake or co-undertake activities of the Chamber of Commerce, and set an example for directors and members in all work of the Chamber of Commerce.
Article 32 The Secretariat of this Chamber of Commerce is the daily working body of the Council and the Standing Council. The Secretariat consists of the Secretary-General and Secretariat staff. The secretary-general is openly recruited by the society and is responsible for leading the daily affairs of the secretariat.
Responsibilities of the Secretary-General:
(1) Presiding over the daily work of the Secretariat, drafting and organizing the implementation of the annual work plan and budget of the Chamber of Commerce;
(2) Coordinating the work of branches, offices and entities;
(3) Nominating the principal responsible persons of all offices, branches, representative institutions and units, and submitting them to the Standing Council and the Council for decision;
(4) Attending the Standing Council and the Council;
(5) Handle other daily affairs.
Article 33 The Board of Supervisors
The members of the board of supervisors are elected by the general meeting of members and are responsible to the general meeting of members. Their main duties are:
(1) Electing the chairman of the board of supervisors;
(2) Attending the Standing Council and the Council;
(3) To supervise the Chamber of Commerce and its leading members in accordance with its articles of association and laws and regulations. Activities;
(four) to supervise the behavior of members of the Chamber of Commerce who violate the discipline of the Chamber of Commerce and damage the reputation of the Chamber of Commerce;
(five) to supervise the financial situation of the Chamber of Commerce;
(six) to put forward opinions on the disciplinary action of the Chamber of Commerce, and submit them to the Council for study, decision and supervision.
Chapter V Asset Management
Article 34 The sources of funds of this Chamber of Commerce are:
(1) membership fees;
(two) donations from members and the community;
(3) Financing of the president, executive vice president and vice president;
(4) Funding from government departments and other organizations;
(5) Income from activities or services provided within the approved business scope;
(6) interest;
(7) Other lawful income.
Article 35 This Chamber of Commerce shall formulate standards and measures for the payment of membership dues. It shall be formulated by the board of directors according to relevant regulations and submitted to the shareholders' meeting for voting.
Article 36 Fund management
Before the Chamber of Commerce changes or changes its legal representative, it must accept the financial audit organized by the Beijing Municipal Civil Affairs Bureau, the social organization registration authority and the Beijing Office of Shaanxi Provincial People's Government to ensure that the financial information is legal, true, accurate and complete.
Article 37 Under the supervision of Beijing Office of Shaanxi Provincial People's Government and Beijing Social Organization Registration Administration, the remaining property after the termination of this Chamber of Commerce shall be used to carry out business related to the purpose of this Chamber of Commerce in accordance with the articles of association and relevant state regulations.
Chapter VI Procedures for Amending the Articles of Association
Article 38 Any amendment to the articles of association of this Chamber of Commerce shall be approved by the Standing Council and the Council, and submitted to the General Assembly for deliberation and approval.
Chapter VII Termination Procedure
Article 39 If this Chamber of Commerce is dissolved by itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 40 The termination of this Chamber of Commerce must be approved by the general meeting of members and reported to the competent business unit for examination and approval.
Article 41 Before the termination of this Chamber of Commerce, a liquidation organization shall be established under the guidance of the competent business unit and relevant guidance to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 42 The Chamber of Commerce shall terminate after the cancellation of registration by the social organization registration authority.
Chapter VIII Supplementary Provisions
Article 43 The Articles of Association was voted by the second general meeting on September 20 10/0.
Article 44 The right to interpret the Articles of Association belongs to the Council of the Chamber of Commerce and the Standing Council.
Article 45 The Articles of Association shall come into force as of the date of approval by the Beijing Municipal Administration for Registration of Social Organizations.
