Chapter I General Principles

Article 1 The name of this Association is "Shenzhen Xinyi Chamber of Commerce".

Article 2 The nature of this Association: commercial enterprises, individual industrial and commercial households and other economic organizations with deep investment from Xinyi citizens are voluntary non-profit social organizations.

Article 3 The purpose of this Chamber of Commerce is to "build bridges, exchange information and win-win cooperation" on the premise of observing the Constitution, laws, regulations and national policies and social morality.

Article 4 This Association accepts the supervision and management of Shenzhen Civil Affairs Bureau, social organization registration authority and the professional guidance of relevant functional departments of Shenzhen Municipal Government.

Article 5 The activity area of this Association is Shenzhen, Guangdong Province.

Chapter II Scope of Business

Article 7 The business scope of this Association

(a) to strengthen the communication between Xinyi community and Shenzhen Xinyi celebrities and enterprises founded by Xinyi people in Shenzhen, to provide scientific and economic information for hometown construction, and to introduce projects, funds, technology and talents;

(two) to strengthen exchanges and cooperation between members, make friends, enhance friendship, help each other and seek common development;

(three) to provide services and assistance to members in science and technology, economy, management, education and training, employment, market development, publicity and legal advice;

(4) Organizing members to carry out various scientific, technological, economic and cultural activities and promoting mutual exchanges and cooperation;

(five) to publicize the achievements of social and economic construction in my hometown, and to publicize the advanced deeds and models of Shenzhen celebrities and Xinyi people in the construction of two civilizations;

(six) to undertake matters entrusted by the Party committee, government and relevant departments and members.

Chapter III Members

Article 8 All economic organizations with legal and valid business licenses invested and established by Xinyi citizens in Shenzhen may voluntarily apply for membership.

Article 9 A member applying to join this Association must meet the following requirements:

(a) support the articles of association;

(2) Having the will to join this Association;

(3) Being able to actively and enthusiastically serve the Association;

Article 10 The membership procedure is:

(1) submitting an application for membership;

(two) the Council authorized the secretariat to review, and approved by the president of the association;

(3) After paying the membership fee as required, the Council authorizes the secretariat to issue membership cards.

Article 11 Members shall enjoy the following rights:

(1) Attending the Congress of Members, participating in the activities of the Chamber of Commerce, and accepting the services and information provided by the Chamber of Commerce;

(two) the right to vote, to be elected and to vote;

(three) to obtain the priority of our services;

(four) the right to put forward suggestions, opinions and supervision on the work of this association;

(5) Enjoy the help and support provided by members;

(six) request the association to help safeguard their legitimate rights and interests;

(7) voluntary membership and free withdrawal.

Article 12 Members shall perform the following obligations:

(a) consciously abide by the law, abide by the articles of association;

(two) to implement the resolutions of this Council and undertake the matters entrusted by this Council; ;

(3) Paying membership fees according to regulations;

(four) to safeguard the reputation and legitimate rights and interests of this association;

(five) to reflect the situation to this Council, provide relevant information, put forward suggestions and initiatives on the work of this Council, and strive to complete the work assigned by this Council.

Article 13 standards for members to pay membership fees.

(1) annual membership fee 1 1,000 yuan;

(2) The director's membership fee is 5,000 yuan;

(3) The membership fee of the vice president is 20,000 yuan.

(4) The annual salary of the executive vice president and chairman of the board of supervisors100000 yuan.

Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee according to the regulations or does not participate in the activities of the association for a long time, it will be regarded as automatic withdrawal. If you leave the meeting halfway, the membership fee paid will not be refunded.

Fifteenth members who seriously violate the articles of association shall be criticized and educated by the association with the approval of the Council or the Standing Council. If there is a serious violation of the Articles of Association, it will be removed by the board of directors.

Article 16 Upon the decision of the board of directors and the approval of the president, the association may employ relevant celebrities as honorary presidents, honorary presidents and senior consultants of the Chamber of Commerce, but they do not have membership and voting rights.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 17 An association consists of member congresses, which are the highest authority of trade associations and exercise their functions and powers in accordance with national laws, regulations and the articles of association of trade associations.

Eighteenth members' congress must be attended by more than two-thirds of the members' representatives; Its resolution shall take effect only if it is adopted by more than half of the representatives present at the meeting;

The members' congress shall make resolutions on the matters discussed, form meeting minutes, which shall be signed by all supervisors and announced to the members.

Article 19 Representatives of the general assembly are elected as follows: members of the board of directors are ex officio representatives of the general assembly. The remaining places will be allocated to the township offices by the Secretariat in proportion to Xinyi's administrative region and the number of members. The township offices will be responsible for organizing members' meetings, which will be reviewed by the Secretary-General and submitted to the President for approval.

Article 20 The general meeting of members shall exercise the following functions and powers:

(1) To decide on the working principles and tasks of the Association within the scope prescribed by laws and regulations;

(2) To elect or recall the president, executive vice president, vice president, executive director, directors, supervisors and supervisors, and the election shall be conducted by secret ballot;

(3) To review the annual work reports and annual financial budget and final accounts plans of the board of directors and the board of supervisors;

(4) To make resolutions on the alteration, dissolution and liquidation of this Association;

(5) Altering or revoking inappropriate decisions of the Council;

(six) to formulate or modify the articles of association and election methods of the organization;

(7) Deciding to terminate.

(eight) to decide on other major issues.

Article 21. The term of office of the General Assembly is three years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once a year. If the Council considers it necessary or more than one-fifth of the members propose, an interim member congress may be held.

Article 22 The Association shall have a board of directors, consisting of the president, the executive vice president, the vice president and the directors. The Council is the permanent body of the member congress. When the members' congress is not in session, carry out daily work according to the resolutions of the members' congress and the articles of association of the association, and be responsible to the members' congress.

Article 23 The functions and powers of the Council are:

(1) Preparing for and convening the members' congress;

(two) to implement the resolutions of the members' congress and report the work and financial situation to the members' congress;

(three) to formulate the work plan of this association and organize its implementation;

(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;

(five) to formulate plans for increasing or decreasing the registered capital of the Association;

(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;

(seven) to decide on the punishment and expulsion of members;

(eight) to elect and recall the president, executive vice president and vice president; To appoint or dismiss the Secretary-General and decide on the principal responsible persons of the branches of the Association;

(9) To decide on honorary positions such as honorary president, honorary president, senior consultant and honorary director;

(10) Deciding to absorb and recall members;

(eleven) to decide and lead the offices, branches, representative offices and entities of the Association, and to decide on the appointment or dismissal of the Deputy Secretary-General of the Association and the heads of offices and representative offices according to the nomination of the Secretary-General, and to determine their remuneration;

(twelve) to formulate the internal management system of the association;

(thirteen) to decide on other major issues.

Article 24 The Council shall meet at least once a year. Under special circumstances, an exchange meeting can also be held. The meeting of the board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the members present vote. The board of directors shall form minutes of the resolution and announce it to all directors;

The meeting of the Council shall be convened and presided over by the President; When the president is unable to perform his duties due to special reasons, the president entrusts the executive vice president to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.

Article 25 The Association shall establish a standing council and elect the standing directors from among the directors. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, it may exercise the functions and powers of the Council as stipulated in Article 23 of the Articles of Association, and be responsible to the Council.

The meeting can only be held when more than two-thirds of the executive directors are present, and its resolution can only take effect when more than two-thirds of the executive directors present vote. The meeting of the Standing Council shall be convened and presided over by the President; When the president is unable to perform his duties due to special reasons, the president entrusts the vice president to convene and preside over the meeting. More than one third of the executive directors may propose to convene a standing council. The Permanent Council shall meet at least once every six months. Special circumstances can also be held in the form of exchange meetings;

The Standing Council shall form minutes of the resolutions made, which shall be signed by the supervisors and announced to all directors.

Article 26 The Association shall set up an executive meeting of the President, which shall be composed of the President, the Executive Vice President and the Secretary-General, and shall be responsible to the Standing Council. When the Standing Council is not in session, with the authorization of the Standing Council, it may exercise the following functions and powers according to the articles of association:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Organizing the formulation and implementation of annual work plans, budgets and final accounts;

(3) Coordinating the work of branches, representative offices and entities;

(4) Nominating the Deputy Secretary-General, the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;

(6) Handling other daily affairs.

Article 27 The president's office meeting shall be held at least once every six months, and it may also be held in the form of communication under special circumstances. The executive meeting of the president can only be held when more than two thirds of the directors are present, and its resolution can only take effect when more than two thirds of the directors are present and vote. The president's office meeting shall form minutes of the resolution and announce it to all executive directors;

The president's office meeting shall be convened and presided over by the president; When the president is unable to perform his duties due to special reasons, the president entrusts the vice president to convene and preside over the meeting. More than one third of the members of the president's office meeting may propose to convene the president's office meeting.

Article 28 The Association shall have a board of supervisors, consisting of three members, elected by the general meeting of members. The term of office of the members of the board of supervisors is the same as that of the members of the board of directors, and they may be re-elected at the expiration of the term. The president, executive vice-president, vice-president, executive director, director and secretary-general shall not concurrently serve as members of the board of supervisors.

Article 29 The Board of Supervisors shall exercise the following functions and powers:

(1) To report the work of the annual board of supervisors to the members' congress;

(2) Attend meetings of the Council and the Standing Council as nonvoting delegates, supervise the effectiveness of meeting procedures and the legality of voting results, and supervise the election and recall of member congresses and member councils; Supervise the Council to implement the resolutions of the member congresses;

(three) to check the financial and accounting information of the Chamber of Commerce and report the situation to the registration authority and the competent tax and accounting departments;

(4) Supervisors have the right to put forward questions and suggestions to the board of directors or report the situation to the registration authority as nonvoting delegates;

(five) to supervise the Council to abide by the laws and articles of association, and to ask the president, vice-president, directors, secretary-general and other management personnel to correct their actions when they harm the interests of the Chamber of Commerce, and to report to the members' congress or relevant government departments when necessary;

(VI) Supervisors shall abide by the relevant laws and regulations and the articles of association of this Association, accept the leadership of the general meeting of members, and earnestly perform their duties.

Article 30 A meeting of the Board of Supervisors shall be held only when more than two thirds of the supervisors are present, and its resolution shall take effect only after it is approved by more than two thirds of the supervisors. Minutes of meetings of the board of supervisors shall be announced to all members.

Article 31 The president, executive vice president, vice president and supervisor of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies and good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the president, executive vice president and vice president shall not exceed 70 years old; The president, executive vice-president and vice-president of the association shall be approved by the Council before taking office if they are over the maximum working age;

(4) Having not been subjected to criminal punishment of deprivation of political rights;

(5) Having full capacity for civil conduct.

Article 32 The Association shall have one president, several executive vice presidents and several vice presidents. The president is the legal representative of this Association, and the legal representative of this Association may not concurrently serve as the legal representative of other social organizations.

Article 33 The term of office of the President of the Association is 3 years, and he may be re-elected for a maximum of 2 consecutive terms.

Article 34 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the office meetings of the Council, the Standing Council and the President;

(two) to check the implementation of the resolutions of the members' congress, the Council, the Standing Council and the president's office meeting;

(3) Signing relevant important documents on behalf of this Council.

Article 35 The Secretary-General of the Association concurrently serves as the executive vice president, and his work directly reports to the President. Mainly exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(two) to organize the formulation and implementation of the annual work plan and budget;

(three) to coordinate the work of various offices and units;

(four) to nominate and employ full-time staff of organs and units and report to the Council or the Standing Council for approval;

(5) Handle other daily affairs.

Article 36 If it is necessary to temporarily replace or add supervisors due to special circumstances, it must be announced to all members and approved by the members' congress;

If it is necessary to temporarily change or increase the number of executive directors due to special circumstances, it must be announced to all directors and ratified by the board of directors;

If it is necessary to temporarily change or add the vice president or executive vice president due to special circumstances, it must be announced to all members and ratified by the members' congress;

If the president of the association cannot continue to serve as president during his term of office due to transfer or other reasons, the unit where the president belongs shall report to the Council in writing two months in advance, and may recommend other corresponding candidates as successors. After receiving the report of the president unit, the Council shall convene the Council or the Standing Council to discuss and study within 30 days, and submit it to the members' congress for election by secret ballot. After the change of the president is approved by the members' congress, the association shall submit the relevant materials on the change of the legal representative to the registration authority in time.

Article 37 Rules and procedures for the establishment of branches and representative offices of this Association:

(a) the secretariat of the association put forward a specific plan for setting up branches;

(two) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submitting the adopted specific plan to the Council for deliberation and approval;

(four) reported to the social organization registration authority for examination and approval.

Chapter V Principles of Asset Management and Use

Thirty-eighth sources of funding for the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope, and income from fund-raising;

(5) interest;

(6) Other lawful income.

Article 39 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.

Fortieth donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Chamber of Commerce and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 41 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

Forty-second all members and staff of the association who privately divide, occupy or misappropriate the property of the association shall be returned and reviewed at the members' congress; If the case constitutes a crime, legal responsibility shall be investigated according to law.

Article 43 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.

The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Article 44 An association shall be equipped with or employ accountants with professional qualifications. Or entrust an accounting firm to carry out financial management, and the accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When accounting personnel transfer their jobs or leave their posts, they shall go through the handover procedures under the supervision of the board of supervisors.

Article 45 The asset management of this Association must implement the financial management system stipulated by the state, and accept the supervision of the Board of Supervisors of the General Assembly and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Forty-sixth annual inspection, change, change of legal representative and liquidation, the association must conduct financial audit or outgoing audit.

Article 47 According to laws and regulations, this Association shall submit the activity report of the previous year, financial report and the activity arrangement of this year to the registration authority before the end of March every year, and accept the annual inspection;

Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas NGOs, carry out appraisal and commendation activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities and go through the relevant procedures before the event.

Article 48 The full-time staff of this Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to relevant state regulations.

Chapter VI Procedures for Amending the Articles of Association

Article 49 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.

Article 50 The revised articles of association of this Association shall come into effect after being approved by the registration authority within 30 days after being adopted by the members' congress.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 51 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:

(a) to complete the purpose stipulated in the articles of association;

(2) The general meeting of members decides to dissolve;

(3) Division or merger of the association;

(four) unable to continue to work in accordance with the purpose of the articles of association.

Article 52 The motion to terminate this Association must be voted by the members' congress and submitted to the registration authority of this Association for examination and approval.

Article 53 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall cancel the registration with the registration authority within 15 days from the date of liquidation.

Article 54 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 55 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 56 The first outgoing president of this Association is the "founding president" of this Association. Successive outgoing presidents may be awarded the honor of "Permanent Honorary President" after deliberation and approval by the Standing Council.

Article 57 The Articles of Association was adopted by the members' congress on April 20, 20 10.

Article 58 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 59 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
