Articles of Association of the Board of Directors of Zhuhai Yan 'an Spiritual Research Association Article 1 The Board of Directors is the management body of Zhuhai Yan 'an Spiritual Research Association, serving and obeying the leadership of Zhuhai Yan 'an Spiritual Research Association.

Article 2 The Council is a platform organization composed of enterprises, legal persons and individuals who are committed to carrying forward the "Yan 'an Spirit" and serving the Yan 'an Spirit Research Association in Zhuhai.

Article 3 In carrying out various activities, the Association must abide by the laws, regulations and policies of the state and social ethics. Its purpose is to carry forward the "Yan 'an Spirit" with "hard work, mass line, integrating theory with practice and seeking truth from facts" as the core and the red culture with the development of China as the content. Contribute to the promotion of Zhuhai culture and even the national cultural and economic construction.

Article 4 The Council accepts the leadership and management of Yan 'an Spiritual Research Association of Zhuhai, and accepts the guidance and supervision of relevant departments of Zhuhai through Yan 'an Spiritual Research Association of Zhuhai.

Article 5 The permanent offices of the Association and the Yan 'an Spiritual Research Association of Zhuhai are located in Zhuhai. Article 6 The main business scope of the Council

(a) to assist the Yan 'an Spirit Research Association of Zhuhai City in studying the contents, development and publicity methods and means of Yan 'an Spirit;

(two) to carry out the study and exchange of "Yan 'an Spirit" and red culture to enhance understanding and consensus; Assist Yan 'an Spiritual Research Association in Zhuhai to hold forums, seminars, demonstration meetings and other activities; Provide channels and platforms for communication, information exchange and sharing of achievements and experiences between the government and the governing units;

(3) Assist Zhuhai Yan 'an Spiritual Research Association to run official website, WeChat and periodicals well, and assist in publishing;

(4) Providing consulting services on "Yan 'an Spirit" and "Red Culture";

(five) to provide economic and legal assistance to the old red areas, the families of the disabled and the descendants of the revolution. Article 7 The members of the board of directors are composed of the chairman unit (individual), the vice chairman unit (individual), the standing director unit (individual) and the director unit (individual). Member units include scientific research institutions, enterprises and institutions, academic groups, colleges and universities, etc. In principle, individual members are composed of the chairman and vice-chairman, executive directors, legal persons of governing units or personnel appointed by legal persons. At the same time, experts, scholars, entrepreneurs, celebrities from all walks of life and other members of the Yan 'an Spiritual Research Association in Zhuhai were recruited.

Article 8 Units and individuals applying to join the Council must meet the following conditions:

(a) Support the constitution of the Council;

(2) Having the will to join the Council;

(3) It has a certain influence in the business field.

Article 9 To join the Council, the following procedures shall be followed:

(1) Submit the membership application (see attachment1for the application form);

(2) discussed and approved by the Council;

(3) The board of directors shall issue a corresponding letter of appointment.

Article 10 Members of the board of directors shall enjoy the following rights:

(1) The voting rights, the right to be elected and the voting rights of the Council;

(two) to participate in various activities organized by the Council;

(3) Give priority to the services of the Council and the information provided by the Council.

News and other information, give priority to participate in seminars, training and other research and exchange activities organized by Yan' an Spiritual Research Association of Zhuhai, and give priority to all kinds of research results, research reports and consulting services provided by Yan' an Spiritual Research Association of Zhuhai;

(four) criticism, suggestions and supervision of the work of the Council;

(5) Freedom to join and quit voluntarily.

Article 11 Members of the board of directors shall perform the following obligations:

(1) Implementing the resolutions of the Council;

(two) to safeguard the legitimate rights and interests of the Council;

(three) to complete the work assigned by the Council;

(four) to pay the membership fee within the prescribed time;

(five) to reflect the situation to the Council and provide relevant information.

Article 12 When a member withdraws from the meeting, he shall notify the secretariat of the Council in writing (represented by the secretariat of Yan 'an Spiritual Research Association of Zhuhai) and return the letters of appointment of the governing units and individuals. If a member fails to pay the membership fee or participate in the activities of the Council for one year, it will be deemed as automatic withdrawal.

Article 13 If a member seriously violates the Articles of Association, he/she shall be disqualified as a director by voting of the board of directors. Article 14 The highest authority of the Council is the general meeting of Council members. The functions and powers of the general assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Article 15 A general meeting of members shall be held only when more than two thirds of the members are present, and its resolutions shall take effect only when more than half of the members are present.

Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the Yan 'an Spiritual Research Association of Zhuhai for review, and approved by the registration authority. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general meeting of members. When the general meeting is not in session, the Council leads the Council to carry out its daily work and is responsible for the general meeting.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of Yan 'an Spiritual Research Association and Zhuhai General Assembly;

(2) Electing and dismissing the chairman, vice-chairman, executive directors, directors and secretary-general;

(3) Preparing and convening the general meeting of members;

(four) to report the work and financial situation to the general assembly;

(5) To decide on the appointment and removal of members of the Council;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to lead the work of the organs of the Council;

(eight) to formulate internal management system;

(9) Deciding on other major matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet once a year. When the chairman thinks it is necessary or 1/3 directors jointly propose, an interim board meeting may be convened. Special circumstances can be held in the form of communication.

Article 21 The Council shall establish a standing council. The Standing Council is elected by the Council, and when the Council is not in session, it shall exercise the functions and powers specified in Items (1), (3), (5), (6), (7), (8) and (9) of Article 18 and be responsible to the Council.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall hold a meeting every six months; When the chairman thinks it necessary or 1/3 executive directors jointly propose, an interim executive board may be convened. Special circumstances can be held in the form of communication.

Article 24 The board of directors shall have 65,438+0 chairman, several vice-chairmen (including 65,438+0 executive vice-chairman) and 65,438+0 secretary-general (who may work part-time).

Twenty-fifth chairman, vice chairman and secretary general must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of Yan 'an Spiritual Research Association in Zhuhai;

(3) The maximum age of the chairman, vice-chairman and secretary-general is generally no more than 70 years old, and the secretary-general is full-time;

(4) Being healthy and competent for the leadership of the Council.

Twenty-sixth chairman, vice chairman, secretary general over the maximum working age, must be approved by the board of directors, and reported to the Yan 'an Spiritual Research Association of Zhuhai City and the registration authority of the society for approval before taking office.

Article 27 The term of office of the chairman, vice-chairman and secretary-general of the Council shall be five years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members of the general assembly and reported to the Yan' an Spiritual Research Association of Zhuhai City and the registration and management organ of the association for the record before taking office.

Article 28 The chairman shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(2) Convene the standing (executive) vice-chairman (or vice-chairman) to hold a meeting to study the work from time to time;

(three) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;

(4) Signing relevant important documents on behalf of the Council;

(five) the chairman shall not concurrently serve as the legal representative of other units, and the vice chairman shall be entrusted by the chairman to be responsible for one or more affairs of the Council.

Article 30 The Secretary-General shall exercise the following functions and powers:

(a) to preside over the daily work of the Council and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submitting them to the Council for discussion and decision;

(four) to decide on the appointment and dismissal of full-time staff of offices, representative offices and entities;

(5) Handling other daily affairs;

(six) to carry out and complete the tasks assigned by the chairman temporarily. Article 31 The sources of funds for the Council are:

(1) Membership fee: Membership fee is divided into five grades: chairman unit, executive vice chairman unit, vice chairman unit, executive director unit and director unit. The initial membership fees are: 6,543,800+10,000, 80,000, 60,000, 30,000 and 6,543,800+10,000 respectively. The adjustment of membership fees needs to be approved by the general meeting of Council members;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 32 The Council shall collect consulting and communication service fees in accordance with relevant state regulations.

Article 33 The Council intends to set up a special fund, and the use and management of the special fund shall be stipulated separately.

Article 35 The board of directors shall establish a strict financial management system in accordance with relevant regulations to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 36 The board of directors shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When the chairman of the board of directors and accountants transfer their jobs or leave their posts, they must go through the handover procedures with the recipients after the audit.

Article 37 The assets management of the board of directors must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to social assistance and donation, it must accept the supervision of Yan 'an Spiritual Research Association of Zhuhai City and publicize relevant information in an appropriate way.

Article 38 The legal person of Yan 'an Spiritual Research Association of Zhuhai City naturally becomes the legal person of the Council. Before changing or replacing the legal representative, all audits organized by Yan 'an Spiritual Research Association and business guidance units in Zhuhai must be accepted.

Article 39 No unit or individual may occupy, privately divide or misappropriate the assets of the Council.

Fortieth the wages, insurance and welfare benefits of the full-time staff of the Council shall be implemented with reference to the relevant provisions of enterprises in Zhuhai. Part-time employees are not paid in the Council. Article 41 Any amendment to the articles of association of this Association shall be approved by this Association and submitted to the general meeting of members for deliberation.

Article 42 The revised Articles of Association of the Board of Directors shall come into effect after being approved by the board of directors within 15 days after being adopted by the general meeting. Article 43 If the board of directors completes its purpose, dissolves or needs to be revoked due to the division or merger of the company, the board of directors shall propose a termination motion.

Article 44 The motion to terminate the Council shall be approved by the general meeting of members and reported to the Yan 'an Spiritual Research Association of Zhuhai City and the business guidance unit for the record.

Article 45 Before the termination of the board of directors, under the guidance of Yan 'an Spiritual Research Association of Zhuhai, business guidance units and relevant authorities, a liquidation organization shall be established to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 46 The Council shall be terminated after the cancellation of registration by the administrative department for industry and commerce.

Article 47 The remaining property after the termination of the board of directors shall be used for the development of undertakings related to the purpose of Yan 'an Spiritual Research Association in Zhuhai under the supervision of Yan 'an Spiritual Research Association in Zhuhai, business guidance units and industrial and commercial registration administration authorities in accordance with relevant state regulations. Article 48 The Articles of Association was adopted by the general meeting of members on September 6, 2005.

Article 49 The Articles of Association shall come into effect on September 20 15+0 1 year 1 day.

Article 50 The right to interpret these Articles of Association belongs to Yan 'an Spiritual Research Association of Zhuhai.
