Chapter I General Provisions

Article 1 The name of Sanya Blue Ribbon Marine Protection Association (BOPA).

Article 2 Nature of Association Sanya Blue Ribbon Marine Protection Association is a non-governmental public welfare organization.

Article 3 Organizational Purpose Sanya Blue Ribbon Marine Protection Association abides by the Constitution, laws, regulations and national policies, focuses on the sustainable development strategy and the construction of a harmonious society between man and nature, devotes itself to marine environmental protection, advocates marine protection, promotes marine culture, promotes marine economic development and actively contributes to marine environmental protection. The Blue Ribbon Marine Protection Plan supervises and urges members of legal persons and natural persons to play an organizational role, pursues the code of conduct of unity, dedication, care for the ocean and common progress, and plans to establish a grand alliance for caring for the ocean nationwide to jointly publicize and popularize marine protection knowledge. Strengthen the self-discipline of organization members and international exchanges of enterprises, and improve people's awareness of marine environmental protection.

Article 4 The competent authority of Sanya Blue Ribbon Marine Protection Association is Sanya Ocean and Fisheries Bureau, and the registration authority is Sanya Civil Affairs Bureau.

Chapter II Scope of Business

Article 6 The business scope of Sanya Blue Ribbon Marine Protection Association is as follows: (1) To publicize and implement the United Nations Convention on the Law of the Sea, the Convention on the Prevention of Marine Pollution by Dumping of Wastes and Other Substances, the Convention on Biological Diversity and China's policies and regulations on marine protection, so as to raise the awareness of the whole people on marine protection.

(2) According to international and domestic laws and regulations, establish a set of environmental protection standards to identify the sustainable development of marine economy, and form a blue-ribbon marine protection convention.

(three) the implementation of the blue ribbon blue logo and the blue ribbon marine protection convention, marine economic development activities and seafood that meet the standards of marine protection will be marked with the blue ribbon blue logo.

(4) Establish the Blue Ribbon Marine Protection Fund. With the support and guidance of all walks of life and experts, we will raise funds from all walks of life at home and abroad to carry out various work related to marine environmental protection through the establishment of member funds, social donations and fund-raising activities.

(5) Organizing member enterprises to investigate and study major issues such as principles, policies, plans and measures for strengthening marine environmental protection and implementing sustainable development, and putting forward constructive opinions to relevant organizations.

Chapter III Organizational Members

Article 7 Sanya Blue Ribbon Marine Protection Association is composed of president unit, governing unit and individual members.

Article 8 A member applying to join Sanya Blue Ribbon Marine Protection Association must meet the following conditions: he loves marine environmental protection and agrees to the BOPA Charter; Enthusiastic about BOPA organization and actively participate in BOPA organization activities; Enterprises, environmental protection organizations, social organizations and relevant universities and scientific research institutions registered according to law; Individuals with no criminal or other bad records.

Article 9 Membership Procedures Anyone who voluntarily participates in BOPA must apply for membership and fill in relevant forms. Only after discussion and approval by the BOPA Standing Council can he become a member of this Association. The chairman unit may elect two individual members. Celebrities who are enthusiastic about marine environmental protection and actively support the work of BOPA can be directly absorbed by the Council as honorary members, directors, invited consultants or honorary chairmen of the Association. Individual members who are approved to join the club will be issued with membership cards, and group members will be issued with group membership cards and plaques.

Article 10 Members shall enjoy the following rights: the right to vote, the right to be elected and the right to vote; Give priority to the use of organization logo and CI image in product packaging and corporate image promotion; Give priority to the activities organized by BOPA; Have priority in organizing work; Have the right to supervise, criticize and suggest the work of this association; Give priority to the services provided by the association and the publications published by the association; Joining is voluntary and quitting is free.

Article 11 Members of the BOPA organization shall fulfill the following obligations: abide by the articles of association of the BOPA organization and implement the resolutions of the BOPA organization; Safeguard the legitimate rights and interests of BOPA organization; Actively complete the work assigned by BOPA organization; Take the initiative to reflect the situation to BOPA, provide information and make suggestions on the development of the organization as much as possible; Pay the membership fee as required.

Article 12 When a member withdraws from the meeting, he shall notify the meeting in writing and return the member's plaque, certificate and other relevant materials organized by BOPA. If a member fails to fulfill his membership obligations and fails to pay his membership dues for two consecutive years, he will be deemed to have withdrawn automatically.

Thirteenth members who seriously violate the articles of association, or are subject to criminal sanctions, shall be removed with the approval of the Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of Sanya Blue Ribbon Marine Protection Association is the general meeting of members, and its functions and powers are: to formulate and amend the articles of association; Election and removal of directors; To review the work report and financial report of the Council; Decided to terminate; Decide on other major issues.

Article 15 A general meeting of members shall be held only when more than two thirds of the members (or members' representatives) are present, and its resolution shall take effect only when more than half of the members present vote.

Article 16 If the general meeting of members is held for 5 years and needs to be changed or postponed in advance due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority, but the extension of the general meeting of members shall not exceed 1 year.

Article 17 Sanya Blue Ribbon Marine Protection Association shall set up a board of directors as an executive body to lead the daily work of the association.

Article 18 The functions and powers of the Council are to elect and recall the president, vice-president, secretary-general and executive director; Examining and approving board members; Prepare for the convening of a member congress; To report the work and financial revenue and expenditure of the Association to the members' congress; Decide other important matters.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall meet at least twice a year.

The meeting of the board of directors shall be convened and presided over by the president or the vice president authorized by the president. At the proposal of 1/3, the board meeting must be held. If the president is unable to convene the meeting for justified reasons, the president shall designate the vice president to convene and organize the meeting. If the president fails to perform his duties without reason, the vice president will perform his duties on his behalf. When convening a meeting of the board of directors, the secretariat of the board of directors shall deliver the notice of the meeting to all directors 7 days in advance.

Article 21 The resolution on the following major issues shall be valid only if it is approved by more than two thirds of the directors present at the board meeting. (1) Amending the Articles of Association; (2) To elect or recall the president, vice-president and secretary-general; (3) Major fund-raising and investment activities as stipulated in the articles of association.

Twenty-second Council meetings shall make minutes.

Where a resolution is made, minutes of the meeting shall be made on the spot, which shall be reviewed and signed by the directors attending the board meeting. If the resolutions of the Council violate laws, regulations or articles of association and cause losses to the Association, the directors who participated in the resolutions shall bear the responsibilities. Minutes of board meetings shall be kept as institutional files for a long time.

Article 23 The board of directors shall have a chairman and a secretary-general. The vice president, executive director, director and deputy secretary-general are elected by the Council of the Association. The term of office is five years. When their term of office expires, they can be re-elected. The Secretary-General is the legal representative of the Association.

Article 24 The president and vice-president shall be elected by the board of directors, and the personnel belonging to the sponsor, contractor and recommender shall serve as executive directors. The Secretary-General is nominated by the President and approved by the Board of Directors.

Article 25 The president, vice-president, secretary-general and executive director must meet the following conditions: (1) They have great influence in relevant business fields, are experienced, knowledgeable, fair and honest, and have a democratic style of work; (2) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time; (3) Being in good health and able to stick to normal work; (4) Having full capacity for civil conduct and no criminal record.

Article 26 Qualifications of directors (1) Love environmental protection and public welfare undertakings, identify with the purpose of this association, care for and support the work of this association, and voluntarily serve this association; (2) Have experience in operation, management or research in a certain field, have good achievements in this field, and have certain social influence; (3) Having a strong sense of public welfare responsibility and being able to participate in litigation independently and objectively on the principle of fairness, impartiality and openness; (4) Strong deliberation, decision-making ability and interpersonal communication ability; (5) Being in good health, being able to work normally, having full capacity for civil conduct and having no criminal record.

Article 27 The President shall exercise the following functions and powers to convene and preside over meetings of the Council; Check the implementation of the resolutions of the Council; Signing important documents on behalf of the Association; Other functions and powers entrusted by the Council. The vice president of the association works under the leadership of the president. The President may authorize the Vice President to exercise the above-mentioned related functions and powers as required.

Article 28 The Secretary-General shall exercise the following functions and powers: to be the legal representative of the Association; Preside over the daily work of the office and organize the implementation of the annual work plan; Coordinate the work of branches, representative offices and entities; Nominate the heads of offices, branches, representative offices and entities and submit them to the Council for decision; To decide on the employment of full-time staff in offices, representative offices and entities; Handle daily affairs.

Article 29 The Association shall have honorary president, honorary vice president and honorary directors. Honorary president, honorary vice president and honorary director shall be approved by the board of directors.

Thirtieth associations can set up branches, representative offices and special funds according to the needs of their work. Branches and representative offices shall be reported to the registration authority for examination and approval after being approved by the board of directors.

Article 31 The Association may, according to the needs of its work, set up non-permanent institutions such as advisory committees and expert committees. The members of non-permanent institutions such as advisory committees and expert committees shall be examined and approved by the Council.

Chapter V Principles of Asset Management and Use

Thirty-second BOPA funds source membership fee; Funding and donation; Other lawful income. Article 33 BOPA collects membership fees in accordance with state regulations. Article 34 BOPA funds must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members. Article 35 BOPA shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data. Article 36 BOPA is equipped with accounting personnel with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 37 The assets of BOPA must implement the national financial management system and accept the supervision of the members' congress and the financial department. Article 38 The change or replacement of the legal representative of BOPA shall be reported to the national association registration authority for the record. Article 39 No organization or individual may occupy, privately divide or misappropriate BOPA's assets. Article 40 The salary, insurance and welfare of full-time staff of BOPA shall be implemented in accordance with national standards.

Chapter VI Procedures for Amending the Articles of Association

Article 41 Any amendment to the Articles of Association shall be reported to the competent business unit for approval within 15 days after the approval of the board of directors. After the examination and approval of the competent business unit, it will take effect after being reported to the registration authority of the association for approval.

Chapter VII Termination Procedure and Disposal of Property after Termination

Article 42 An association shall be terminated under any of the following circumstances: it shall fulfill the purpose stipulated in its articles of association; Unable to continue to engage in public welfare activities in accordance with the purpose stipulated in the articles of association; It needs to be terminated due to the division or merger of the association; The board of directors unanimously passed the termination decision according to the voting procedure.

Forty-third termination of the association shall be reported to the competent business unit for approval within 15 days after the vote of the board of directors. Apply to the registration authority for cancellation of registration within 15 days after the approval of the competent business unit. Forty-fourth before the cancellation of registration, the association shall set up a liquidation organization under the guidance of the registration authority and the competent business unit to complete the liquidation work. The Association shall cancel its registration with the registration authority within 15 days from the date of liquidation; Activities other than liquidation shall not be carried out during the liquidation period. Article 45 The remaining property after the cancellation of the association shall be used for activities or projects for environmental protection and public welfare purposes under the supervision of the competent business unit and the competent registration authority. If it cannot be handled in the above way, the registration authority shall organize donations to social welfare organizations with the same nature and purpose as this Association, and make an announcement to the public.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted at the first preparatory meeting of the Council on April 6, 2007. Article 47 The right to interpret the Articles of Association belongs to the Council of the Association. Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
