Chapter I General Provisions

Article 1 The name of this Association is Guangdong Health Food Industry Association. English name: health care food professional association of Guangdong province

Article 2 The nature of this association is: a province-wide trade organization voluntarily composed of health food, nutritious food, enterprises, institutions and scientific research institutions in health care industry, and it is a non-profit social organization with legal personality approved by the Guangdong Provincial Civil Affairs Department.

Chapter II Scope of Business

Article 7 Scope of Business of the Association

Chapter III Members

Article 8 All enterprises and institutions that are directly engaged in the production, sale, scientific research, inspection and education of health food, nutritious food, organic functional food, dietotherapy and health care, medicated diet and herbal tea, as well as food and food additives and health care products may apply to the Association and become members of the Association after examination and approval.

Article 9 A member who applies to join this Association must meet the following conditions:

Article 1 The procedures for membership are as follows:

(1) Submit an application for membership;

Article 11 Members shall enjoy the following rights:

(5) voluntary membership and freedom of withdrawal;

Article 12 Members shall perform the following obligations:

(1) Abide by the articles of association of this Association;

(2) to implement the resolutions of this Council; Abide by the rules and regulations formulated by the association;

(3) Pay the membership fee as required;

(4) to safeguard the legitimate rights and interests of the association and the industry;

(5) Complete the work assigned by the Association and consciously participate in the activities of the Association;

(6) report the situation to this Council and provide relevant information.

Article 13 The standard for members to pay membership dues:

General member units pay membership dues of 3, yuan per year; The director unit pays 1, yuan per year; The executive director unit pays 2, yuan per year; The vice-president unit pays 1, yuan per year; The president's unit pays 2, yuan a year; The working Committee pays 2, yuan a year.

Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member does not pay the membership fee or participate in the activities of the association for one year, it will be regarded as automatic withdrawal.

article 15 if a member fails to abide by the articles of association, the trade association will criticize and educate him. if he seriously violates the articles of association or national laws and regulations, he will be given a warning, rectified within a time limit, and removed from the board of directors or the standing Council.

chapter iv creation and removal of the organization and the person in charge

article 16 this association is composed of members. If the number of members is more than 1, representatives can be elected to form a member congress, and member representatives are elected by members. The members' congress is the highest authority of the trade association, and exercises its functions and powers in accordance with the laws and regulations of the state and the articles of association of the trade association.

Article 17 The members' congress shall exercise the following functions and powers:

(1) To decide the business scope and work functions of the association within the scope prescribed by laws and regulations;

(2) to elect and recall directors, presidents, vice-presidents, secretaries-general (by appointment system) and supervisors; (The election shall be conducted by secret ballot)

(3) To review the annual work report and annual financial budget and final accounts plan of the Board of Directors and the Board of Supervisors;

(4) to consider the proposal of the board of directors on delisting members;

(5) To make resolutions on the alteration, dissolution and liquidation of the Association;

(6) changing or revoking inappropriate decisions of the Council;

(7) to formulate or amend the articles of association and the election method of the organization;

(8) Deciding to terminate;

(9) to decide on other important matters.

article 18 a member congress is held for four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council and reported to the registration authority of the association for approval. However, the extension of the term of office shall not exceed one year at the longest. The members' congress shall meet at least once every two years, and the Standing Council may convene an interim members' congress if it deems it necessary or more than one-fifth of the members propose. Members' congress can only be held when more than 2/3 members' representatives are present, and its resolution can only take effect when more than half of the members present vote.

Article 19 A member congress must be attended by more than two thirds of all members; Its resolution shall be adopted by more than half of the members' representatives.

the members' congress shall make minutes of the decisions on the matters discussed and make an announcement to the members.

article 2 this association shall have a Council. The Council is the permanent body of the member congress, and performs its duties in accordance with the resolutions of the member congress and the articles of association when the member congress is not in session. The number of directors is one-third of the number of member representatives.

Article 21 The functions and powers of the board of directors are:

(1) to prepare and convene the general meeting of members [or the general meeting of members];

(2) to implement the resolutions of the Congress [or Congress] and report the work to the Congress [or Congress];

(3) to decide on the specific work and business of the association;

(4) to formulate the annual financial budget plan, final accounts, alteration, dissolution and liquidation plan of the Association;

(9) to formulate the internal management system of the association;

article 22 the board of directors shall meet at least once a year (in special circumstances, it may also be convened by correspondence). The board of directors shall be convened only when more than half of the directors are present, and its resolutions shall take effect only when more than half of the directors attending the meeting vote. article 23 the association shall establish a standing Council. The Standing Council shall be elected by the Council, exercise the functions and powers stipulated in Article 21 when the Council is not in session, and be responsible to the Council. The Standing Council shall be convened at least twice a year or in the form of communication, and the resolutions of the Standing Council shall be adopted by more than half of the executive directors.

Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:

(1) The secretariat of this trade association shall propose a specific plan for the establishment of branches;

(2) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submit the adopted concrete plan to the Standing Council for deliberation and approval.

(4) report to the social organization registration authority for examination and approval.

article 25 the association shall have one supervisor, who shall be elected by the members' congress for the same term as the Council. The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors. You can be re-elected at the expiration of the term.

Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

(1) Adhere to the Party's line, principles and policies and have good political quality;

(2) it has a great influence in the business field of the association;

(3) The president, vice-president (executive vice-president) and secretary-general shall not be over 7 years old, and the secretary-general shall be full-time;

(4) Being in good health and able to work normally;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

article 27 the association shall have a president and several vice-presidents. If the association is under special circumstances, the vice-president or the secretary-general may act as the legal representative, and may act as the legal representative with the approval of the association registration authority. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The Secretary-General of this Association is concurrently the executive vice president, nominated by the president, and the appointment system is adopted. The Secretary-General and the president cannot be produced in the same enterprise. The president shall not concurrently serve as the Secretary-General.

article 29 the term of office of the president, vice-president and secretary-general of this association is four years, and no more than two consecutive terms are allowed. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than half of the members' representatives attending the member congress.

Article 3 The president of the Association shall exercise the following functions and powers:

(1) To decide on the annual work plan and approve the annual financial budget and final accounts of the Association;

(2) to convene and preside over meetings of the Council and the Standing Council;

(3) check the implementation of the resolutions of the members' congresses, councils or standing councils;

(4) Signing relevant important documents on behalf of this Council;

(5) in case of special circumstances, decide on major issues on behalf of the standing Council, convene the standing Council afterwards and report to the standing Council.

Article 31 The Secretary-General of the Association shall exercise the following functions and powers:

(1) Preside over the daily work of the office and organize the implementation of the annual work plan;

(2) coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General to the Standing Council for decision;

(4) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) handling other daily affairs;

Article 32 A supervisor shall exercise the following functions and powers:

(1) Report work to the members' congress.

(2) to supervise the election and recall of members' congresses and councils; Supervise the Council to implement the resolutions of the member congresses.

(3) check the financial and accounting data of the association and report the situation to the registration administration organ and the competent tax and accounting departments.

(4) Supervisors have the right to raise questions and suggestions to the board of directors as nonvoting delegates.

(5) to supervise the compliance of the Council with laws and articles of association. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the member congress or relevant government departments when necessary.

Chapter V Principles of Asset Management and Use

Article 33 Sources of funds of this Association:

(1) Membership fees;

(3) government funding;

(6) Other lawful income.

article 34 when accepting donations, the association shall abide by laws and regulations, and shall not apportion in any form or in disguised form.

Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The Association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

article 35 the funds of this association must be used for the business scope and career development stipulated in the articles of association. the property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

article 36 if the president, vice-president, directors, supervisors, secretary-general and staff of the association privately divide, occupy or misappropriate the property of the association, they shall be returned and reviewed at the general meeting of members; If a crime is constituted, criminal responsibility shall be investigated according to law.

article 37 this association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting materials.

this association accepts the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

article 38 this association is equipped with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the receiver.
