Article 3 Scope of application

Unless otherwise specified, these rules shall apply to:

Chapter II Specific Implementation

Article 6 Registration Method

The contract ledger is managed in the form of general ledger. General ledger shall be established for all contracts and subsidiary ledger shall be established for each contractor. Documents and forms should be filled in for each contract.

I. Contract General Ledger Registration

1. The development company is managed and registered by the comprehensive department of our company;

1. The development company is registered and managed by the managers and chief engineers of all departments of the company respectively;

4. The assistant general manager or project director of the property management company is responsible for registration management;

Article 8 The contract account shall include the following contents:

(a) the name of the contract;

(2) The names of the parties and signatories to the contract;

(3) the substantive contents of the contract (including the subject matter, quantity, price or remuneration, time limit, place and method of performance, liability for breach of contract, dispute settlement method and other matters that need to be specified);

Article 9 The following materials shall be attached to the contract account:

3. The identity certificate of the legal representative of the other party, the power of attorney of the entrusted agent and the identity certificate of the agent;

4. Quotations, supplementary contracts, meeting minutes, letters and telegrams of the other party to the contract;

5. Acceptance list, acceptance report, batch and phased performance records, contract performance report, etc.

6. Relevant important information.

Article 10 Registration Time

The registration management personnel of each department shall establish a contract ledger within three days after the contract is signed and effective, and record and review major contracts.

Article 11 Supplementary information

The contract account manager of each undertaking department has the right to review the contract and the attached materials. When problems such as inconsistent procedures, incorrect contents or incomplete materials are found, the contract signing personnel should be required to take timely measures to correct or supplement the materials.

Article 12 Contract registration number and handover rules

The contract documents involved in these Measures shall be classified and numbered according to the contract classification and numbering rules of Hong Xin (Zhengzhou) Co., Ltd. ..

The handed-over contract documents must be marked with the contract number, complete and hierarchical, in line with its formation law.

If the contract changes, the contract number will not change.

When the contract documents are handed over, the contract handover list must be prepared and counted in person.

The handover procedures can only be handled after the signature of both parties.

Article 13 These Rules are the supporting documents for the contract management system of Hong Xin (Zhengzhou) Co., Ltd. and the contract classification and numbering rules of Hong Xin (Zhengzhou) Co., Ltd.

Article 14 These Measures shall apply to all contracts submitted for review after the promulgation of these Measures.

Chapter IV Supplementary Provisions

Article 17 Detailed Rules for Implementation

Matters not covered in this system shall be supplemented by each department and implemented after being approved by the chairman and general manager.

Article 18 Interpretation, Amendment and Abolition

The right to interpret this system belongs to the Legal Department, the right to modify and abolish the office meeting of the company's chairman.

Article 1 In order to ensure the integrity and unification of contract ledger data and standardize the management of various contracts in enterprises, the Contract Management System of Limited Companies is formulated.

Article 2 Where a contract is signed in the name of a limited company, the contract undertaking department shall establish a contract ledger (see Annex 1) in accordance with these Measures, and file it with the legal department of the company at the same time. In case of receipt and payment, it shall also file it with the financial department.

Filing means that the contract manager submits the contract ledger and the copy of the contract signed by the manager to the relevant departments.

Article 3 The contract manager and the contract department shall establish a contract ledger within three days after the contract is signed and takes effect, and perform the filing procedures as required, and assist the Legal Department and the Finance Department in guiding, inspecting and supervising the contract management and performance.

Article 4 The contract ledger shall be in tabular form, and each contract shall be filled in and filed.

Article 5 The contract account shall include the following contents:

Article 7 If there is any change or suspension during the performance of the contract, the contract manager shall indicate it in the remarks column of the contract ledger in time and report it to the Legal Department for the record.

If there is any change in the terms of payment and receipt of the contract price (including payment amount, payment time, payment terms, etc.). ), it should also be reported to the financial department for the record.

Article 8 Contract ledger managers, legal personnel and financial personnel have the right to review the contract and the attached materials, and when they find problems such as inconsistent procedures, incorrect contents or incomplete materials, they should promptly ask the contract handling personnel to take measures to correct them.

Or supplementary information to ensure that the signing and performance of the contract is legal and effective.

Article 9 When using or borrowing the contract ledger data, the user or borrower shall go through the use or borrowing procedures, and keep the contract data properly, and shall not be damaged or lost, and shall not be altered or replaced without authorization. After processing, the used or borrowed contract materials shall be returned to the contract ledger manager in time.

Those who violate the provisions of the preceding paragraph and cause adverse consequences to the enterprise will be held accountable.

Article 10 These Measures shall be jointly formulated and interpreted by the Ministry of Justice and the Head Office.
