Article 1 Legal relationship between Party A and Party B

In view of the characteristics of the operation of shopping malls, Party A and Party B are equal legal relations of leasing between civil subjects, and legal relations of operation and management between shopping malls and merchants.

Party A is the manager and organizer of the shopping mall, providing Party B with a business platform with its own business site, reputation and management. As the lessor, Party A has the right and obligation to manage and serve the shopping mall.

As a merchant of the shopping mall, Party B gives full play to its business advantages with the help of the business premises, management and services provided by Party A. As a lessee, Party B has the right and obligation to obey Party A's management, accept Party A's services and pay management service fees.

Article 2 Leased houses

Party A will build new shops/counters in Shangcheng Shopping Plaza (see attached floor plan) with a building area of square meters, including common parts.

Article 3 Term of lease

3. 1 The lease term is years, that is, from the date of the month to the date of the month.

3.2 Party B shall take over the leased berth/counter before, and handle the written handover procedures with Party A. If both parties fail to handle the handover procedures within the above period due to Party B's reasons, it shall be deemed that both parties have completed the delivery on the due date. Party A shall calculate the renovation period from the date when Party B handles the handover procedures of the leased berth/counter.

Article 4 Rent, other expenses and payment methods

Article 5 Rights and obligations of Party A

5. 1 In order to maintain the normal business order of the mall and protect the legitimate rights and interests of managers and operators, Party A has formulated various management system provisions of the mall (new Shangcheng Shopping Plaza management convention, new Shangcheng Shopping Plaza civilized management contract, new Shangcheng Shopping Plaza fire safety responsibility letter, new Shangcheng Shopping Plaza decoration management regulations, etc. In accordance with the policies, laws and regulations of the state, the operators shall be subject to unified management. If Party B violates the regulations, Party A has the right to impose corresponding penalties according to relevant management regulations.

5.2 Party A has the right to cooperate with relevant departments or criticize and educate Party B's violations of laws, regulations and contracts in all Party A's business activities, suspend business for rectification, impose fines, seal up the goods and terminate the contract.

5.3 Provide property management services to the leased property to ensure the safe use of Party B. Party A is responsible for regularly inspecting the property and its equipment, and bearing normal property maintenance expenses. If Party B or a third party suffers losses due to Party A's failure to maintain the property in time, Party A shall be responsible for compensation.

5.4 Party A shall provide 24-hour security service and public area cleaning and sanitation service to maintain the normal business order of the mall.

Article 6 Rights and Obligations of Party B

6. 1 Party B shall submit necessary, legal and valid copies of its business license (including business license, tax registration certificate, commodity quality inspection certificate, business license, production license and other legal documents required for business activities) to Party A, and the goods/services operated by Party B shall comply with the provisions of People's Republic of China (PRC) Product Quality Law, People's Republic of China (PRC) Consumer Protection Law and other relevant laws. If Party B violates the above laws and regulations, it shall bear the corresponding legal responsibilities and bear the losses caused to Party A therefrom.

6.2 During the lease term, if Party B needs to terminate the contract in advance due to special circumstances, it shall submit a written application to Party A two months in advance. With the written consent of Party A, both parties can terminate the contract only after settlement, and the performance bond will be returned within the time specified by Party A. 6.3 The store/counter rented by Party B is only used for commercial operation and shall be operated according to the unified plan of Party A.. 6.6 During the contract period, Party B shall obey the management needs of Party A, make necessary local adjustment, renovation and maintenance arrangements for the new Shangcheng Shopping Plaza, and give unconditional assistance.

6.7 Party B must abide by laws and regulations in business activities to ensure the quality of goods. Pay industrial and commercial management fees and taxes as required. Take the initiative to accept the supervision and management of shopping malls and relevant government management departments. In the course of business activities, if Party A is held jointly and severally liable, claimed by a third party or punished by relevant departments due to Party B's reasons, Party B shall compensate Party A for all losses and related expenses.

6.8 Party B shall arrange and employ employees by itself, and employees who participate in Party B's operation shall go through the registration formalities with Party A's management department and receive relevant training before starting business. Article 7 Decoration and insurance clauses

Article 8 Liability for breach of contract

8.2 Party B fails to decorate or start business within the time limit stipulated in the contract, and the overdue period is more than 15 days. Article 9 Termination and Renewal of the Contract

If there is any damage, Party B shall make appropriate compensation. 13. 1 Both parties agree that when either party notifies the other party by mail, the contact address indicated in the contract shall prevail.
