First, the premise of cooperation.

2. Party A and Party B shall give full play to their respective advantages and cooperate on the principle of voluntariness and mutual benefit.

Four. The two sides promised
1. 2. Party B promises to help introduce internationally renowned hotel management brands and be responsible for the operation and management of the hotel.

4. Party B promises to provide Party A with high-quality hotel management services by virtue of its own experience in resort hotel management. The specific service contents and standards will be implemented in strict accordance with the hotel entrustment management agreement signed between the management company and the owner.

3. After the hotel management company officially enters, all the profits and losses of Party A in the early stage have nothing to do with Party B, and Party A shall not interfere with Party B's business decision.
Liability for breach of contract of intransitive verbs
1. After signing this agreement, both parties shall strictly abide by the terms of the agreement. If this Agreement cannot be performed due to one party's breach of contract, the breaching party shall bear the liability for breach of contract and compensate the observant party for all economic losses caused thereby.
2. If Party A fails to operate the hotel without justifiable reasons, Party A shall bear all losses caused by Party B's performance of this Agreement, such as investment expenses, financial expenses and labor expenses.
3. If Party B withdraws from the operation and management without justifiable reasons, Party B shall be responsible for returning the custody fee already collected.
4. Since the date when Party A and Party B sign this agreement, the hotel entrusted management contract signed by Party A and other management companies will be automatically terminated.
5. In case of any dispute during the performance of this agreement, both parties shall settle it through negotiation in time. If negotiation fails, both parties agree to bring a lawsuit to the people's court where the project is located.
Seven. Other agreements
1. The cooperation period between Party A and Party B shall be from the date of signing this agreement to the date when all saleable properties of Party A's project agreed in Article 2 of this agreement are sold out. The management company manages the hotel according to the hotel hosting agreement signed with the owner.
2. For matters not covered in this agreement, both parties shall make a separate agreement on the principle of mutual benefit and friendly consultation, and sign a written supplementary agreement.
3. This agreement is made in triplicate, which shall come into effect after being signed and sealed, with Party A and Party B and Henan Rena Hotel Management Company holding one copy respectively.
4. The contract annexes signed and confirmed by both parties to this agreement have the same legal effect as this agreement.
