In accordance with the Contract Law of People's Republic of China (PRC) and other national laws and regulations, Party A and Party B, following the principles of equality, voluntariness, fairness, honesty and trustworthiness, have reached the following contract terms and conditions on the contracting of sand and stone processing and stone transfer project in Yangmeishu quarry of Guizhou Longli Sanhe Building Materials Co., Ltd. through consultation:

I. Overview of the Project

1, Project Name: Crushed Stone Processing and Stone Transfer Project of Yangmeishu Quarry of Guizhou Longli Sanhe Building Materials Co., Ltd.

2. Project location: Yangmeishu, Shuichang Township, Longli County.

Second, the way and scope of project contracting

1, contract mode

① Crushed stone processing: responsible for crushed stone production and processing and equipment maintenance. ② Stone transfer: Party B is responsible for transferring vehicles, oil and workers.

2. Scope of contract

① Crushing stone processing: Party B is responsible for production technology, personnel deployment and production deployment; Recruit production workers, technicians and electricians; Responsible for the work arrangement of excavators; Responsible for production guidance.

② Stone transfer: Party B is responsible for providing the repair and maintenance of transfer vehicles, oil, workers and transfer vehicles.

(3) The expenses required for the above contents shall be borne by Party B..

Third, the term of the contract.

The term of the contract is two years, counting from the date when the safety production license is issued. After the expiration of the contract, if Party A needs to continue to contract projects abroad, Party B has the priority to contract under the same conditions.

Fourth, the project payment settlement

On-10 of the 5th day of the next month after Party B starts normal production, Party A shall settle the project payment with Party B on 1 day of each month.

Five, the project contract unit price

1. Crushing: 1.5 yuan/m (excluding tax).

2. Stone transshipment: 1.6 yuan/m (excluding tax).

3. During the contract period, if the production is affected by rising prices and workers' wages, both parties may negotiate the contract unit price separately and sign a supplementary agreement.

Six, the responsibility of production safety

1. When producing and processing crushed stones and transferring stones, Party B must strictly abide by the post operation regulations of relevant national industries, carefully organize production, and strengthen the safety management and safety education and training of personnel on the production site.

2. In case of heavy casualties on the production site, Party B shall take effective emergency rescue measures immediately and report to Party A and relevant departments in time.

Seven. Responsibilities of Party A and Party B

(1) Party A's responsibilities:

1, responsible for providing mechanical equipment needed for sand and gravel processing and accessories needed for maintenance.

2. Be responsible for providing living and housing for Party B's production workers (less than 8 people).

3, coordinate the surrounding relations, to ensure that the production is not disturbed.

4. Supervise production, quality and safety, organize sales in time, and settle the project payment on time every month.

5. Buy industrial injury insurance for Party B's workers.

6. If Party B's sand and gravel production and processing can't reach 20,000 square meters per month, Party A shall settle the project payment for Party B according to the guaranteed amount of 20,000 square meters (except holidays and natural factors affecting production). During the trial production period, holidays and natural factors affecting production, Party A shall settle the project payment of Party B according to the actual production and sales quantity.

(II) Party B's responsibilities

1. Make a reasonable production plan, organize the implementation of production operations, organize workers to learn safety knowledge and operation skills, and obey the leadership and supervision of Party A. ..

2. According to the actual situation, organize production as planned, track the quality problems reflected by customers in time, and take effective measures to ensure the quality of sand and gravel meets customer requirements.

3, responsible for the correct technical guidance, quality and quantity of production.

4. If Party B needs to pay insurance other than industrial injury insurance for the personnel it recruits, all expenses shall be borne by Party B. ..

Eight. responsibility for breach of contract

1. Party A and Party B shall abide by the terms of this contract and shall not violate the rights and obligations stipulated in this contract. Otherwise, it is a breach of contract, and the breaching party shall bear the liability for breach of contract to the other party. The liquidated damages shall be calculated at 80% of the monthly guarantee amount for one year.

2. If Yangmeishu Quarry cannot continue to perform the contract due to the needs of government construction and other government policy changes, this contract will naturally become invalid, and Party A and Party B will not bear any liability for breach of contract.

Nine. others

1. This contract is made in duplicate, one for each party, with the same legal effect, and shall come into force after being signed and sealed by both parties.

2. Matters not covered in this contract shall be settled by both parties through consultation. If negotiation fails, both parties may apply to relevant departments for mediation or bring a lawsuit to Longli County People's Court.
