Article 1 The Chinese name of the Association is Dongguan Furniture Association (hereinafter referred to as the Association) and the English name is Dongguan Furniture Association (hereinafter referred to as DGFA).

Chapter II Scope of Business
Article 7 The business scope of this Association:

Chapter III Members
Article 8 The members of this Association are economic organizations in the same industry, with only unit members.
Article 9 A member applying to join this Association must meet the following requirements:
(1) Supporting the articles of association;
(2) Having the will to join this Association;

(four) should hold a business license and other relevant documents.
Article 10 The membership procedure is:
(1) Submit a membership application form and a copy of the business license to the secretariat of the Association;
(2) Approved by the Council;
(3) Paying annual membership fees;
(4) Certificates and bronze medals shall be issued by the secretariat of the Association.
Article 11 Members shall enjoy the following rights:
(a) to attend the general meeting (or congress), participate in the activities of the association, and accept the services provided by the association;

Thirteenth members pay membership fees:

Article 14 A member who withdraws from the meeting shall notify the Association in writing and return his membership card and bronze medal. Members 1 year who fail to pay their membership dues or participate in the activities of this association are deemed to have withdrawn automatically.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 16 An association consists of a general meeting (or a representative meeting). The general assembly (or representative assembly) is the highest authority of the association, and exercises its functions and powers in accordance with the provisions of national laws, regulations and the articles of association of the trade association.
Seventeenth members of the general assembly (or members' congress) shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;
(two) to elect or recall the president, vice president, secretary general (appointment system), executive directors, directors and supervisors (election by secret ballot);
(3) To review the annual work report and annual financial budget and final accounts plan of the board of directors and the board of supervisors (supervisors);
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of the association;
(six) to change or cancel the inappropriate decisions of the Council;
(seven) to formulate or amend the articles of association and election methods of the organization;
(eight) to determine the principles and tasks of the association;
(9) Deciding to terminate.

Article 18 A general meeting of members (or a general meeting of members' representatives) shall be held once every three years (the longest meeting of members or a general meeting of members' representatives shall not exceed four years). Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The board of directors may convene an extraordinary shareholders' meeting (or shareholders' meeting) when it deems it necessary or upon the proposal of more than one fifth of the members.
Nineteenth members of the general assembly (or member representative assembly) must have more than two-thirds of the members (or member representatives) to attend; The Articles of Association shall be adopted by more than two thirds of the members (or member representatives) present at the meeting, and other resolutions shall be adopted by more than half of all members (or member representatives). The general meeting of members (or representative meeting of members) shall make minutes of the decisions on the matters discussed and make an announcement to the members.
Article 20 The Association shall have a Council. The board of directors is the permanent body of the general assembly (or congress). When the general assembly (or congress) is not in session, it performs its duties according to the resolutions and articles of association of the general assembly (or congress). Article 21 The functions and powers of the Council are:

Article 22 The Council shall meet at least once every six months (under special circumstances, it may also be convened by means of communication). ) The board of directors can only be convened if more than half of the directors are present, and its resolutions can only take effect if they are passed by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 23 Where the number of board members exceeds 50, an executive director may be elected from among the directors as required, and a standing council shall be established, and the standing council shall be responsible to the board of directors. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the functions and powers stipulated in Article 21 of the Articles of Association. A resolution made by the Standing Council must be passed by more than half of the standing directors. The Standing Council shall make minutes of the decisions on the matters discussed.
Article 24 An association may set up branches and representative offices as required.
Article 25 The Association shall have three supervisors, who shall be elected by the general meeting (or representative meeting). The term of office of a supervisor is the same as that of a director, and can be re-elected at the expiration of the term.
The president, vice president, executive director, director and secretary general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality, abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The president, vice-president and secretary-general shall not be over 70 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not received criminal punishment;
(6) Having full capacity for civil conduct.
Article 27 The Secretary-General of this Association shall be appointed (or appointed). The secretary-general and the president cannot be produced in the same enterprise, and the president may not concurrently serve as the secretary-general. Article 28 The Association shall have a president and several vice-presidents. The legal representative of this association is a resident of Chinese mainland.
Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is three years, and the re-election may not exceed two terms.
Article 30 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the meeting of the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the general assembly (or representative assembly) and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of the Association;
(4) Handling other major matters.
Article 31 The vice-president and the secretary-general of the Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council and appointed by special personnel on a full-time basis. The Secretary-General shall exercise the following powers:
Preside over the daily work of the office and organize the implementation of the annual work plan;
To organize the formulation and implementation of annual work plans, budgets and decisions;
Coordinate the work of branches, representative offices and entities;
Nominate the Deputy Secretary-General and the principals of offices, branches, representative offices and entities,
Submit it to the Council (or the Standing Council) for decision;
(5) The appointment of full-time staff of nominated offices, representative offices and entities shall be reported to the president for approval;
(6) Handling other daily affairs.
The Secretary-General attends (reserves) meetings of the Council and the Permanent Council.
Article 32 The board of supervisors (or supervisors) shall exercise the following functions and powers:
(a) to report the annual work to the general assembly (or representative assembly).
(two) to supervise the election and recall of the general assembly (or congress) and the Council; Executive meeting of the board of supervisors

Supervisors shall abide by the relevant laws and regulations and the articles of association of the Association, and accept the leadership of the general meeting of members (or representative meeting of members).

Chapter V Principles of Asset Management and Use
Article 33 The sources of funds of this Association are:

Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 35 the funds of this association must be used for the business scope and career development as stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 36 If the president, vice president, executive director, director, supervisor, secretary-general and staff privately divide, occupy or misappropriate the property of the trade association, it shall be returned and reviewed by the general meeting (or representative meeting); If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 37 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data.
This Association accepts the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.
Article 38 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Article 40 The annual report, general election, change of legal representative and liquidation of this Association must be subject to financial audit.
Article 41 The Association shall, in accordance with the Regulations of Guangdong Province on Trade Associations, submit the activity report, financial report and activity arrangement of the previous year to the association registration authority before the end of March each year.
Establish a reporting system for major events: hold large-scale academic reports, seminars and exhibitions, hold overseas exchanges, communicate with overseas non-governmental organizations, conduct industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.
Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 43 The amendment to the articles of association of this Association shall be submitted to the general meeting (or representative meeting) for deliberation after being voted by the Council.
Article 44 The revised articles of association of this Association shall come into effect after being approved by the registration authority of this Association within 30 days after being adopted by the general meeting (or representative meeting).
Chapter VII Termination Procedure and Property Disposal after Termination
Article 45 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
(a) to complete the purpose stipulated in the articles of association;
(2) The general assembly (or representative assembly) resolves to dissolve;
(3) Separation or merger of agreements;
(four) unable to continue to work in accordance with the purpose of the articles of association.
Article 46 The motion to terminate this Association shall be passed by the general meeting of members (or the general meeting of members' representatives) and submitted to the registration authority of the Association for examination and approval.
Article 47 Before the termination of this association, a liquidation organization shall be established under the guidance of the association registration authority and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within fifteen days from the date of liquidation, go through the formalities of cancellation of registration with the association registration authority.
Article 48 The Association shall be terminated after the cancellation of registration by the association registration authority.
Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this trade association under the supervision of the association registration authority and in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 50 The Articles of Association was adopted by the shareholders' meeting (or representative meeting) on May 8, 2006.
Article 51 The right to interpret these Articles of Association belongs to the Council of this trade association.
Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
