Chapter I General Provisions

Article 1 The name of this Association is Guangzhou Garment Industry Association (hereinafter referred to as this Association), and the English translation is Guangzhou Garment Industry Association (hereinafter referred to as GCTA).

Article 2 This Association is a non-profit social organization with legal personality, which is composed of Guangzhou units engaged in the production, sales, scientific research, design and training of relevant personnel in the clothing industry, professional markets of the clothing industry (including clothing market, clothing and ingredients market, and individual industrial and commercial households in the markets) and social organizations voluntarily, and is approved and registered by the government association registration authority.

Article 4 This Association accepts the supervision and management of Guangzhou Civil Affairs Bureau and the registration authority of associations, and the professional guidance of relevant functional departments of Guangzhou Municipal People's Government.

Chapter II Scope of Business

Article 7 The business scope of this Association is:

1. Organize clothing market development, publish clothing market information, edit professional journals, investigate the operation, reform and development of the clothing industry, study the direction, objectives, planning and policies of the industry development, and put forward opinions and suggestions on economic policies and legislation;

The second is to summarize and exchange the experience of management, reform and technological innovation of garment enterprises, recommend advanced models of the industry, participate in the selection and commendation work, and be entrusted by government departments to organize the identification, promotion and application of new achievements in science and technology and management;

Third, on behalf of relevant economic organizations in the industry, put forward anti-dumping investigations, countervailing investigations or applications for taking safeguard measures, assist the government and its departments to complete relevant investigations, and organize and coordinate industry enterprises to participate in anti-dumping litigation activities;

Participate in industry collective consultation, put forward opinions and suggestions concerning the interests of members and industries, reflect the demands of members and industries, coordinate the relationship between members and industries, and safeguard their legitimate rights and interests;

5. Formulate rules and regulations and supervise their implementation, standardize industry behaviors, promote industry self-discipline, coordinate disputes over intellectual property rights, prices and peer rights, and maintain fair competition;

Fifteen, hold, undertake and co-organize clothing fairs, ordering fairs and clothing display activities to help develop market resources;

Sixteen, guide and help enterprises to improve management;

Seventeen, the development of industrial and social welfare undertakings;

Eighteen, to undertake other tasks entrusted by government departments.

Chapter III Members

Article 8 The members of this Association are economic organizations in this industry.

Article 9 A member applying to join this Association must meet the following requirements:

First, support the articles of association;

Second, there is a willingness to join this association;

3. Social organizations, research institutions, clothing market management units and social organizations related to the work of the Association legally registered by group members in Guangzhou;

Four, enterprise members in the Guangzhou area through the clothing enterprises in industrial and commercial registration, holding industrial and commercial business licenses and other related documents (including enterprises of various ownership, different affiliation and different systems).

Article 10 The membership procedure is:

First, submit a membership application:

Two, discussed and approved by the board of directors or authorized leading bodies:

Three. The membership card shall be issued by the board of directors or authorized leading institutions.

Article 11 Members shall enjoy the following rights:

1. Attend the general meeting of members, participate in the activities of the Association and accept the services provided by the Association;

Two, have the right to vote, to be elected and to vote in this association;

Three, have the right to propose, suggest and supervise the work of this association;

4. Priority in obtaining services provided by the association;

5. When the legitimate rights and interests of members are infringed, they have the right to ask the Association for help;

6. Voluntary membership and free withdrawal.

Article 12 Members shall perform the following obligations:

1. Abide by the Articles of Association;

Second, implement the resolutions of the Security Council;

Third, pay membership fees according to regulations;

Fourth, safeguard the legitimate rights and interests of associations and industries;

5. To undertake the work assigned by this Association;

6. Report to this Council and provide relevant information.

Thirteenth members pay membership fees:

First, the president's unit pays an annual membership fee of 5,000 yuan;

Two, the vice president of the unit to pay the annual membership fee of 3800 yuan;

Three, the executive director of the unit to pay the annual membership fee of 2800 yuan;

Four, the director unit pays an annual membership fee of 2000 yuan;

Five, the general member units pay the annual membership fee 1000 yuan.

Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee for more than one year or does not participate in the activities of this association, it will be deemed as automatic withdrawal.

Article 15 If a member is under any of the following circumstances, it shall be removed from the membership by voting of the board of directors or authorized leading bodies:

Serious violation of the company's articles of association;

2. The organization has been revoked by the relevant government departments.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 16 An association is composed of members, and the general meeting of members is the highest authority of the association. Exercise its functions and powers in accordance with the provisions of national laws, regulations and the articles of association of trade associations.

Article 17 The general meeting of members shall exercise the following functions and powers:

1. Decide the business scope and work functions of the Association within the scope stipulated by laws and regulations;

2. Elect or recall the president, vice president, directors and supervisors;

Three. To review the annual work reports, annual financial budgets and final accounts of the board of directors and the board of supervisors;

4. To consider the recommendation of the Council on the delisting of members;

6. Changing or revoking inappropriate decisions of the Council;

Seven, formulate or modify the articles of association, election method;

8. Decided to terminate;

9. Decide on other major issues.

Article 18 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the term of office shall not be extended for more than one year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim general meeting may be held.

Nineteenth members of the general assembly must be attended by more than two thirds of the members; Its resolution must be adopted by more than half of all members.

The general meeting of members shall make minutes of the decisions on the matters discussed and make an announcement to the members.

Article 20 The Association shall have a Council. The board of directors is the permanent body of the general assembly, and performs its duties in accordance with the resolutions of the general assembly and the Articles of Association when the general assembly is not in session.

Article 21 The functions and powers of the Council are:

1. Prepare and convene the general meeting;

2. Implement the resolutions of the General Assembly and report to the General Assembly;

Three. To decide on the specific work and business of the Association;

Four, formulate the annual financial budget and final accounts, change, dissolution and liquidation of the association;

5. To formulate plans for increasing or decreasing the registered capital of the Association;

6. Decide on the establishment of the internal institutions of the Association and lead the internal institutions of the Association to carry out their work;

Seven, decide the new applicant's membership and the punishment of members, and put forward suggestions for the removal of members;

8. To appoint or dismiss the Secretary-General of the appointment system and decide on the principal responsible persons of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;

Nine, formulate the internal management system of the association;

X. Other matters stipulated in the Articles of Association.

Article 22 The Council shall meet at least once every six months. Under special circumstances, it can also be held in the form of communication. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.

The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.

Article 23 The Council may give full play to the role of directors according to the needs of work and friendship. Some special committees or task forces can be set up to contact, exchange information, investigate topics, coordinate affairs and make suggestions.

Article 24 The Association shall establish a standing council, which shall be responsible to the council. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth, ninth and tenth functions and powers stipulated in Article 21 of this chapter.

Article 25 The Standing Council shall hold a meeting at least once every three months, and it may also be held in the form of communication under special circumstances. A resolution made by the Standing Council must be passed by more than half of the standing directors.

Article 26 When the Standing Council is not in session, the president's office meeting shall exercise the functions and powers of Article 21, paragraphs 1, 2, 3, 6, 7, 8, 9 and 10, and be responsible to the Standing Council. The president's office meeting consists of the president, the vice president and the secretary general.

The Standing Council shall make minutes of the decisions on the matters discussed.

Article 27 Rules and procedures for establishing branches and representative offices;

1. The Secretary-General of this Association puts forward a specific plan for establishing a branch;

Two, submit the specific plan to the president's office meeting for discussion and adoption;

3. Submit the adopted concrete plan to the Council for consideration and approval;

Four, reported to the social organization registration authority for approval.

Article 28 The Association shall have a board of supervisors, which shall be elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and may be re-elected upon expiration.

The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.

Article 29 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

First, adhere to the party's line, principles and policies and abide by national laws and regulations;

Second, it has great influence in this industry;

3. The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;

Fourth, be healthy and be able to stick to normal work;

5. Not subject to criminal punishment;

6. Have full capacity for civil conduct.

Article 30 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.

Article 31 The Association shall have a president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.

Article 32 The term of office of the President and Vice-President of this Association is four years, and the term of office may not exceed two terms.

Article 33 The President of this Association shall exercise the following functions and powers:

1. Convene and preside over the office meetings of the Council, the Standing Council and the President;

Two, check the implementation of the general assembly, the Council, the Standing Council, the president's office meeting;

Three. Sign relevant important documents on behalf of the Association;

Four, according to the needs of business work, can invite several vice presidents to assist in the work.

Article 34 The vice-president and secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:

I. Preside over the daily work of the office and organize the implementation of the annual work plan;

2. Organize the formulation and implementation of annual work plans, budgets and decisions;

Third, coordinate the work of various departments;

4. Nominate the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submit them to the Council or the Standing Council for decision;

5. Nominating offices, branches, representative offices and entities employing full-time staff shall be reported to the President for approval;

6. Handle other daily affairs.

The Secretary-General attends meetings of the Council and the Standing Council as a representative without voting rights.

Article 35 The Board of Supervisors shall exercise the following functions and powers:

First, report the annual work to the General Assembly;

Two, supervise the election and recall of the General Assembly and the Council; Supervise the Council to implement the resolutions of the General Assembly;

Three, check the financial and accounting information of the association, and report to the registration authority and the competent tax and accounting departments;

4. Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board;

Verb (abbreviation of verb) supervises the Council to abide by laws and regulations. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the general meeting or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the general meeting of members, and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Thirty-sixth sources of funds of the Association:

1. membership fee;

Second, donations;

Third, government funding;

Income from activities or services provided within the approved business scope;

5. interest;

6. Other lawful income.

Article 37 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.

Thirty-eighth donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property to the association, and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 39 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

Article 40 If the president, vice-president, directors, supervisors, secretary-general and staff of the association privately divide, occupy or misappropriate the property of the association, they shall be returned and reviewed by the general meeting of members; If a crime is constituted, criminal responsibility shall be investigated according to law.

Article 41 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data. The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Article 42 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 43 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 44 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.

Article 45 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.

Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.

Article 46 The full-time staff of this Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 47 The amendment of the Articles of Association shall be approved by the board of directors and submitted to the shareholders' meeting for deliberation.

Article 48 The revised articles of association of this Association shall be submitted to the registration authority for approval within 30 days after it is adopted by the general meeting of members.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 49 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:

1. Achieve the purpose stipulated in the Articles of Association;

2. The resolution of the general meeting of members is dissolved;

3. Division or merger of the Association;

4. unable to continue working in accordance with the purpose of the articles of association.

Article 50 The motion to terminate the association shall be approved by the general meeting of members and submitted to the registration authority of the association for examination and approval.

Article 51 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within/0/5 days from the date of liquidation, go through the formalities of cancellation of registration with the registration authority.

Article 52 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 53 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 54 The Articles of Association was adopted by the board of directors on May 8, 2008.

Article 55 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 56 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
