Chapter 1 General Provisions

Article 1 Contracting Matters: All matters related to the company’s operation and management.

Article 2 Method of contracted operation: The contracting party will outsource all the company’s operating rights to the contractor within the contracted operation period. During the contract operation period, the contractor shall conduct independent accounting, pay taxes in accordance with the law, operate independently, and be responsible for its own profits and losses.

Article 3 During the contract operation period, the contractor must engage in business activities within the company's legal business scope (subject to the company's corporate legal person business license).

Article 6 The contract period includes but is not limited to personnel wages and benefits, social insurance, work-related injuries, house rent, water bills, electricity bills, property management fees, broadband fees, telephone bills, etc. related to the company's operation and management. All costs shall be paid by the contractor.

Chapter 3 Rights and Obligations of the Contractor

Article 6 During the contract period, the contractor shall have independent and independent management rights over the contracted matters. The contractor shall enjoy the following rights during the contract period:

6.1 The contractor shall have the right to form the company's management team, appoint company managers and heads of departments, and establish the company's leadership organization. After the contract period expires or the contract is terminated, the contractor will bear the resettlement costs for this part of the personnel.

6.2 Have the right to decide the company’s management structure, formulate rules and regulations, personnel recruitment, appointment and dismissal, rewards and punishments.

Article 7 The contractor has the right to obtain the legal income it deserves during the contract operation period in accordance with the provisions of this contract.

Article 8 The contractor has the right to use the company’s official seal, contract seal, checks, account numbers, invoices and other financial documents during the contract period.

Article 9 Obligations of the Contractor during the Contracting Period

9.1 The contractor must employ workers legally and pay all taxes and fees payable for the contracted matters on time and in full in accordance with relevant national regulations. . If the contractor is responsible for the penalty imposed on the company due to the contractor's fault, the contractor may seek compensation from the contractor and terminate the contract.

9.2 The contractor must pay the fees stipulated in the contract in full and on time. If the payment is delayed and the contractor still fails to perform after being urged by the contract issuing party, the contract issuing party shall have the right to terminate the contract.

9.3 If the contractor cannot continue to perform the contract due to its own reasons, it shall promptly notify the contract-issuing party, and the contract performance can be terminated only with the consent of the contract-offering party. Otherwise, the contract will be deemed to be terminated unilaterally without reason, and the contracting fee paid will not be refunded.
