Regulations on the Administration of Registration of Farmers' Specialized Cooperatives Chapter I General Provisions Article 1 In order to confirm the legal person qualification of farmers' specialized cooperatives and standardize the registration behavior of farmers' specialized cooperatives, these regulations are formulated in accordance with the Law of People's Republic of China (PRC) on Farmers' Specialized Cooperatives.

Article 2 The establishment, alteration and cancellation of farmers' professional cooperatives shall be registered in accordance with the Law of People's Republic of China (PRC) on Farmers' Professional Cooperatives and the provisions of these Regulations.

When applying for registration of farmers' professional cooperatives, the applicant shall be responsible for the authenticity of the application materials.

Article 3 Farmers' professional cooperatives shall be registered by the registration authority according to law, and obtain the Business License of Farmers' Professional Cooperatives as a Legal Person (hereinafter referred to as the Business License) and obtain the legal person status. Without registration according to law, it is not allowed to engage in business activities in the name of farmers' professional cooperatives.

Article 4 The administrative department for industry and commerce is the registration organ of farmers' professional cooperatives. The State Council Administration for Industry and Commerce is responsible for the registration and management of farmers' professional cooperatives nationwide.

Farmers' professional cooperatives are registered by the local county (city) and district administrative departments for industry and commerce.

The administrative department for industry and commerce of the State Council may make special provisions on the registration jurisdiction of large-scale or trans-regional farmers' professional cooperatives. Chapter II Registration Items Article 5 The registration items of farmers' professional cooperatives include:

(1) name;

(2) domicile;

(3) The total capital contribution of the members;

(4) Business scope;

(5) The name of the legal representative.

Article 6 The name of a farmers' professional cooperative shall contain the word "professional cooperative" and conform to the provisions of the state on the administration of enterprise name registration.

Article 7 Farmers' professional cooperatives shall take the place where their main offices are located as their domicile.

Article 8 Members of farmers' professional cooperatives may contribute their capital in cash, or in kind, intellectual property and other non-monetary property that can be valued in money and transferred according to law. Where a member contributes capital in non-monetary property, it shall be assessed and valued by all members. Members are not allowed to use labor services, credit, names of natural persons, goodwill, franchise rights or secured property as fixed-price capital contributions.

The capital contribution and total capital contribution of members shall be expressed in RMB. The sum of membership dues paid by members is the total membership dues paid by members.

Article 9 Farmers' specialized cooperatives mainly serve their members, and their business scope may include the purchase of agricultural means of production, the sale, processing, transportation and storage of agricultural products, and services related to agricultural production and operation such as technology and information.

The business scope of farmers' professional cooperatives is stipulated in their articles of association.

Article 10 The chairman of a farmers' professional cooperative is the legal representative of the farmers' professional cooperative. Chapter III Registration of Establishment Article 11 To apply for the establishment of a farmers' professional cooperative, the representatives designated by all promoters or the entrusted agents shall submit the following documents to the registration authority:

(1) An application for registration of establishment;

(2) Minutes of the founding meeting signed and sealed by all promoters;

(3) Articles of Association signed and sealed by all promoters;

(four) the legal representative, director of the office certificate and identity certificate;

(5) A list of capital contributions signed and sealed by all the capital contributors, indicating the names, modes, amounts and total amounts of capital contributions of the members;

(six) the list of members, names, citizenship number or registration certificate number, domicile and identity certificate;

(seven) the certificate of residence use that can prove that the farmers' professional cooperatives have the right to use their residences;

(8) Certificates of all promoters' designated representatives or entrusted agents.

Where the business scope of farmers' professional cooperatives includes projects that need to be approved before registration as stipulated by laws, administrative regulations or the State Council, relevant approval documents shall be submitted.
