Chapter I General Provisions

Article 1 The name of this Association is Zhongshan Insurance Industry Association (hereinafter referred to as the Association). Its full English name is: Zhongshan Insurance Industry Association, and its English abbreviation is ZSAII.

Article 2 This Association is a non-profit local social organization in the insurance industry, which is voluntarily composed of commercial insurance institutions and commercial insurance intermediaries in Zhongshan City.

Article 3 The purpose of the Association is to abide by the national constitution, laws, regulations, economic and financial policies, abide by social ethics, thoroughly implement the Scientific Outlook on Development, and cooperate with the insurance regulatory authorities to urge members to exercise self-discipline in accordance with the Insurance Law of People's Republic of China (PRC) (hereinafter referred to as the Insurance Law), so as to promote an open and fair market.

Article 4 The Association consciously accepts the business guidance from the Supervision Business Guidance Office of Zhongshan Civil Affairs Bureau, China Insurance Regulatory Commission, Guangdong Insurance Regulatory Bureau (hereinafter referred to as "Guangdong Insurance Regulatory Bureau") and relevant functional departments of Zhongshan Municipal People's Government.

Article 5 The activity area of this Association is the administrative area of Zhongshan City, Guangdong Province.

Article 6 The office of the Association is located at No.2 10, Central Commercial Street, Xingwen Road, East District, Zhongshan City, Guangdong Province.

Chapter II Scope of Responsibilities

Article 7 The Association shall perform the following duties of industry self-discipline:

(1) Accepting the entrustment of the business guidance department, formulating the ethics and code of conduct of employees, formulating industry standards and business norms, and managing the qualifications of insurance employees;

(two) to urge members to operate according to law, organize the signing of self-discipline conventions, restrain acts of unfair competition, and maintain a fair market environment;

(3) Accepting the entrustment of the business guidance department, organizing the formulation of guidance or standardization clauses for insurance products, technologies and services, and publishing them to the public after being submitted to the business guidance department for examination and approval;

(four) to promote the construction of industry credit system, explore the establishment of credit evaluation mechanism, vigorously cultivate the culture of integrity, and strengthen the inspection and supervision of integrity;

(5) Self-discipline management. For members who violate the articles of association and the self-discipline convention, damage the legitimate rights and interests of insurance consumers and participate in unfair competition, disciplinary measures such as warning, industry criticism, public condemnation, and submitting them to the business guidance department for punishment according to the relevant provisions of the articles of association or the self-discipline convention can be implemented.

Article 8 The Association shall perform the following service duties:

(a) actively participate in the policy demonstration of government departments and business guidance departments, and put forward suggestions on insurance policies, legislation and industry planning;

(two) actively carry out investigation and study, timely reflect the problems existing in the insurance market to the business guidance department and the government, and put forward opinions and suggestions to solve them;

(3) Strengthen communication with government departments and market players, strive for a social and policy environment conducive to the development of the insurance industry, and safeguard the legitimate rights and interests of industries, members and insurance consumers;

(4) Seriously accepting insurance consultation and complaints, resolving various contradictions, reporting major complaints to the business guidance department in a timely manner, and doing a good job in investigating and handling complaints recognized by the business guidance department;

(five) to organize members to exchange business, technology and work experience. Through publications, websites and other forms, improve information data, reflect industry trends, and establish an information sharing mechanism;

(six) the integration of publicity resources, vigorously improve public awareness of insurance, strengthen the legal awareness of market participants, and actively guide public opinion propaganda;

(seven) to authorize and entrust the business guidance department to carry out education and training in insurance occupation and practice;

(eight) to strengthen exchanges and cooperation with associations inside and outside Zhongshan City, learn advanced practices, and safeguard the interests of the insurance industry;

(nine) to undertake other matters entrusted by the business guidance department.

Chapter III Member Management

Article 9 Association members are unit members.

(1) An insurance institution established in Zhongshan with the approval of the insurance regulatory department shall join the association and become a member after its establishment in accordance with the provisions of the Insurance Law and the Guiding Opinions of the China Insurance Regulatory Commission on Strengthening the Organization and Construction of Insurance Industry Associations;

(2) Any insurance intermediary institution established in Zhongshan with the approval of the insurance supervision department may voluntarily apply to join the association and become a member.

Article 10 A member applying to join the Association must meet the following conditions:

(1) Supporting the articles of association;

(2) Having the will to join the association;

(three) should hold a business license and other relevant documents;

(4) Other conditions required by the Association.

Article 11 A member unit shall have a member representative to perform duties in the Association on its behalf. The member representative shall be the legal representative or principal responsible person of the member unit. Members who change their representatives must report to the Association in writing. After confirmation, the representative of the successor member may take over the post of the association.

Article 12 Membership procedures:

(1) submitting an application for membership;

(two) submit a copy of the business license, a copy of the business license and other documents required by the association;

(3) After being examined and approved by the Council, or audited by the secretariat of the Association authorized by the Council, the applicant becomes a member after going through the membership formalities according to the regulations of the Association.

Article 13 Change and termination of membership:

(1) When a member is merged, divided or terminated, its membership shall be changed or terminated accordingly;

(2) Members shall notify the Association of their withdrawal in writing and pay all the fees payable to the Association;

(3) If a member fails to pay the membership fee or participate in the activities of the association for one year without any reason, it shall be deemed as automatic withdrawal; If a member applies for re-membership, it will be treated as a new member;

(4) If a member seriously violates the articles of association, the general meeting of members will vote to cancel his membership.

Article 14 Members shall enjoy the following rights:

(1) Attending the general meeting of members, participating in the activities of the Association and accepting the services provided by the Association;

(two) the right to vote, to be elected, to deliberate and to vote;

(three) have the right to ask the association to safeguard their legitimate rights and interests;

(four) have the right to reflect opinions and suggestions to the relevant departments through the association;

(five) the right to give priority to the activities organized by the association and to obtain the services of the association;

(six) have the right to criticize and supervise the work of the association, participate in the discussion and decision of major issues of the association, and supervise the implementation of the resolutions of the association;

(seven) other rights stipulated in the resolution of the general assembly.

Article 15 Members shall perform the following obligations:

(1) Abide by the articles of association and rules formulated by the Association and implement the resolutions adopted by the Association;

(two) to safeguard the legitimate rights and interests and reputation of the association;

(three) actively participate in the activities organized by the association and complete the work assigned by the association;

(four) to accept the investigation and consultation of the association, truthfully reflect the situation, and provide the relevant information needed by the association to perform its duties;

(five) to pay the membership dues and other expenses required by the resolutions of the association on time;

(six) other obligations stipulated by the resolution of the general assembly.

Article 16 Members shall pay their membership dues in accordance with the Measures for the Administration of Membership Fees of Zhongshan Insurance Industry Association, and the membership dues shall be determined according to the total premium income of the previous year. The payment standards of membership dues of each member unit are as follows (excluding property and life insurance):

(1) If the total annual premium income is less than 50 million yuan, the membership fee is RMB 17 160 yuan;

(2) If the total annual premium income is between 50 million yuan and 654.38+0 billion yuan, the membership fee is 25740 yuan;

(3) If the total annual premium income is between 6,543.8 billion yuan and 200 million yuan, the membership fee is 34,320 yuan;

(4) If the total annual premium income is between 200 million yuan and 350 million yuan, the membership fee is 565,438 yuan +0.480 yuan;

(5) The total annual premium income is between 350 million yuan and 550 million yuan, and the membership fee is 68,000 yuan;

(6) If the total annual premium income is more than 550 million yuan, the membership fee is 85,800 yuan.

After the implementation of the above-mentioned membership fee payment standard for one year, it can be reviewed and revised. After more than two-thirds of the members are present and more than half of the members pass, the new payment standard will be implemented.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Section 1 General Meeting of Members

Article 17 An association shall establish and improve a general meeting of members, a board of directors, a board of supervisors, a professional committee and a secretariat. The highest authority of this association is the general meeting of all members. Member representatives are designated by member units. The duties of the general meeting of members are:

(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;

(2) To formulate or amend the articles of association and election methods of the organization;

(three) to elect and recall the president, vice president, directors and supervisors;

(4) To review the work reports of the Board of Directors and the Board of Supervisors and the annual financial budget and final accounts of the Association;

(five) to consider the recommendations of the Council on the recall of members;

(six) to change or cancel the inappropriate decisions of the Council;

(seven) to formulate measures for the management of membership fees;

(eight) to decide on the merger, division and termination of the association;

(nine) to decide on other major issues of the association.

Article 18. If the general meeting of members is held for four years and needs to be changed or postponed in advance due to special circumstances, it must be approved by the board of directors, reported to the business guidance department for examination and approval, approved by the association registration authority, and completed within the approved time limit. The longest application for extension of the term of office shall not exceed one year.

The general meeting of members shall be held at least once a year, and an interim general meeting may be held upon the proposal of the board of directors or more than one-fifth of the members.

Article 19 A general meeting of members can only be held when more than two-thirds of the members' representatives are present, and its resolution can only take effect when more than half of all the members' representatives vote. The general meeting of members shall make minutes of the matters discussed and make an announcement to the members.

Section 2 Council

Article 20 The Association shall set up a board of directors, which shall be the permanent organ of the general assembly, and perform its duties in accordance with the resolutions and articles of association of the general assembly when the general assembly is not in session. Directors must be members. The number of directors is one third of the number of members.

Article 21 A director shall meet the following conditions:

(1) Being representative among the members;

(2) Being able to normally exercise membership rights and fulfill membership obligations;

(3) Supporting the work of the Association;

(4) Other conditions required by the general meeting of members.

Article 22 The functions and powers of the Council are:

(1) Preparing and convening the general meeting of members;

(two) to implement the resolutions of the general assembly and report to the general assembly;

(three) to decide on the specific work and business of the association;

(four) to decide the membership of the new applicant and the punishment of the member, and put forward the suggestion of removing the member;

(5) To appoint or dismiss the Secretary-General and decide on the principal responsible persons of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association and the principal responsible persons of offices and representative offices, and consider and decide the remuneration system of the Association;

(six) to formulate self-discipline rules, industry standards and business norms;

(seven) to consider and decide on the internal management system of the association;

(eight) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;

(nine) to formulate plans to increase or decrease the registered capital of the association;

(ten) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;

(eleven) other matters stipulated in the articles of association.

Article 23 The Council shall hold a meeting at least once every six months, which shall be presided over by the president. When the president is unable to perform his duties due to special circumstances, the president shall entrust the vice president to convene or preside over it. If there are special circumstances, the Council may be convened temporarily or by means of communication upon the proposal of the president or more than one third of the directors. The meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolution can only take effect when it is passed by more than half of all the directors.

The board of directors shall make minutes of the resolutions of the meeting and announce them to all directors.

Section 3 President, Vice President and Secretary-General

Article 24 The Association shall have one president and six vice-presidents. The president shall be the legal representative of the Association, and the legal representative of the Association shall not concurrently serve as the legal representative of other associations. When the term of office of the president expires, in principle, men should not be over 60 years old and women should not be over 55 years old. The president should enjoy a certain prestige in the industry, be enthusiastic about the work of the association, and meet other conditions stipulated in the articles of association.

The President presides over a meeting of the President's office every quarter, and the participants include the President, the Vice President and the Secretary-General.

Article 25 The basic requirements for the appointment of the president and vice president shall be implemented with reference to the Provisions on the Administration of the Qualifications of Directors and Senior Managers of Insurance Companies.

Article 26 The term of office of the principal and vice-principal is four years, and the principal may not be re-elected.

Article 27 The President shall exercise the following functions and powers:

(1) Convening and presiding over the office meetings of the board of directors and the president;

(two) to organize the study of the development planning and major issues of the insurance market in this Municipality;

(three) to check the implementation of the resolutions of the general assembly and the Council, submit the work report of the association to the Council, and report the work to the general assembly;

(4) Signing relevant important documents on behalf of the Association;

(5) To decide on matters authorized by the Council.

The vice president assists the president in his work. If the president is unable to perform his duties for some reason, the president will authorize him to perform his duties on his behalf.

Article 28. If the president and vice-president violate the law or discipline or harm the interests of the industry during their term of office, they should leave the post of the association early after being studied by the Council and reported to the business guidance department for approval, so the vacant post of the association will be by-elected.

Article 29 If the president or vice-president is transferred from the original unit or insurance industry during the term of office of the Association, or it is really unsuitable to continue to hold the post of the Association due to other circumstances, the original unit shall apply for personnel change within 1 month, and the president or vice-president unit will succeed the principal responsible person until the term expires.

Article 30 The Association shall set up a secretariat, which is the daily office of the Association and is headed by the Secretary-General. The secretariat should establish and improve the internal management system based on the principle of streamlining and efficiency, and all staff members should openly recruit for the society and sign labor contracts to realize full-time and specialization.

Article 31 The Secretary-General shall be a permanent full-time post of the Association, assist the President in his work and be responsible to the Council. The Secretary-General of the Association adopts the appointment system, and the candidates for the Secretary-General are openly recruited for the society. Only after voting by the board of directors and reporting to the business guidance department for approval can they take up their posts.

Article 32 The Secretary-General shall exercise the following functions and powers:

(1) To preside over the daily work of the secretariat of the Association;

(2) Organizing the implementation of the annual work plan and financial budget and final accounts of the Association; (3) Nominating, appointing or dismissing the Deputy Secretary-General, heads of internal organs and other full-time staff; (4) Publish the daily documents of the Association.

Article 33 The Secretary-General shall meet the following requirements:

(a) with high political quality, strong organization and coordination ability, enthusiastic about the work of the association;

(two) law-abiding, fair and honest, good conduct, no record of bad behavior;

(3) Having served as a member of the leading group of a prefecture-level insurance company for more than 2 years or as the main person in charge of a county-level insurance branch (marketing service department) for more than 3 years, or having held a department-level leadership position in a party and government organ or institution for more than 3 years;

(4) Being healthy and able to work normally.

Article 34 The term of office of the Secretary-General is four years, and he may be re-elected, but the age during his term of office shall generally not exceed 60. Under special circumstances, with the vote of the board of directors and the approval of the business guidance department, he may continue to serve until the expiration of his term of office.

Article 35 If the Secretary-General violates laws and regulations or damages the interests of the industry during his term of office, or leaves his post for other reasons, he will leave his post early after being studied by the Council and reported to the business guidance department for approval. If the annual work assessment of the Secretariat fails, the Secretary-General shall leave his post within 0 months after the assessment results are announced.

Section 4 Board of Supervisors

Article 36 The Association shall have a board of supervisors, which shall be elected by the general meeting of members.

Article 37 The board of supervisors shall have one chairman and two supervisors. The term of office of the board of supervisors is the same as that of the board of directors. The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.

Article 38 The Board of Supervisors shall exercise the following functions and powers:

(a) Report on its annual work to the General Assembly;

(two) to supervise the election and recall of the general assembly and the Council; Supervise the Council to implement the resolutions of the General Assembly;

(three) to check the financial and accounting information of the association and report the situation to the registration authority, business guidance department and the competent tax and accounting department of the association;

(4) Supervisors have the right to raise questions and suggestions to the Board of Directors as participants without voting rights. The chairman of the board of supervisors attended the president's office meeting;

(5) Supervising the compliance of the Council with laws and articles of association. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the general meeting or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the general meeting of members, and earnestly perform their duties.

Section 5 Professional Committee

Article 39 The Association shall set up a professional committee according to the needs of work, and the professional committee shall carry out its work under the unified leadership of the Association. The Council consists of three professional committees: nomination, remuneration and supervision, which are elected by the general assembly and are responsible to the Council. In principle, meetings of professional committees shall be held at least once a year to study the development of professional fields.

Article 40 The Nomination Committee shall be responsible for the nomination and qualification examination of candidates for the chairman, vice-chairman, secretary-general, deputy secretary-general, members of various committees of professional institutions and associations, study the selection criteria of directors of the Council and members of special committees, and assess their performance of duties.

Article 41 The Remuneration Committee is responsible for formulating the remuneration system for full-time staff of the Association and submitting it to the Council for deliberation and decision.

Article 42 The Board of Supervisors is responsible for supervising the work of the Secretariat, disciplining the full-time staff who violate the rules and regulations, and auditing the financial work of the Association.

Article 43 Rules and procedures for the establishment of other professional committees and other branches of the Association:

(1) The secretariat of the Association puts forward a specific plan for setting up branches;

(two) submit the specific plan to the president's office meeting for discussion and adoption;

(3) Submitting the adopted specific plan to the Council for deliberation and approval;

(four) reported to the business guidance department for examination and approval, and reported to the association registration authority for examination and approval.

Chapter V Principles of Asset Management and Use

Forty-fourth sources of funding for the Association:

(1) membership fees;

(2) donation;

(3) Income from activities or services provided within the approved scope;

(4) government funding;

(5) Other lawful income.

Article 45 The Association shall collect membership fees in accordance with the relevant provisions of the State and the Measures for the Administration of Association Funds adopted by the General Assembly. The determination of the amount of funds should not only meet the needs of the work, but also fully consider the future development and create conditions for effectively serving members.

Article 46 The funds of the Association must be used for the business scope and career development as stipulated in the articles of association, as well as the salaries, welfare and other expenses of staff, and shall not be used for other purposes or distributed among members.

Article 47 An association shall be equipped with accountants with professional qualifications and establish a strict financial management system. Accounting personnel shall not concurrently serve as cashiers. Accounting personnel must conduct accounting and exercise accounting supervision to ensure that accounting information is legal, true, accurate and complete. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 48 The asset management of an association must implement the financial management system stipulated by the state and accept the supervision of members and financial departments. Prepare the last year's final accounts report and this year's budget report every year 1 month, and submit them to the board of directors for review and the business guidance department at the same time. If the assets come from state subsidies or social donations, relevant information shall be announced to the public in an appropriate way. No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 49 The annual report, general election, change of legal representative and liquidation of the Association shall be subject to financial audit. The legal representative should be audited when he leaves office.

Fiftieth large-scale activities outside the budget of the association need to raise funds temporarily, and the consent of the governing units participating in the activities must be obtained.

Article 51 An association shall, in accordance with the Regulations of Guangdong Province on Trade Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.

The Association establishes a reporting system for major activities: the Association holds large-scale academic reports, seminars and exhibitions, holds foreign exchanges, communicates with overseas NGOs, conducts industry appraisal and commendation activities, and accepts donations from overseas and society. , and report to the business guidance department and the association registration authority and go through the relevant procedures before the event.

Article 52 The wages and benefits of the full-time staff of the Association shall be implemented according to the salary system of the Association as deliberated and decided by the Council with reference to the average salary of institutions in this Municipality, in combination with the relevant provisions of the State and the actual situation of the Association. The association should establish and improve the social insurance (including basic pension, unemployment, medical care, work injury and maternity insurance) and housing provident fund system for full-time staff.

Chapter VI Revision of Articles of Association

Article 53 The amendment of the Articles of Association shall be reviewed and approved by the Council and approved by the general meeting of members.

Article 54 The revised Articles of Association shall be submitted to the Business Guidance Department for examination and approval within 15 days after it is adopted by the members' congress, and shall come into effect after it is approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 55 In any of the following circumstances, the Association shall be terminated, and the Council shall propose a motion for revocation:

(1) The purpose stipulated in the articles of association has not been completed;

(2) The general meeting of members decides to dissolve;

(3) Division or merger of the association;

(four) unable to continue to work in accordance with the purpose of the articles of association.

Article 56 The motion to terminate the association must be voted by the general meeting of members, submitted to the business guidance department for examination and approval, and submitted to the association registration authority for approval.

Article 57 Before the termination of an association, a liquidation organization must be established under the guidance of the association registration authority and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within/0/5 days from the date of liquidation, go through the formalities of cancellation of registration with the association registration authority.

Article 58 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 59 The surplus property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the business guidance department and the association registration authority in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 60 The Articles of Association was adopted at the third general meeting of shareholders on March 29th, 201/kloc-0.

Article 61 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 62 The Articles of Association shall come into effect as of the date of examination and approval by the business guidance department and the registration authority of the association.
