The first item of the regulations on the management of the company's overseas operating institutions (offices and business departments) is: in order to expand the company's business scope, realize the company's sustainable development, standardize the management of the company's overseas operating institutions (mainly offices, business departments or branches, hereinafter referred to as business departments at all levels), and promote the healthy development of the company's auction business in various regions, this system is formulated in accordance with the company's articles of association and various systems. Article 2 Nature of business departments at all levels: Business departments located in cities, districts and counties are business departments that undertake auction business locally on behalf of the company. They have no administrative functions and do not participate in the administrative decision-making of the company headquarters. The management of business departments at all levels of the company adopts the management mode of responsibility for expenses and self-financing. Article 3 Examination and approval of business departments at all levels: The establishment of business departments in cities, districts and counties must be examined and approved by the development department of the company, submitted to the office meeting of the general manager of the company for approval, and issued as official documents of the company. Article 4 Conditions for examination and approval (1) There shall be no less than 2 employees in the municipal business department and no less than 1 person in full-time staff; (2) Rent office space in a good local area with an area of not less than15m2; (three) should be equipped with necessary office equipment and communication equipment; (four) employees are familiar with the auction business and have rich social resources; (5) Agree to the company's articles of association and various systems, abide by these provisions, and sign a cooperation agreement with the company; (six) to complete the objectives and tasks assigned by the headquarters as scheduled and complete the work deployment of the headquarters. Article 5 Ownership Management (1) The business management of local business divisions is the responsibility of the development department of the company, and the director of the business division is appointed by the general manager and is directly responsible to the general manager; (two) the Municipal Ministry of Commerce may set up business branches in counties under its jurisdiction, and the department director shall be nominated by the Municipal Ministry of Commerce and appointed by the company. (3) The counties under the jurisdiction of each city can also set up separate business departments, and the business work is directly managed by the development department of the company. Article 6 Personnel Management (1) Staff members do not sign labor contracts with the headquarters (except the auctioneer) and do not enjoy the salary and welfare benefits of the headquarters of the company; (2) Personnel required by business departments at all levels shall be recruited, managed and treated by themselves, and personnel files shall be managed by the company headquarters; (3) All personnel of business departments at all levels are directly responsible to the department head. Article 7 Duties and authorities (1) Business departments at all levels shall not engrave or use independent business seals; (2) Not to open a financial account in the name of the company or the business department; (three) to undertake auction business, investigate and provide auction information; (4) Entrusted by the general manager of the company and the development department, the company signed an entrustment contract with the entrusting party, and the development department participated in the relevant work all the time. Article 8 Business Operation (1) Review and submit the name, quantity, quality, type, old and new degree and ownership of the auction target, and provide the evaluation report issued by the unit qualified for evaluation according to the provisions; (2) When examining the auction target, the entrusting party's power of attorney or letter of intent shall be provided at the same time. After the power of attorney and the written materials required in the preceding paragraph are reported to the company headquarters for verification, the company headquarters will sign an auction contract with the entrusting party; (3) When examining and submitting the subject matter of the entrusted auction, it shall provide the auction floor price of the subject matter, the commission collection ratio, the market investigation conclusion, the disposal period and the special provisions and requirements of the entrusting party in writing; (4) The ownership of assets entrusted for auction must be clear, and the certificate of ownership of assets issued must be legal and valid; (5) The certification materials of the entrusting party shall be objective and true; (six) the information provided by the auction target shall be true, accurate and complete, and the relevant defects shall be fully revealed; (VII) After the signing of the entrusted auction contract, the company shall organize the auction according to the provisions and requirements of the auction procedures, and the sales department shall cooperate according to the requirements of the company. Article 9 Business Cooperation Scheme 1: (1) The business assessment is mainly based on the auction commission actually collected by the company, supplemented by the auction turnover; (two) the annual auction commission income of the business department of the first-class city is not less than 300,000 yuan, and the auction turnover is not less than 6,543,800 yuan; The annual commission income of the district/county business department is not less than 6.5438+0.5 million yuan, and the auction turnover is not less than 5 million yuan; The first-class cities are: Qingdao, Yantai, Rizhao, Weifang, Linyi, Zibo, Jining, Tai 'an, Dongying and Weihai; (3) The annual auction commission income of the business departments in secondary cities is not less than 200,000 yuan, the auction turnover is not less than 6,543,800,000 yuan, the annual commission income of the business departments in the districts and counties where they are located is not less than 6,543,800,000 yuan, and the auction turnover is not less than 3,000,000 yuan; The second kind of cities are Dezhou, Binzhou, Laiwu, Heze, Liaocheng and Zaozhuang; (4) The prefecture-level business divisions and the district-level business divisions are directly assessed by the company headquarters, and the objectives and tasks of the district-level business divisions are not included in the prefecture-level business divisions; (5) Business expenses (mainly entertainment expenses, gift expenses, travel expenses, public relations expenses, etc. ) by the business departments at all levels to undertake their own contract, and the auction operation costs (mainly announcement fees, promotion fees, travel expenses, venue rental fees, etc.). ), business tax and income tax shall be borne by the company headquarters and business departments at all levels respectively according to the commission sharing ratio; (6) If there is no corporate headquarters to join, the commission sharing ratio between business departments at all levels and corporate headquarters is 5: 5 of the commission actually received within the target task; The part beyond the target task is divided into 8: 2; Article 10 Business Cooperation Scheme 2: (1) Business departments at all levels conduct business locally on behalf of the company, and public relations expenses such as hospitality, gift fees and travel expenses during business development shall be borne by the business departments. (2) After the completion of each business, that is, after the payment of the price, settlement commission and handover of the target, the agreed proportion of commission after deducting auction tax, auction announcement fee, travel expenses paid by the company for this auction and auction site rental fee shall be paid to the business department, and the proportion shall be agreed in the cooperation agreement. Article 11 Business assessment: (1) If business departments at all levels fail to complete 20% of the annual targets and tasks for half a year, the company will give a warning; (II) If the business departments at all levels fail to complete 40% of the annual targets and tasks in that year, the company will not renew the cooperation agreement. Article 12 The commission bonus of business departments at all levels shall be withheld and remitted by the company headquarters in accordance with the provisions of the state. Thirteenth prohibited acts (a) shall not exceed the authority to carry out business; (2) Do not borrow or guarantee in the name of the company; (three) shall not use his position to seek personal gain for individuals or others; (four) shall not disclose the company's business secrets obtained during the employment period; (5) Not accepting commissions related to company transactions; (6) Do not carve the official seal or special business seal of the company to operate the business; (seven) shall not transfer the business of the company to other companies; (eight) shall not resort to deceit, conceal or harm the interests of the company or customers; (9) It shall not affect the local business of the company's headquarters; (ten) shall not violate the laws and regulations of the state, the company system and professional ethics. Article 14 Punishment Measures (1) In case of violation of Article 13 of these Provisions, the company will deduct the royalty bonus according to the seriousness of the case; (2) If economic losses are caused to the company, it shall bear all economic compensation liabilities except deducting the commission bonus; (three) in violation of state laws constitutes a crime, transferred to judicial organs. Article 15 Other (1) Business departments at all levels must carefully read these Provisions before cooperating with the Company, and after deciding to cooperate, sign a letter of commitment in the original text of these Provisions and report it to the Company for the record; (2) After the business departments at all levels decide to cooperate with the company, they shall sign a cooperation agreement with the company in accordance with these regulations; (3) These terms together with the cooperation agreement constitute a legally binding contract, which both parties shall abide by; (4) In case of any conflict between these provisions and the Articles of Association, the provisions of the Articles of Association shall prevail, and the imperfect part shall be subject to other systems of the Company; (V) The right to amend and interpret these Provisions belongs to the board of directors of the company.
