Chapter 1 General Provisions
Article 1 The name of this association is "Guangdong Property Management Industry Association", the English name is Guangdong Property Management Industry Institute, the abbreviation is GPMII.
Article 2: This association is an industry-wide, province-wide, non-profit social group voluntarily formed by units engaged in property management in Guangdong Province.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and policies, strive to promote the reform and development of the property management industry in Guangdong Province, and accelerate the process of the property management market. Promote property management laws and regulations, and provide enterprises with industry development trends and information. Carry out investigations and studies to reflect the wishes and requirements of enterprises and put forward opinions and suggestions for industry development, serve government decision-making, and serve as a bridge between the government, enterprises and owners. Pay attention to industry self-discipline, abide by social ethics, establish a good business style, protect the legitimate rights and interests of employees, safeguard the legitimate rights and interests of the industry, and strive to maintain a harmonious society in Guangdong Province.
Article 4 The Association accepts the supervision and management of the Guangdong Provincial Department of Civil Affairs and the business guidance of the Guangdong Provincial Department of Construction.
Article 5 The association’s activity area covers the entire territory of Guangdong Province.
Article 6 The domicile of this association is: Yuexiu District, Guangzhou City, Guangdong Province.
Chapter 2 Business Scope
Article 7 The business scope of the Association is:
(1) Promote and implement property management laws, regulations and relevant provisions , formulate professional ethics and guidelines for the property management industry, reflect the wishes and requirements of the industry to government authorities, and serve as a bridge between the government, enterprises and owners.
(2) Assist government departments to formulate and implement industry development plans, promote various reforms in industry management, conduct investigations and studies, provide opinions and suggestions on new situations and issues in industry development, and serve government decision-making.
(3) Provide enterprises with the reform and development trends and information of the property management industry, and edit the "Property Management" journal.
(4) Organize external exchanges and inspection activities, and develop friendly exchanges with civil society organizations at home and abroad and in Hong Kong, Macao and Taiwan. Organize business training and related academic exchanges, carry out property management quality evaluation activities, and improve the overall quality of the industry.
(5) Provide property management business consulting services to member units and other relevant units, and guide property management companies to establish modern enterprise systems.
(6) Organize member units to make commitments to the society, ensure that they engage in property management business in accordance with laws and regulations, safeguard the legitimate rights and interests of owners, and provide good property management services to owners.
(7) Accept relevant work entrusted by the competent government departments.
Chapter 3 Members
Article 8 The members of this association are enterprises and related groups in the industry. This association only has unit members.
Unit members may be represented by the legal person of the unit in participating in the activities of the Association, or the unit may entrust others in writing to participate in the activities of the Association on their behalf. Each member unit can only send one representative to participate in the association's activities.
Article 9 Organization members who apply to join the association must meet the following conditions:
(1) Support the association’s charter;
(2) Have Willingness to join the association;
(3) Should hold an industrial and commercial business license and other relevant documents.
Article 10 The procedure for members to apply for membership is:
(1) Submit the membership application form;
(2) Approved by the board of directors;
(3) Go through the membership procedures.
Article 11 Members enjoy the following rights:
(1) Attend the general meeting of members and participate in the activities of the Association;
(2) Have the membership of the Association The right to elect, be elected and vote;
(3) Obtain priority and preferential services from the Association;
(4) The right to propose proposals, make suggestions and supervise the work of the Association;
(5) Membership is voluntary and membership is free.
Article 12 Members shall perform the following obligations;
(1) Comply with the Association’s Articles of Association;
(2) Implement the Association’s resolutions;
(3) Protect the legitimate rights and interests of the Association;
(4) Complete the work assigned by the Association;
(5) Pay membership fees on time;
(6) Report the situation to the Association and provide relevant information.
Article 13 Standards for members to pay membership dues:
(1) The president’s unit shall pay membership dues of 30,000 yuan per year;
(2) Vice-president The unit pays an annual membership fee of 20,000 yuan;
(3) The executive director unit pays an annual membership fee of 10,000 yuan;
(4) The governing unit pays an annual membership fee of 3,000 yuan;
(5) Member units shall pay an annual membership fee of one thousand yuan.
Article 14 Members who wish to withdraw from membership should notify the Association in writing and return their membership cards. If a member fails to pay membership fees or participate in the activities of the association for one year, he will be deemed to have automatically withdrawn from the membership.
Article 15 If a member fails to abide by the articles of association of the industry association, he or she will be criticized and educated by the industry association; if a member seriously violates the articles of association, he or she will be removed from the membership by voting at the general meeting of members.
Chapter 4: Creation and Removal of Organizational Structure and Responsible Persons
Article 16: The association shall consist of members at a general meeting. The general meeting of members is the highest authority of the association and exercises its powers in accordance with national laws, regulations and the articles of association of the industry association.
Article 17 The general meeting of members shall exercise the following powers:
(1) Determine the business scope and work functions of the association within the scope of laws and regulations;
(2) Elect or remove the president, vice president, directors, and supervisors;
(3) Review the annual work report of the board of directors and the board of supervisors, and the annual financial budget and final account plan;
(4) Review the proposal of the Board of Directors to remove members;
(5) Make resolutions on matters such as the change, dissolution and liquidation of the Association;
(6) Change or cancel the Board of Directors’ decision Appropriate decisions;
(7) Formulate or modify the articles of association and election methods of the organizational structure;
(8) Decide on termination matters;
(9) Decisions Other major matters.
Article 18 The membership meeting shall be held for four years. If the term of office needs to be changed in advance or postponed due to special circumstances, it must be voted by the board of directors and submitted to the society registration and management authority for approval. However, the maximum period of postponement shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the board of directors deems it necessary or more than one-fifth of the members propose, an extraordinary general meeting of members may be convened.
Article 19 The general meeting must be attended by more than two-thirds of all members; its resolutions must be passed by half of all members.
The general meeting of members shall keep minutes of the decisions on the matters discussed and announce them to the members.
Article 20 The Association shall establish a Board of Directors. The Board of Directors is a permanent body of the General Assembly. When the General Assembly is not in session, it performs its duties in accordance with the resolutions of the General Assembly and the Articles of Association of the Association. The number of directors shall be one-third of the number of members.
Article 21 The functions and powers of the Board of Directors are:
(1) Prepare for the convening of the general meeting;
(2) Implement the resolutions of the general meeting, and Report work to the General Assembly;
(3) Determine the specific work and business of the Association;
(4) Formulate the Association’s annual financial budget plan, final accounts, changes, dissolution and liquidation and other matters;
(5) Formulate plans for increasing or reducing the registered capital of the Association;
(6) Decide on the establishment of various internal organizations of the Association, and provide leadership within the Association Each organization carries out its work;
(7) Decide on the admission of new applicants and the punishment of members, and propose the removal of members;
(8) Appoint or dismiss the secretary-general, decide The main person in charge of the branches of the Association; according to the nomination of the Secretary-General, appoint or dismiss the deputy secretary-general and the main persons in charge of the offices and representative offices of the Association, and decide on their remuneration matters;
(9) Formulate the internal regulations of the Association Management system;
(10) Other matters stipulated in the association’s charter.
Article 22 The Board of Directors shall hold at least one meeting every year. Under special circumstances, it may also be held by communication. The Board of Directors must be attended by more than half of the directors before it can be convened, and its resolutions must be approved by more than half of all directors before they can take effect. The board of directors shall form minutes of the resolution and announce them to all directors.
Board meetings are convened and presided over by the president; when the president is unable to perform his duties due to special reasons, the president shall entrust the vice president or secretary-general to convene and preside over the meeting. More than one-third of the directors may propose to convene a board of directors.
Article 23 The Association shall establish a Standing Council, which shall be responsible to the Council. The Standing Council consists of the President, Vice President, and Executive Directors. The number of standing directors shall be one-third of the number of directors. During the period when the Board of Directors is not in session, the Standing Board of Directors may, with the authorization of the Board of Directors, exercise the powers specified in Items 1, 2, 4, 5, 6, 7, 8 and 9 of Article 21. The Standing Council shall hold a meeting at least once every six months; under special circumstances, it may also be held by communication. Resolutions made by the Standing Council must be passed by more than half of the Standing Directors.
The Standing Council shall keep minutes of its decisions on matters discussed.
Article 24 The rules and procedures for the establishment of branches and representative offices of the Association:
(1) The Secretariat of the Association shall propose a specific plan for the establishment of branches;
(2) Submit the specific plan to the President’s office meeting for discussion and approval;
(3) Submit the adopted specific plan to the Board of Directors for review and approval;
(4) Report to the social group registration and management authority for approval.
Article 25 The Association shall establish a Board of Supervisors, consisting of a Supervisor Chairman and two Supervisors. The supervisory board is elected by the general meeting of members. The term of the Supervisory Board is the same as that of the Board of Directors and can be re-elected upon expiration.
The president, vice president, directors, and secretary-general may not concurrently serve as supervisors.
Article 26 The president, vice president, secretary-general, and supervisors of the association must meet the following conditions:
(1) Adhere to the party’s line, principles, and policies, Comply with national laws and regulations;
(2) Have a greater influence in the industry;
(3) The maximum age of the president, vice president, and secretary-general shall not exceed 70 1 year old, the secretary-general is full-time;
(4) In good health and able to work normally;
(5) Not subject to any criminal punishment;
(6) ) has full capacity for civil conduct.
Article 27 The secretary-general of this association adopts an appointment system. The secretary-general and the president cannot be produced in the same enterprise. The president may not concurrently serve as secretary-general. The Board of Directors of this Association has the power to appoint the Secretary-General.
Article 28 The association shall establish a president for each term. The president shall be the legal representative of the association and shall not concurrently serve as the legal representative of other social organizations.
The association shall establish an honorary president, who shall be appointed by the association’s board of directors as a leader of the business department in charge of the industry.
Article 29 The president and vice-president of the Association shall be elected for a term of four years and shall not be re-elected for more than two terms.
Article 30 The president of the association shall exercise the following powers:
(1) Convene and preside over meetings of the board of directors (or standing board);
( 2) Inspect the implementation of the resolutions of the General Assembly, the Board of Directors (or the Standing Council);
(3) Sign relevant important documents on behalf of the Association.
Article 31 The vice president and secretary-general of the association carry out their work under the leadership of the president, and the secretary-general is responsible to the council. The Secretary-General is full-time and exercises the following powers:
(1) Preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Organize the formulation and implementation of the annual work plan and Budgets and decisions;
(3) Coordinate the work of branches, representative offices, and entities;
(4) Nominate the deputy secretary-general and offices, branches, and representatives The main persons in charge of institutions and entity agencies shall be submitted to the Board of Directors or the Standing Council for decision;
(5) The employment of full-time staff of nominated offices, representative agencies, and entity agencies shall be submitted to the President for approval;
(6) Handle other daily affairs.
The honorary president and secretary-general attend meetings of the board of directors and standing board of directors.
Article 32 The Board of Supervisors shall exercise the following powers;
(1) Report annual work to the general meeting of members;
(2) Supervise the general meeting of members and the board of directors election and removal; supervise the implementation of the resolutions of the General Assembly by the Board of Directors.
(3) Examine the financial and accounting information of the association and report the situation to the registration management authority and the tax and accounting authorities;
(4) Supervisors attend the meetings of the board of directors and have the right to report to the board of directors. The Board of Directors raises questions and suggestions;
(5) Supervises the Board of Directors’ compliance with laws and charters. When the behavior of management personnel such as the president, vice president, directors and secretary-general harms the interests of the association, they are required to make corrections and report to the general meeting of members or relevant government departments when necessary.
Supervisors shall abide by relevant laws, regulations and the association's articles of association, accept the leadership of the general meeting of members, and effectively perform their duties.
Chapter 5 Principles of Asset Management and Usage
Article 33 The funding sources of the association:
(1) Membership fees;
(2) Donations;
(3) Government funding;
(4) Income from activities or services within the approved business scope;
(5) Interest;
(6) Other legal income.
Article 34 When accepting donations, the Association shall abide by laws and regulations and shall not make apportionments or disguised apportionments in any form.
Donors, sponsors or units, members, and directors have the right to inquire about the use and management of donated property and put forward opinions and suggestions to the Association. The Association shall respond promptly and truthfully to inquiries from donors, sponsors, units, members, and supervisors.
Article 35 The funds of the association must be used for the development of the business scope and undertakings stipulated in this charter. Property and other income are protected by law, and no unit or individual may encroach, privately divide or misappropriate it.
Article 36 If the president, vice-president, directors, supervisors, secretary-general and staff of the association privately divide, embezzle or misappropriate the association's property, they shall return it and review it at the members' meeting; If a crime is constituted, criminal liability shall be pursued in accordance with the law.
Article 37 The Association shall implement the unified national accounting system, conduct accounting in accordance with the law, establish and improve an internal accounting supervision system, and ensure that accounting information is legal, authentic, accurate and complete.
The Association accepts tax supervision and accounting supervision implemented by the tax and accounting authorities in accordance with the law.
Article 38 The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or leave their jobs, they must clear the handover procedures with the person who takes over.
Article 39 The asset management of this association must implement the financial management system prescribed by the state and accept the supervision of the general meeting of members and the financial department.
If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies, and the relevant information must be announced to the public in an appropriate manner.
Article 40 The association must accept the financial audit organized by the registration authority when conducting annual reports, reelection, changes in legal representatives and liquidation.
Article 41 In accordance with the "Guangdong Provincial Industry Association Regulations", the Association shall submit the previous year's activity report, financial report and current year's activity arrangements to the registration management authority before the end of March each year.
The Association has established a major event reporting system: the Association holds large-scale academic reports, seminars, and exhibitions, organizes external exchanges, interacts with overseas non-governmental organizations, carries out industry evaluations, standards, and commendation activities, and accepts overseas and social donations, etc., report to relevant government functional departments and registration management agencies before the event and go through relevant procedures.
Article 42: The full-time staff of the Association shall implement a full-time appointment system, open recruitment to the public, and enter into labor contracts. The wages, insurance, and welfare benefits shall be implemented in accordance with the relevant national regulations for public institutions.
Chapter 6 Procedure for Amending the Articles of Association
Article 43: Modifications to the Articles of Association must be approved by the Board of Directors and then submitted to the General Assembly for review.
Article 44 The revised articles of association of the association must be reported to the registration management authority for approval within 30 days after being adopted by the general meeting of members and then take effect.
Chapter 7 Termination Procedures and Property Disposal after Termination
Article 45 The association shall be terminated under one of the following circumstances, and shall be proposed by the Board of Directors or the Standing Board of Directors Cancellation motion:
(1) Fulfilling the purpose stipulated in the articles of association;
(2) The general meeting of members resolves to dissolve;
(3) The association is divided, Merger;
(4) If it is impossible to continue to carry out work in accordance with the purposes stipulated in the articles of association,
Article 46 The motion to terminate the association must be voted and approved by the general meeting of members and reported to the society The registration management authority reviews and approves.
Article 47 Before the association is terminated, a liquidation organization must be established under the guidance of the relevant organizations for registration and management of societies and relevant units to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall go to the registration management authority to complete the deregistration procedures within fifteen days from the date of completion of liquidation.
Article 48 The association will be terminated after the cancellation of registration procedures is completed by the society registration and management authority.
Article 49: The remaining assets after the association's termination will be used to develop undertakings related to the purpose of the association under the supervision of the society registration and management authority and in accordance with relevant national regulations.
Chapter 8 Supplementary Provisions
Article 50 This Article of Association was voted and approved by the membership meeting on December 28, 2006.
Article 51 The right to interpret this charter belongs to the Council of the Association.
Article 52 This Article of Association shall take effect from the date of approval by the society registration and management authority.
