Article 2 Nature of this Association: This Association is a non-profit organization and self-regulatory trade association with legal person status, which is voluntarily formed by enterprises, institutions and social organizations related to tea industry, such as tea production, processing, circulation, management, scientific research and testing.
Article 3 The purpose of this Association is to adhere to the four basic principles of the Party, unite the tea industry in the whole province, actively implement the principles and policies of the Party and the state, abide by the Constitution, laws, regulations and national policies, and abide by social ethics. It is a bridge and link between the government and enterprises, and it is a staff officer and assistant. Article 9 A member applying to join this Association must meet the following requirements:
(1) Supporting the articles of association;
(2) Having the will to join this Association;

(four) should hold a business license and other relevant documents.
Article 10 The membership procedure is:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) Paying membership fees according to regulations;
(4) The membership card shall be issued by the Council or an institution authorized by the Council.
Article 11 Members shall enjoy the following rights:
(a) to attend the members' congress, participate in the activities of the association and accept the services provided by the association;
(two) the right to vote, to be elected and to vote;
(three) to obtain the priority of our services;
(four) the right to put forward suggestions, opinions and supervision on the work of this association;
(5) Freedom to join and quit voluntarily.
Article 12 Members shall perform the following obligations:

(five) to complete the work assigned by the association;
(6) Report the situation to this Council and provide relevant information.
Thirteenth members pay membership fees:

(three) the annual membership fee paid by the executive director unit is 2000 yuan;

Fourteenth members shall notify the trade association in writing and return their membership cards. A member 1 year who fails to pay the membership fee or does not participate in the activities of this trade association is deemed to have withdrawn automatically.
Fifteenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this trade association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting. Article 16 this association is composed of members, and members form a general meeting. The members' congress is the highest authority of the trade association and exercises its functions and powers in accordance with national laws and regulations and the articles of association of the trade association.
Article 17 The general meeting of members shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;

Article 18 The term of office of the general meeting of members is four years (the term of office of the general meeting of members shall not exceed four years at the longest). Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim member congress may be held.
Nineteenth members' congress must be attended by more than two-thirds of the members' representatives; Its resolution must be adopted by more than half of all members' representatives.
The general meeting of members shall make minutes of the decisions on the matters discussed and announce them to the members.
Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress.
Article 21 The functions and powers of the Council are:
(1) Preparing for or convening a member's congress;
(two) to implement the resolutions of the general meeting of members and report to the general meeting of members;
(three) to decide on the specific work and business of the association;
(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
(five) to formulate plans for increasing or decreasing the registered capital of the Association;
(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;
(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member;
(eight) to decide the main person in charge of the branch of the association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;
(nine) to formulate the internal management system of the association;
(ten) other matters stipulated in the articles of association.
Article 22 Replacement of directors, executive directors and vice-presidents of the Board of Directors. The director, executive director and vice-chairman exercise their duties and rights in the association on behalf of their units. Once leaving the unit, the unit shall promptly submit a written application for replacing the director, executive director and vice president to the secretariat of the association, which shall submit it to the Council (or the executive Council) for discussion and approval, and then report it to the registration authority for the record, and make an announcement to all members.
Article 23 The Council shall meet at least once every six months (under special circumstances, it may also be convened by means of communication). The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 24 If the number of the board of directors exceeds 50, an executive director may be elected from among the directors as required, and a standing council may be established, which is responsible to the board. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, third, fourth, fifth, sixth, seventh and ninth functions and powers stipulated in Article 21 of the Articles of Association. The Permanent Council shall meet at least once every three months; Special circumstances can also be held by means of communication. A resolution made by the Standing Council must be passed by more than half of the standing directors.
The Standing Council shall make minutes of the decisions on the matters discussed.
Article 25 Rules and procedures for the establishment of branches and representative offices of this Association:
(1) The secretariat of the trade association shall put forward a specific plan for setting up branches;
(two) submit the specific plan to the president's office meeting for discussion and adoption;
(3) Submitting the adopted specific plan to the Council for deliberation and approval;
(4) Report to the organization registration authority for approval.
Article 26 The Association has 65,438+0 supervisors, who are elected by the general meeting of members. The term of office of the supervisor is the same as that of the board of directors, and may be re-elected upon expiration.
The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 27 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The president, vice-president and secretary-general shall not be over 70 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not received criminal punishment;
(6) Having full capacity for civil conduct.
Article 28 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.
Article 29 The Association shall have a president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.
Article 30 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and the term of office shall not exceed two.
Article 31 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the meeting of the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of the Association.
Article 32 The vice-president and secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) Coordinating the work of branches, representative offices and entities;
(4) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) Handling other daily affairs.
The Secretary-General attends meetings of the Council and the Permanent Council.
Article 33 A supervisor shall exercise the following functions and powers:
(a) to report the annual work to the members' congress;
(two) to supervise the election and recall of members' congresses and councils; Supervise the Council to implement the resolutions of the member congresses;
(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments;
(4) Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board;
(5) Supervising the compliance of the Council with laws and articles of association. When the actions of the president, vice president, directors, secretary-general and other managers harm the interests of the association, they are required to correct them and report to the members' congress or relevant government departments when necessary.
Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the members' congress and earnestly perform their duties. Thirty-fourth sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 35 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 36 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 37 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and conduct a review at the members' congress; If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 38 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.
The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.
Article 39 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 41 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.
Article 42 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.
Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.
Article 43 The full-time staff of the Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions. Forty-fourth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 45 The revised articles of association of this Association shall come into effect after being approved by the registration authority within 30 days after being adopted by the members' congress. Article 46 In any of the following circumstances, the Association shall be terminated, and the Council or the Standing Council shall propose a cancellation motion: (1) The purpose stipulated in the articles of association has been achieved; (2) The general meeting of members decides to dissolve; (3) Division or merger of the association; (four) unable to continue to work in accordance with the purpose of the articles of association.
Article 47 The motion to terminate this Association must be voted by the members' congress and submitted to the registration authority of this Association for examination and approval.
Forty-eighth before the termination of this association, a liquidation organization must be established under the guidance of the association registration authority and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within fifteen days from the date of liquidation, go through the formalities for cancellation of registration with the registration administration organ.
Article 49 An association shall be terminated after its registration is cancelled by the association registration authority.
Article 50 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state. Article 51 The Articles of Association was adopted by the members' congress on June 20, 2007.
Article 52 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 53 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
