Chapter 1 General Provisions

Article 1 The Insurance Association of China (hereinafter referred to as the "Association"), the full English name is The Insurance Association of China (English abbreviation "IAC").

Chapter 2 Scope of Responsibilities

Article 6 The association shall perform the following industry self-discipline responsibilities:

(1) Supervise members to operate in compliance with laws and regulations. Organize members to sign self-regulatory conventions, formulate self-regulatory rules, restrict unfair competition, and maintain a fair and orderly market environment;

(2) Organize the formulation of industry standards. (4) Carry out member self-discipline management. Article 7: The association shall perform the following industry rights protection responsibilities:

(1) Participate in decision-making and argumentation. Represent the industry in participating in decision-making and demonstration related to the reform and development of the same industry and industry interests, and put forward relevant suggestions;

(2) Protect the legitimate rights and interests of the industry. Strengthen liaison and communication with regulatory authorities, relevant government departments and other industries to strive for an external environment conducive to industry development;

(3) Protect the legitimate rights and interests of members. When members' legitimate rights and interests are damaged, coordinate and communicate with relevant parties on behalf of members;

(5) Accept and handle matters entrusted by regulatory authorities and relevant government departments;

(6) Other matters related to industry rights protection.

Article 8: The association performs the following industry service responsibilities:

(1) Take the initiative to conduct investigations and studies, report risks and problems existing in the insurance market to regulatory authorities and relevant government departments in a timely manner, and Put forward opinions and suggestions;

(2) Coordinate the relationship between members, members and practitioners, mediate conflicts, and create a healthy and harmonious industry atmosphere;

Article 9 Association performs the following industry communication responsibilities:

(1) Establish a working mechanism for information communication among members to promote industry exchanges. (2) Strengthen communication and coordination with other relevant industry associations to promote external exchanges in the industry;

Article 10: The association performs the following industry publicity responsibilities:

Chapter 3 Membership

Section 1 Membership

Article 11 Members of the association are divided into unit members and individual members.

(1) All Chinese-funded, Sino-foreign joint venture insurance companies (including insurance group companies), reinsurance companies and foreign-funded insurance institutions in China that are established with the approval of the China Insurance Regulatory Commission and have independent legal person status shall, in accordance with the "Insurance Law" Relevant regulations require that one should join the association and become a corporate member after establishment;

Article 12 The unit members of the association shall meet the following conditions:

Article 13: Unit members shall have a member representative to perform their duties in the association on their behalf. The member representative shall be the legal representative or principal responsible person of the member unit. When a member representative changes, he or she should report to the association in writing within three months and complete the change procedures.

Article 14. Membership procedures for unit members:

(1) Submit an application for membership;

(2) Submit a copy of the business license, A copy of the legal person's business license and other documents required by the association;

Article 15 Change and Termination of Membership:

(1) In the event of merger, division, termination, etc. of corporate members, their membership will be changed or terminated accordingly;

Members who want to withdraw from membership should submit a written application to the association. Upon approval by the board of directors, the association shall cancel their membership and withdraw their membership certificates;

(3) If a member seriously violates this Articles of Association and other relevant provisions of the association, If approved by the Board of Directors, its membership will be canceled and its membership certificate will be withdrawn.

Section 2 Rights and Obligations of Members

Article 16 Members enjoy the following rights:

(1) The right to elect, be elected and vote;

(3) The right to reflect opinions and make suggestions to relevant departments through the association;

(4) Priority in participating in activities organized by the association and the right to obtain association services;

(6) Other rights stipulated in the resolution of the general meeting of members.

Article 17 Members shall perform the following obligations:

(1) Comply with the association’s charter and implement the association’s self-discipline convention, self-discipline rules, industry standards and business practices;

(2) Implement the resolutions of the association;

(3) Maintain the legitimate rights and interests and reputation of the association;

(4) Actively participate in activities organized by the association and complete the work assigned by the association;

(5) Accept inquiries and investigations from the association, truthfully report the situation and provide relevant information needed to perform duties;

(6) Pay membership fees in full and on time;

(7) Other obligations stipulated in the resolution of the general meeting of members.

Chapter 4 Organizational Structure and the Creation and Removal of Persons in Charge

Section 1 Member Meeting

Article 18 The highest authority of the association is composed of all members general meeting of members. The general meeting is chaired by the presidium of the general meeting that was elected at the last meeting of the previous council.

Article 19 The powers of the general meeting are:

(1) Formulate and amend the articles of association;

(2) Elect and remove directors;

(3) Elect and remove the president and vice president;

(4) Review the work report and financial report of the board of directors;

(6) Decide on the merger, division and termination of the association;

(7) Decide on other matters that should be considered by the general meeting.

Article 20 The general meeting of members must be attended by more than two-thirds of the members, and its resolutions must be passed by more than half of the members present to take effect. However, the formulation and modification of the articles of association and the decision to merge, split, or terminate the association must be approved by more than two-thirds of the member representatives present at the meeting to take effect.

Article 21 The general meeting of members is held every four years. An extraordinary general meeting of members can be convened upon the proposal of the board of directors or more than one-third of the members. The Extraordinary General Meeting shall not discuss matters other than those proposed.

Article 22 If the membership meeting needs to be re-elected in advance or postponed due to special circumstances, it must be voted by the board of directors, reported to the China Insurance Regulatory Commission and the Ministry of Civil Affairs for approval, and the re-election must be completed within the approval period.

Section 2 Board of Directors

Article 23 The Board of Directors is the executive body of the General Assembly. It is elected by the General Assembly and is responsible for carrying out daily work when the General Assembly is not in session. The general meeting is responsible.

Article 24 Directors should meet the following conditions:

(1) Be representative among members;

(2) Be able to exercise member rights normally , Fulfill membership obligations;

(3) Support the work of the association;

(4) Other conditions required by the general meeting of members.

Article 25: The powers of the board of directors:

(1) Implement the resolutions of the general meeting;

(2) Prepare for the convening of the general meeting;

(4) Decide on the admission or removal of members;

(5) Decide on offices and branches and the establishment, change and cancellation of entities;

(6) Elect and remove the secretary-general of the association;

(8) Decide on the establishment and candidates of honorary positions;

(9) Approval of the annual work plan of the association;

Article 26 A board of directors meeting must be attended by more than two-thirds of the directors, and its resolution must be passed by more than two-thirds of the directors present before it can take effect.

Article 27 The Board of Directors meeting shall be held at least once a year. Upon the proposal of the president or more than one-third of the directors, an extraordinary board meeting may be convened. In special circumstances, the meeting can be held via communication.

Section 3 Standing Council

Article 28 The association shall establish a standing council. The Standing Council is elected by the Board of Directors and is responsible to the Board of Directors. Its number shall not exceed one-third of the number of directors.

When the Board of Directors is not in session, the Standing Board of Directors shall perform the duties of the Board of Directors except items 2, 6 and 8.

Article 29: The meeting of the Standing Council must be attended by more than two-thirds of the standing directors, and its resolutions must be passed by more than two-thirds of the standing directors present before they can take effect.

Article 30 The Standing Council is generally held twice a year. Extraordinary meetings of the Standing Council may be convened upon the proposal of the President or more than one-third of the members of the Standing Council. In special circumstances, meetings may be held via communication.

Section 4 President, Vice President and Secretary-General

Article 31 The association shall have one president and several vice presidents. The president and vice-president of the association are elected for a term of four years, and the term generally does not exceed two terms.

Article 32 The candidate for the president can be a person nominated by the business supervisory unit or the legal representative of the member unit. The president must be elected through the member representative meeting, and after review and approval by the China Insurance Regulatory Commission, report to the organization registration management authority for approval and registration.

Article 33 The association shall have a secretary-general and several deputy secretaries-general as needed. The Secretary-General is a full-time member who assists the President in his work and is responsible to the President. Candidates for the secretary-general can be nominated by the business supervisory unit, or by the president, two or more vice-presidents, or three or more standing directors. They can also be openly recruited from the public. After being voted and approved by the board of directors and reviewed and approved by the China Insurance Regulatory Commission, the secretary-general will be reported to the Civil Affairs Bureau. Article 34 The association implements the president responsibility system. The president is the legal representative of the association, and the legal representative signs relevant important documents on behalf of the association. The legal representative of the association shall not concurrently serve as the legal representative of other groups.

Article 35 The president shall exercise the following powers:

(1) Convene and preside over the Board of Directors and the Standing Council;

(2) Preside over the association Daily office work;

(3) Organize and implement the association’s annual work plan and budget and final accounts;

(4) Preside over the work of each branch of the association;

(5) Nominate the Secretary-General and appoint the Deputy Secretary-General;

(6) Hire experts from inside and outside the industry to serve as consultants for the association.

If the president is unable to perform his duties for any reason, the vice president or secretary-general designated by the president will perform his duties on his behalf.

Article 36 The president, vice-president, and secretary-general of the association must meet the following conditions:

(1) Meet the basic conditions for the appointment of the main person in charge of the social organization by the Ministry of Civil Affairs ;

(2) Have greater influence and good reputation in the insurance industry;

(3) Have experience in leadership or management positions in enterprises, institutions or state agencies;

(4) Love the work of the association;

(5) The maximum age for the president and vice-president shall not exceed 65 years old, and the maximum age for the secretary-general shall not exceed 60 years old;

(6) Good health, impartiality and integrity;

(7) Other conditions required by the general meeting of members.

Article 37 If the president, vice-president, or secretary-general commits any illegal or disciplinary act or acts detrimental to the interests of the industry during their term of office, or if they leave office for other reasons, they shall be reviewed by the Standing Council and decided accordingly. After reporting to the China Insurance Regulatory Commission for review and approval, you can leave office early.

If the president leaves office early, he can be re-elected in advance and must undergo a resignation audit.

If a part-time vice president is transferred from the original unit due to job changes during his term of office in the association, the original unit shall submit an application for personnel change within three months and recommend a successor person in charge to take over or conduct a new nomination and election. .

If the Secretary-General leaves office early, he will be appointed by the Standing Council or re-elected in advance.

Chapter 5 Principles of Asset Management and Use

Article 38 Sources of association funds:

(1) Membership fees;

(2) Donations;

(3) Government funding;

(4) Income from activities and services within the approved business scope;

(6) Other legal income.

Article 39: The association collects membership dues in accordance with relevant national regulations.

Article 40 The funds of the association must be used for the development of the business scope and undertakings stipulated in this charter, as well as for staff salaries, benefits and other expenditures. They may not be misappropriated for other purposes or distributed among members.

Article 41: The association shall establish a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.

Article 42 The association shall equip accounting personnel with professional qualifications to conduct accounting and implement accounting supervision.

Article 43 The asset management of the association must implement the financial management system prescribed by the state and accept the supervision of the general meeting of members and the financial department. The final accounts report for the previous year and the budget report for the current year are prepared in January of each year and submitted to the Board of Directors for review and at the same time submitted to the China Insurance Regulatory Commission for filing. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies, and the relevant information must be announced to the public in an appropriate manner. The assets of the association shall not be misappropriated, privately divided or misappropriated by any unit or individual.

Article 44 Before changing the term of office or changing the legal representative, the association must accept a financial audit organized by an audit institution recognized by the Ministry of Civil Affairs and the China Insurance Regulatory Commission.

Article 45: Association staff shall implement professional, professional, market-oriented and standardized management. Their wages, benefits, social insurance and retirement systems shall be based on the average salary level of the industry and relevant national regulations. implement.

Chapter 6 Procedures for Amending the Articles of Association

Article 46: Modifications to the Association’s Articles of Association must be approved by a vote at the Board of Directors meeting and then submitted to the General Assembly for review.

Article 47: The revised articles of association of the association must be submitted to the business supervisory unit for review within 15 days after being adopted by the general meeting of members. If agreed, it shall be reported to the society registration and management authority for approval and then take effect.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 48 When the association dissolves on its own initiative, the board of directors or standing board of directors shall submit a motion for termination.

Article 49: The motion to terminate the association must be voted and approved by the general meeting of members and reported to the China Insurance Regulatory Commission for review and approval.

Article 50: Before the association is terminated, a liquidation organization must be established under the guidance of the China Insurance Regulatory Commission and relevant authorities to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation are allowed.

Article 51: The association shall be terminated after the Ministry of Civil Affairs handles the cancellation registration procedures.

Article 52: The remaining property after the association is terminated shall be used to develop undertakings related to the purpose of the association under the supervision of the China Insurance Regulatory Commission and the Ministry of Civil Affairs and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 53: This Article of Association was voted and approved by the membership meeting on January 18, 2014.

Article 54 The right to interpret this charter belongs to the association’s board of directors.

Article 55: This Article of Association shall take effect from the date of approval by the society registration and management authority.
