1. Guiding ideology

3. Integration Goals

2. Scientific principle

3. Normative principles

4. Principle of balance

5. Integration methods

2. 3. During the integration, we must adhere to the people-oriented principle and properly arrange various personnel from the original network organizations in various places. In principle, all registered personnel of the original cable TV network organizations at all levels before March 1, 2007 will be transferred to local branches. 4. 5. According to the relevant regulations of the State Administration of Radio, Film and Television, the bureau, network and station must be separated before the cable TV network integration and asset reorganization. 7. 8. The non-system social funds existing in some cable TV networks in our province shall be properly disposed of in accordance with relevant national and provincial regulations and policies during integration.

9. Integrate the cable television regional networks managed by various enterprises, institutions, agencies, and colleges into the joint-stock company. If the original management party has investment (referring to using its own funds to build the network), its net network assets will be acquired after being organized and audited in accordance with relevant national regulations, and included in unified construction and operation management.

10. Use various means to raise the funds needed for network integration and digitization in the province to ensure the smooth development of network integration and digitization.

11. In order to scientifically allocate radio and television resources and reduce duplication of construction waste, it is necessary to organically combine cable TV network integration with the work of "radio and television coverage in every village". Wherever possible, cable TV networks should be connected as much as possible to promote long-term, safe and stable transmission of radio and television in rural areas of our province.

6. Regarding profit distribution, debt and investment

1. The original cable TV network asset owners at all levels and the relevant asset parties that have entered the radio and television network with the approval of the radio and television department shall be subject to the market ( State, prefecture), county (city, district, special zone) as a unit to become a shareholder of a joint-stock company. Shareholders of a joint-stock company have the same rights and interests with the same shares, perform the shareholder responsibilities and obligations in accordance with the Company Law, and enjoy the rights and interests of shareholders.

2. In view of the development history and current situation of cable TV networks, in order to smoothly advance the integration work, within the five-year (2008-2012) transition period from the date of establishment of the joint-stock company, all levels of cable TV networks The analog TV revenue of TV network organizations in 2006 (subject to financial annual statements) is used as a stock, all remaining local: based on the average of the relevant data in the annual financial statements for the three years before network integration, part of which is used for branch offices at all levels. At the end of the transition period, the joint-stock company will no longer pay existing and incremental payments to shareholders at all levels, and will implement dividends based on shares in accordance with the provisions of the Company Law.

3. For debts originally incurred by shareholders of a joint-stock company for network construction and operation (analog TV part), the shareholder, the creditor, and the joint-stock company shall sign a repayment agreement. During the transition period, the loan principal and interest will be repaid first from the stock left by the joint-stock company to shareholders at all levels. After the transition period, if the debt has not been paid off, the joint-stock company will deduct the profits due to the indebted shareholder year by year based on the balance of the shareholder's debt and use it to repay creditors until it is paid off.

4. After the establishment of the joint-stock company, the investment required for the construction, transformation and overall transformation of radio and television networks from analog to digital will be borne by the joint-stock company, and each city (state, prefecture), county (city, district) , special zones) radio and television institutions will no longer bear investment.

7. Nature and functions of joint-stock companies

According to relevant national regulations, joint-stock companies are emerging cultural enterprises established through the integration, asset restructuring and restructuring of the province's radio and television networks. The joint-stock company implements a modern enterprise management system.

The basic functions of the joint-stock company are:

1. Construction, development, operation and management of the province's radio and television network in accordance with the law.

2. In accordance with the requirements of party committees and governments at all levels, be responsible for free transmission of radio and television programs (channels, frequencies) approved by radio and television broadcasting institutions at all levels in the province to ensure high-quality and safe broadcasting.

4. In accordance with the "Company Law" and relevant regulations, follow the laws of market economy to carry out industrial development and capital operations, continuously improve social and economic benefits, and achieve the preservation and appreciation of state-owned assets.

8. Management System

The joint-stock company implements vertical hierarchical management of city (state, prefecture) and county (city, district, special zone) branches, and authorizes each city (state, prefecture) ) branches are divided according to administrative regions, implement the construction and operation plan and financial budget formulated by the joint-stock company every year, and manage the branches in each county (city, district, special zone). A joint-stock company is a first-level legal person, and branches at all levels are unincorporated branches of the joint-stock company. 5. Branch. 9. Operation model

3. Establish an enterprise-based labor distribution system. The joint-stock company implements performance target assessment and enterprise-based salary system for management personnel and employees, implements the national Labor Law, Social Security Law, Trade Union Law, Contract Law and other laws and regulations, and implements various social insurance for employees. and related rights and interests. 5. Civil servants working in the original administrative agencies at all levels of radio and television network organizations who join the joint-stock company can retain their administrative rank and civil servant status within 12 months after the joint-stock company officially operates. But no part-time salary is allowed. Those who are still willing to stay in the company after 12 months will be decoupled from their original administrative level and status. If you choose to return to the office or the station to work, you can return to the office or the station to work. Full and balance appropriation project staff shall refer to this article.

6. The joint-stock company shall implement national policies on pension, unemployment, medical and other insurance for its employees in accordance with national regulations. For those who work in joint-stock companies with original status as administrative or business establishment personnel, relevant benefits will be implemented based on the principle of "old methods for the elderly and new methods for the newcomers". For other types of personnel who have not paid social insurance, the original unit will be responsible for settling the social insurance before entering the joint-stock company. For self-supporting staff who retired from cable TV network positions, the joint-stock company will be responsible for fulfilling their retirement benefits in accordance with relevant national regulations.

12. Regarding integration discipline and time arrangement

1. As of March 1, 2007, provinces, cities (states, prefectures), counties (cities, districts, Special Administrative Region) Cable TV network transmission agencies shall freeze personnel recruitment, transfer and asset transfer.
